# Przemysław Kral: BB Trade Estonia's chief executive and beneficial owner

- Role: Chief executive and management board member of BB Trade Estonia OÜ; its registered beneficial owner

**Question.** What roles has Przemysław Kral held at BB Trade Estonia and related companies, and what do the records say about his statements and status?

**Answer.** Przemysław Janusz Kral has been a management board member and chief executive of BB Trade Estonia OÜ since November 2021 and is registered as its beneficial owner through an indirect holding, the company being wholly owned by Divisio Holding AG. Registers place him in the management of most companies around the zondacrypto brand and show him as the largest shareholder of Femion Technology, owner of the exchange's former Polish payment institution TryPay. Prosecutors have not disclosed his procedural status.

## Owner and chief executive of BB Trade Estonia

- Analysis: BB Trade Estonia's 2021 annual report states that in July 2021 a Swiss company, Divisio Holding AG, acquired the company's shares and Kral became its ultimate beneficial owner. The current register card lists Divisio as sole owner from 30 March 2022 and Kral as beneficial owner through an indirect holding from 8 March 2022; these dates differ from the July 2021 change in the annual reports, and the register's publication history lists Divisio's entry as shareholder on 14 July 2021, with the difference unexplained in the retained records. A law firm acting for claimants quotes the 2024 ZND token white paper as naming Kral, "CEO of zondacrypto", as Divisio's sole shareholder; the white paper is not retained and the Swiss register publications do not disclose Divisio's shareholders. - Analysis: The 2021 annual report records Kral as the company's chief executive and, from November 2021, the second management board member beside Dawid Sendecki, whose membership that report dates from June 2021 although the previous report already listed him in 2020; the register lists him on the board from 8 November 2021 and records a rule under which the company was represented by Kral alone or by two board members jointly, one of them Kral, although the same card says no special representation rules are currently in force and does not show when the rule ceased. He signed the 2023 and 2024 annual reports alone, the latter on 29 July 2025 after a March 2025 restructuring into a two-member management board of Kral and Sendecki and a separate supervisory board. Since 28 August 2026 the trustee in bankruptcy has disposed of the company's estate, while the register still lists Kral on the management board. [src-003] [src-001] [src-028] [src-027] [src-013]

## Roles across the group and his other companies

- Analysis: Registers show Kral at the head of most companies around the brand. In Poland he has been president of the management board of Orion Software sp. z o.o. since 26 March 2020, where the KRS records him as beneficial owner in his capacity as president rather than as a direct shareholder; director of BB Trade Estonia's Polish branch since 16 December 2024, according to the KRS entry as reproduced by a registry-data aggregator; president of Fundacja Zondacrypto since 9 May 2024; and chief executive of BB Trade Poland sp. z o.o., a company held by Divisio whose 2024 accounts show assets of PLN 5 thousand and no revenue, and its liquidator since its shareholders resolved on 15 September 2025 to dissolve it. In Estonia he is procurator of ZND Ventures OÜ since 28 June 2023 and a board member since 20 April 2026, and is recorded as indirect beneficial owner of ZND Ventures and of ZND.CO OÜ. - Analysis: In Switzerland he was entered on the board of Zonda Token AG at its incorporation in December 2021 and remains registered there after the court-ordered dissolution of 2026, and a SHAB publication of 10 January 2024 entered him as president of the board of BB Trade Switzerland AG without signing authority; he is still listed as a board member of that company in liquidation. He is the sole statutory director of zondacrypto SK, s. r. o. in Slovakia from 25 March 2023 and statutory director of EXPOFÉR SERVIS HOUSE s.r.o. in the Czech Republic from 3 January 2022. The Bahamian securities regulator's register names him principal and a director of BB Trade Bahamas Ltd, and the Florida record lists him as chief executive of BB Trade Florida Inc., without showing who owns that corporation. - Analysis: Outside the brand, KRS data show him as sole shareholder of Seed Investments sp. z o.o. since 9 April 2020 (its chief executive until it went into liquidation on 5 January 2026) and of Digesta Pro sp. z o.o. since 11 February 2021 (chief executive until 15 January 2026). He was a management board member of Decori sp. z o.o. from July 2020 to June 2024 and, from 2011 to 2020, a partner of the Katowice advocates and tax advisers partnership Duraj, Reck & Kral. In Luxembourg he has been a director of S&B Investment SA since 13 November 2023, when Sylwester Suszek left its board, according to register publications reproduced by an aggregator that does not name the company's other directors. - Analysis: Kral also held the largest stake in the parent of the exchange's Polish payment institution. Femion Technology's management report for 2025 shows him with 14,109,812 shares, 49.8674% of its capital, at 31 December 2025; KRS data list him as beneficial owner of Femion and of its wholly owned subsidiary TryPay S.A., the national payment institution that served BB Trade Estonia until it terminated their agreement on 20 April 2026. After the balance-sheet date Femion recorded a loan from Kral of EUR 60,000, increased to EUR 120,000. [src-064] [src-033] [src-031]

## Transactions with the company reported by claimants' counsel

- Analysis: The 2024 annual report lists a EUR 407,297 loan to the category of management and private owners with significant holdings, which a law firm acting for claimants identifies as a loan to Kral personally. The same firm states that between 2 and 24 March 2026 fourteen payments totalling EUR 501,037.80 went from the company's accounts to his account, although another of its pieces describes the transfers as ordered by the chairman with several recipients. The report does not name the borrower, the firm's sources are not in the retained record, and no reply by Kral is recorded. [src-013] [src-010] [src-075] [src-083]

## His statements in 2026

- Analysis: In early April 2026 Kral said in a statement that Zondacrypto was stable, solvent and safe and called a press analysis of a 99% fall in its bitcoin reserves erroneous and harmful. On 16 April he said publicly that the keys to the roughly 4,500-bitcoin wallet were held by Sylwester Suszek, missing since March 2022, and the company identified an address holding 4,503 BTC as its cold wallet. The Katowice prosecutors' release of 17 April summarised the owner's statement that the exchange had had no access to that wallet since 2022 and that this had been concealed from clients; the release is a summary, not a finding. A law firm acting for claimants says the address is a wallet dormant since 2016, and neither its reading nor the company's account is verified in the retained record. In the bankruptcy, according to the same firm citing the trustee's report, the trustee could confirm only about EUR 167,000 of cash on accounts abroad, while the chief executive maintains that there is no key to the address, which accounted for 77% of the assets in the 2024 statements. [src-065] [src-112] [src-008] [src-083] [src-075]
- Analysis: When claimants' counsel and complainants said the company had moved crypto-assets worth more than PLN 76 million to the Kraken exchange before the crisis, the company explained such transfers to customers as market making, and on 14 April 2026 Kral wrote that investing customer funds was not to be confused with liquidity management; no transfer records are retained. In the bankruptcy, according to the same firm citing the trustee's report, which is not in the retained record, Kral answered the trustee in June and August 2026 that the servers and data were under the Polish authorities' control and that the accountant held the books, providing an unaudited balance sheet for the end of 2025 and a list of accounts from memory. [src-008] [src-075]

## Procedural status and reported donations

- Analysis: Prosecutors have not disclosed whether Kral is a suspect. A prosecutor serving at the Ministry of Justice said he was cooperating and giving explanations as a suspect, the justice minister said he "is not a crown witness and is not a witness", and a July 2026 newspaper report said he was then not a suspect; none of these is an official record of charges. His defence counsel, Roman Giertych, said Kral had placed "huge assets" at the prosecutors' disposal, and the minister said prosecutors had secured more than PLN 100 million for compensation; it is not known whether both statements concern the same assets or how they relate to the Estonian bankruptcy. [src-095] [src-112] [src-108]
- Analysis: A Polish news report of April 2026 stated, from publicly available data, that Kral paid PLN 450,000 to Zbigniew Ziobro's foundation Instytut Polski Suwerennej at the turn of October and November 2025 and that EXPOFÉR SERVIS HOUSE, described as part of his network, gave EUR 70,000 to Przemysław Wipler's foundation; the payment records are not retained, and the Prosecutor General has said only that such funding is being verified.
