# 23andMe Research Institute (TTAM)

- Also known as: TTAM Research Institute · TTAM

**Question.** What is TTAM Research Institute, and what did it take on when it bought 23andMe?

**Answer.** TTAM Research Institute, now 23andMe Research Institute, is a California non-profit public-benefit corporation that Anne Wojcicki created after the March 2025 filing to buy the business, and which she funds and leads. It was the backup bidder to Regeneron, then won with $305 million and bought the shares of a new subsidiary holding the business and the customers' genetic data for $302.5 million in cash, closing on July 14, 2025. It undertook to keep the privacy policy and accepted further protections; after closing the trust disputed which liabilities it had assumed.

## Formation and the bid

- Analysis: The court found that Wojcicki created TTAM soon after the Chapter 11 filing to buy the debtors' assets; it is a non-profit public-benefit corporation fully funded by her and her affiliates, with her as chief executive, president and one of three directors. It was named backup bidder when Regeneron won the auction in May 2025, then raised its offer to $305 million and was chosen on June 13, 2025, agreeing to buy substantially all the Chrome debtors' assets for $302.5 million and to sponsor a $2.5 million plan for Lemonaid, which was later sold to another buyer. ## Terms and approval

- Analysis: The debtors sold it the shares of NewCo, a subsidiary holding the business, so that no data passed directly. TTAM undertook to keep operations, staff, data access and the petition-date privacy policy, including deletion and opt-out rights, to follow privacy laws even where its non-profit status might excuse it, not to share data with insurers and to form an independent privacy advisory board. The court approved the sale on June 27, 2025, finding the price fair and TTAM a good-faith purchaser and adding that it would remain subject to state genetic-privacy laws; it closed on July 14, 2025, and the debtors stopped using the 23andMe name. ## After the closing

- Analysis: The states' stipulation of July 2026 expressly excludes the Institute from its release, and the states noted that it had accepted strengthened protections, an advisory board and deletion rights. In January 2026 it applied for administrative payments under the purchase agreement, according to a case summary; the trust argued that it had assumed the Converge invoices, it replied disputing any preclusive effect, and on March 4, 2026 the trust settled with Converge for $6.11 million while keeping a right to seek reimbursement from it. California's appeal against the sale order was dismissed on September 29, 2026, the court finding no clear error in the finding that TTAM bought in good faith. Its group includes TTAM 2.0, LLC and three other LLCs represented by the same firm as Wojcicki. [src-019] [src-107] [src-044] [src-050] [src-049] [src-065] [src-088]
