# Anne Wojcicki

- Also known as: Anne E. Wojcicki

**Question.** What part did Anne Wojcicki play in 23andMe's control, collapse and sale?

**Answer.** Anne Wojcicki co-founded 23andMe in 2006, ran it from 2010 and chaired the listed holding company from 2021 until March 2025, holding about half the vote through ten-vote shares. Her proposals to take the company private were rejected, and she stepped down as chief executive when it filed for Chapter 11. TTAM Research Institute, a non-profit she created, funds and leads, bought the business for $302.5 million in cash. The plan does not release her but preserves her indemnification rights, and in January 2026 she applied for payment of her legal costs.

## Roles

- Analysis: Wojcicki joined the board of 23andMe, Inc. and co-founded it in 2006 and was its chief executive from 2010; she became chair of the holding company effective June 16, 2021 and in July 2024 was its chair and chief executive. On March 21, 2025, by agreement with the Special Committee, she resigned as chief executive and president from March 23 and as chair, remaining a director, and left her posts at the subsidiaries. Her fiscal-2024 compensation was $7,363,723, almost all stock options. Company filings list her earlier work as a healthcare analyst and her other boards, including Zipline and, until 2022, Cazoo, whose seat an aggregator ends on February 27, 2023. ## Voting control

- Analysis: Through ABeeC 2.0, LLC, of which her revocable trust is the sole member and she the sole trustee, Wojcicki held 30.67% of the vote after the 2021 merger and 49.75% on July 1, 2024, before the 1-for-20 reverse split. In June 2025 ABeeC converted its Class B shares, and on July 1, 2025 she held 22.56% of the Class A stock and 12.33% of the vote. Co-founder Linda Avey wrote in March 2025 that Wojcicki had "architected a majority vote for herself"; that is Avey's personal account, and the company did not immediately respond to the outlet that reported it. ## The buyout proposals

- Analysis: In April 2024 she said she was considering taking the company private and would not support an alternative transaction; the Special Committee rejected her $0.40-a-share proposal of July 29, 2024 ($8.00 after the reverse split) as offering no premium and lacking financing. After the independent directors resigned in September 2024 she was briefly the sole director. In 2025 her joint $2.53 proposal with New Mountain Capital lapsed when New Mountain withdrew, and the committee rejected her offers of $0.41 a share, the last with contingent value rights. ## TTAM and the purchase

- Analysis: The court found that she created TTAM Research Institute soon after the filing to buy the assets, a non-profit public-benefit corporation fully funded by her and her affiliates, of which she is chief executive, president and one of three directors. Approving the sale, it found that even treating her as an insider she would not benefit unfairly because she was investing more than $300 million of her own funds and would own a non-profit, and it described the deal as her repurchase of a business she co-founded and ran. A 2026 conference profile calls her the Institute's founder and chief executive. [src-018] [src-068]

## Under the plan

- Analysis: The plan names her as an Excluded Party, not released and open to suit by the trust, and states that she is not an affiliate of the debtors; exclusion is not a finding of liability. The confirmation order treats her, her foundation and ABeeC as having opted out of the releases while preserving their indemnification and exculpation rights. On January 3, 2026 she applied for payment of her unliquidated indemnification expenses as an administrative expense; the record does not show the ruling. [src-016] [src-045] [src-051]
