# Voting control, 2021–2025

**Question.** Who controlled the votes at 23andMe Holding Co., and how did that change?

**Answer.** Through ten-vote Class B shares held mainly by her company ABeeC 2.0, LLC, Anne Wojcicki controlled 30.67% of the vote after the 2021 merger and 49.75% on July 1, 2024. In June 2025, after the sale to TTAM had been agreed, ABeeC converted all its Class B shares into one-vote Class A shares, leaving her with 12.33% of the vote. Other large holders included GSK's Glaxo Group, funds connected with Sequoia Capital and, from late 2024, the Singapore-based investor Zentree and its principal Richard Magides.

## Two share classes and the 2021 and 2024 tables

- Analysis: 23andMe Holding Co. had two classes of common stock: Class A, with one vote per share and listed until March 2025, and Class B, with ten votes per share, which was unlisted, convertible into Class A one-for-one at the holder's option and converted automatically on most transfers. - Analysis: Immediately after the June 16, 2021 merger the closing Form 8-K reported Wojcicki as beneficial owner of 102,453,219 Class A shares counting her convertible Class B stock (25.21%) and of the 98,702,638 Class B shares held through ABeeC 2.0, LLC (24.29%), together 30.67% of the total vote. ABeeC itself held 30.56% of the vote, Glaxo Group Limited 12.28%, funds affiliated with G Squared Equity Management 9.44% and funds affiliated with FMR LLC 7.79%. [src-007]
- Analysis: The 2024 proxy statement shows ABeeC with 98,633,827 Class B shares on July 1, 2024, 59.24% of the class and 49.20% of the vote. The Anne Wojcicki Revocable Trust U/A/D 9/2/09 was the LLC's sole member and Wojcicki its sole trustee, the three sharing voting and dispositive power; counting 10,880,319 Class A shares, including 2,500,000 held by her foundation, Wojcicki held 49.75% of the vote. The other holders of more than 5% were GSK plc, through Glaxo Group Limited (23.82% of Class B, 19.78% of the vote), entities affiliated with Sequoia Capital (8.89% of the vote), over which Douglas M. Leone and Roelof Botha exercised discretion as directors of SC US (TTGP), Ltd., The Vanguard Group (6.64% of Class A) and NewView Capital Fund I (5.73% of Class A). These share counts predate the 1-for-20 reverse split of October 16, 2024. [src-004]

## Wojcicki's 13D filings, the June 2025 conversion and the July 2025 table

- Analysis: ABeeC, the trust and Wojcicki filed their first Schedule 13D on June 25, 2021 and twelve amendments between April 17, 2024 and March 11, 2025, then Amendment No. 13 on events of May and June 2025. The February and March 2025 amendments, signed for the manager-managed Delaware LLC by its manager Ryan Batenchuk, report 4,931,692 Class B shares, 69.4% of the class at January 31 and 69.5% at March 6, 2025, convertible into about 20% of the Class A stock, and total beneficial ownership for Wojcicki of 22.4% in February and 21.9% in March 2025; she disclaims beneficial ownership of the LLC's and the foundation's shares except to the extent of her pecuniary interest. - Analysis: On June 9, 2025 ABeeC gave notice converting all 4,931,692 of its Class B shares into Class A, confirmed by the company on June 11. Amendment No. 13 then reported Wojcicki as beneficial owner of 5,722,832 Class A shares, 22% of the class, including 62,530 held directly, 603,610 options vesting within sixty days, the LLC's shares and 125,000 held by the Anne Wojcicki Foundation, a Los Altos non-profit of which she is President and Chairman and whose shares she votes; the percentages use the 25,431,244 Class A shares outstanding on June 11, and the same disclaimer applies. On July 1, 2025 she held 22.56% of Class A and 12.33% of the total vote, and no Class B shares; ABeeC held 19.39% of Class A, Zentree Investments Limited 14.55% (7.95% of the vote) and Farallon Capital Partners, L.P. 5.00% (2.73%), and the other directors held no shares. ## Other holders in 2024–2025

- Analysis: Zentree Investments Limited, a Cayman Islands company with an address in Singapore care of its manager, and its director Richard Magides first reported a passive stake of 5.02% on November 8, 2024. A financial-data aggregator describes Magides as the founder in 2011 and chief executive of Zentree Investment Management Pte Ltd. On Schedule 13D they reported 13.0% on March 12, 2025, Magides having spent $9,340,639 of personal funds, and 18.2% on March 28, 2025; they said they sought a voice for minority investors, to prevent a sale at an unreasonable price, more prudent cost management and equal rights for the two share classes, purposes that are their own, with no agreements with others reported. - Analysis: Farallon Partners, L.L.C., general partner of funds including Farallon Capital Partners, L.P., reported as a passive investor shared power over 1,231,241 Class A shares, 6% of the class, for an event date of June 13, 2025. [src-020]

## A co-founder's view

- Analysis: 23andMe, Inc. was founded in 2006 by Anne Wojcicki, Linda Avey and Paul Cusenza as the first direct-to-consumer genetic testing company. On March 26, 2025, as reported by a news outlet, Avey wrote on X that her time at the company was cut short in 2009 when Wojcicki convinced the board that she should run it, and that Wojcicki afterwards "architected a majority vote for herself that eliminated board governance". This is Avey's personal account, not a finding about the company's governance; the report said 23andMe did not immediately respond to a request for comment, and no response by Wojcicki was found in the retained record.
