# Digital Wave Finance AG in the Zug commercial register, 2018–2026

**Question.** What do the Zug register, the official gazette and the LEI records show about Digital Wave Finance AG?

**Answer.** The register shows a company with CHF 100,000 of share capital, founded in Risch in December 2018 with Louis Bisang and Michael Rendchen on its board, which moved to Zug and switched to IT and software services in June 2023 and has had an auditor since October 2023. Its board passed from Bisang and Rendchen to the Schweizer brothers and then to Irène Saxer and Marc Philipp Prinz alongside Marco Schweizer; since they left in August 2024 the extract shows Marco Schweizer as its only officer. Neither the register nor the LEI records name its shareholders: the LEI record says only that it is owned by natural persons.

## Registration and capital

- Analysis: Digital Wave Finance AG, in French Digital Wave Finance SA and in English Digital Wave Finance Ltd., was entered in the Zug commercial register on 18 December 2018 under the business identification number CHE-339.148.394; a commercial company directory gives its former cantonal number as CH-170.3.043.145-0. The Swiss Official Gazette of Commerce (SHAB) published the entry on 21 December 2018 (daily register no. 18069), based on articles of association of 11 December 2018. The company was seated in Risch, at Suurstoffi 12A, 6343 Rotkreuz. Its fully paid share capital of CHF 100,000 is divided into 1,000 registered shares of CHF 100, whose transfer the articles restrict, and notices go to the addresses in the company's share register. Its first purpose was worldwide financial-market services, in particular asset management, asset and investment advice and the brokering of transactions in financial instruments of all kinds, and it opted out of a limited audit. The first board consisted of Louis Bisang as chair and Michael Rendchen as member, each with individual signing authority. The notice lists board members and signing authority only: it names no founders or shareholders and records no contribution in kind or acquisition of assets. [src-001] [src-017] [src-031]
- Analysis: SHAB published the company's register entries eleven times: on 21 December 2018, 23 December 2019, 12 August 2020, 27 May 2022, 26 August 2022, 7 December 2022, 21 June 2023, 3 November 2023, 25 January 2024, 15 March 2024 and 9 August 2024. The register extract retrieved on 7 October 2026 shows no later entry. The company has held the legal entity identifier 506700I73GHHB2FAH085 since 1 February 2019; the LEI record names the Swiss Federal Statistical Office as registration authority, with entity ID CHE339148394, gives Aabachstrasse 8 in Zug as legal and headquarters address and shows the identifier as active. ## Seat, purpose and offices

- Analysis: Register entry no. 7 (daily register of 16 June 2023; articles of 5 June 2023) moved the registered office from Risch to Zug and the address from Suurstoffi 12A, Rotkreuz, to Aabachstrasse 8, 6300 Zug. The same entry replaced the financial-market purpose with information-technology services and software development, in particular for financial-market companies, the sale of its own software products and the operation of platforms. The new wording also lets the company hold participations and grant financing and security to group companies and to third parties, including its direct or indirect shareholders. [src-001]
- Analysis: On its employer profile at jobs.ch the company describes itself as a software development company in the crypto trading space that has operated successfully for over five years, with 21 to 50 employees at Aabachstrasse 8. Its recruiting pages on Workable speak of building trading systems, "founded in cryptocurrency markets", with expertise in mathematics, physics and computer science; a system-administrator vacancy shown in October 2026 as posted seven months earlier was labelled "Hybrid Bucharest" but gave Zug as the place of work, offered relocation support and mentioned servers in a data centre and cloud networks. The Swiss telephone directory search.ch lists the company at a different address, Hofstrasse 14 in Zug. [src-038] [src-052] [src-040]

## Board members and signatories

- Analysis: Louis Bisang chaired the founding board with individual signing authority. From entry 2 (18 December 2019) he remained a board member with joint signing authority, and entry 3 (daily register of 7 August 2020) cancelled his registration; the cryptocurrency news outlet dated Bisang's departure from Digital Wave Finance to June 2020. Michael Rendchen, a founding member, chaired the board with joint signing authority from entry 2, became an ordinary member again with entry 5 (23 August 2022) and left with entry 6 (2 December 2022). Remo Schweizer was chair with joint signing authority only between those two entries. Marco Schweizer joined the board with joint signing authority with entry 2, received individual signing authority with entry 6, chaired the board from entry 8 (31 October 2023) and has been an ordinary member with individual signing authority since entry 11 (6 August 2024). [src-001] [src-002]
- Analysis: Irène Saxer became an authorised signatory with limited joint signing authority with entry 4 (23 May 2022) and a board member with entry 8, and left with entry 11; the North Data page for Irène Esther Saxer shows no other mandate. Marc Philipp Prinz was a board member with joint signing authority over the same period, from entry 8 (31 October 2023) to entry 11 (6 August 2024). The Zurich law firm VISCHER AG (CHE-114.887.824, LEI 5067005LT0GH50DM5750) presents Marc Ph. Prinz on its website as an attorney and partner heading its labour and employment law practice group, and a SHAB notice of 25 May 2023, as reproduced by a commercial company directory, records that Marc Philipp Prinz left the board of the courier company DPD (Schweiz) AG of Buchs ZH together with other board members. In the register extract retrieved on 7 October 2026, Marco Schweizer is the only entered officer of Digital Wave Finance AG; every other person's entry is struck through, and JURISAUDIT AG is the entered auditor. ## Auditors

- Analysis: Having opted out of a limited audit in 2018, the company cancelled the opt-out with entry 8 (31 October 2023) and entered Strasser & Vögtli Treuhand AG of Hunzenschwil (CHE-110.056.712) as auditor, a firm registered in the Canton of Aargau since 10 April 2003 to advise companies on fiduciary, auditing, tax, IT and business matters. That firm was removed with entry 9 (22 January 2024). Since entry 10 (12 March 2024) the auditor has been JURISAUDIT AG of Zug (CHE-114.623.136), an audit and advisory firm at Industriestrasse 47 that was registered in Zurich on 9 December 2008 as SWISS COMPLIANCE SERVICES AG and took its present name and seat in Zug in November 2017. North Data's summary of 2024 SHAB publications also lists it as the company's auditor. [src-001] [src-063] [src-032]

## What the records say about owners

- Analysis: In the Global LEI System the company reports neither a direct nor an ultimate accounting-consolidation parent and declares for both levels the reporting exception NATURAL_PERSONS, meaning that it is owned by natural persons rather than by a consolidating parent company (GLEIF golden copies of 29 and 30 September 2026; a commercial LEI-directory entry gives the same reason). The exception is the company's own declaration and names no person or shareholding. A commercial company directory states that it knows nothing of the company's ownership structure or of its holdings in other companies. None of the retained records therefore names the shareholders. This rests on the records retained here: a share register or beneficial-owner list kept by the company was not available, and absence from public records is not concealment. [src-004] [src-022] [src-042] [src-017] [src-031]
- Analysis: A search of the Swiss Federal Supreme Court's decision database for the exact name "Digital Wave Finance" on 7 October 2026 returned no decisions. The court anonymises parties in published decisions, and lower-court and cantonal decisions are not covered, so the empty result does not show that the company has never been a party to proceedings.
