# Exactech's board and executives, 2018–2024

**Question.** Who ran Exactech under TPG ownership?

**Answer.** After the 2018 closing Exactech's board consisted of William and David Petty, Jeffrey Binder and the TPG partners Todd Sisitsky, John Schilling and Kendall Garrison. William Petty and Binder were co-executive chairmen until January 2020, when Darin Johnson became chief executive; Binder was chief executive from March 2022 to March 2023 and chairman into 2024, and independent directors joined from 2021. The Settlement Trust alleges that TPG controlled the board and key posts; the allegation is unadjudicated.

## At the time of the sale

- Analysis: In January 2018 William Petty was executive chairman, David W. Petty president and chief executive, Joel C. Phillips finance chief, Gary J. Miller head of research and development, Bruce Thompson a senior vice president, Betty Petty corporate secretary and Donna Edwards general counsel; the independent directors were James G. Binch, William B. Locander, Richard C. Smith, Fern S. Watts and W. Andrew Krusen, Jr. [s-d5] [s-d128]

## The board under TPG

- Analysis: The 2019 report to the Florida register listed William Petty, Binder, Garrison, Schilling, Sisitsky and David Petty as directors, and Daniel P. Hann among the officers. According to a written consent of November 2023 quoted in the Settlement Trust's complaint, the board then comprised Darin Johnson, David Petty, Binder, Sisitsky, Schilling, Garrison, Diana Nole, Gwen Bingham, Karen Golz and M. Elizabeth Abrams. The complaint alleges that the Exactech and Osteon Holdings boards were identical until November 2023, that TPG placed its people in key posts and that the TPG principal Michael Tepatti attended at least 28 board or audit committee meetings. - Qualification: The 2023 board list is quoted from a corporate consent in the complaint; the description of TPG's control and of meeting attendance is the Settlement Trust's allegation, not adjudicated.

## Executives

- Analysis: William Petty and Binder were co-executive chairmen after the acquisition; Petty stepped back in January 2020, when Darin Johnson succeeded David Petty as chief executive and David Petty became vice chairman. Binder was chief executive from March 2022 to March 2023, after which Johnson returned, and Kerem Bolukbasi, previously a TPG consultant, became finance chief in August 2020. The company's August 2024 report to the Florida register listed Johnson as chief executive, Tony Collins as finance chief, Edwards as secretary, Binder as chairman and David Petty, Timothy Pohl and Abrams as directors. [s-d24] [s-d5] [s-d14] [s-d20]
  - Qualification: The dates come from the Settlement Trust's complaint; the earlier SEC proxy confirms David Petty as chief executive from March 2014 and president from November 2007, and the Florida and UK registers confirm Johnson as president and chief executive.

## Jeffrey Binder and the TPG team

- Analysis: Binder had been president and chief executive of Biomet from February 2007, until June 2015 according to the trust. The trust alleges that he has been a senior adviser to TPG since June 2015, paid by TPG rather than Exactech for his Exactech work, and that by 2019 he controlled its commercial activities; a national newspaper reported his consulting relationship with TPG from 2015. The trust also sues Sisitsky, Schilling, Garrison, Tepatti and two members of TPG's health-care team, Bennett Yasskin and John Lin; Sisitsky stepped down as president of TPG Inc. on 6 September 2026. [s-d305] [s-d24] [s-d301] [s-d97]
  - Qualification: These are allegations in the Settlement Trust's complaint, which was pending in the Delaware Court of Chancery in October 2026; no court has ruled on them. The agreement and payments are described only in the complaint. Titles other than Sisitsky's 2026 departure come from the Settlement Trust's complaint.
