# Edward James: First Brands executive and co-defendant

- Also known as: Ed James

**Question.** What roles did Edward James hold at First Brands, and what do the civil suits and the indictment allege about Edward James?

**Answer.** Edward James, brother of founder Patrick James, was an executive vice president and board member of First Brands until resigning from all group positions on September 25, 2025; the indictment and the company later called Edward James a former senior vice president. The debtors and a creditor group sued Edward James and Onset Financial in January 2026, alleging that Edward James secretly invested alongside Onset, and Edward James is charged with Patrick James in a federal fraud indictment. Edward James pleaded not guilty on February 4, 2026; trial is set for February 9, 2027, and none of the allegations has been decided.

## Positions at First Brands

- Analysis: Edward James, also recorded as Ed James, is the brother of First Brands' founder Patrick James. First Brands' January 9, 2023 offer to purchase Horizon Global shares described Ed James as executive vice president of First Brands Group, LLC for more than five years, after earlier roles in finance, accounting and working capital solutions with the company and its predecessor, and listed Ed James as executive vice president of the offer vehicle PHX Merger Sub, Inc. from December 2022. Records differ on the last title: the offer document and the debtors' November 2025 complaint say executive vice president, while the U.S. Attorney's Office description of the indictment and First Brands' own statement on it call Edward James a former senior vice president; the records do not explain the difference. - Analysis: On September 25, 2025 Edward James resigned from all positions held as an officer, director, manager or board member at all First Brands entities, as did the chief corporate strategy officer, Michael Baker, according to the debtors' complaint. Edward James had also sat on boards in the Ultinon lighting business that First Brands bought: in a first-day declaration for the Ultinon debtors, their independent director, appointed only from November 21, 2025, said many of those boards consisted of the same "FBG Appointees", including Edward James and Michael Baker, and stated on information and belief that the appointees directed transfers of tens of millions of dollars of value out of the Ultinon business without receiving value in return. The statement identifies no specific transfer and no court has ruled on it; no claim against the appointees had been brought or decided in the record, and the Ultinon plan of liquidation, which leaves such decisions to the trustee of a litigation trust, was confirmed on August 20, 2026, with its effective date noticed on October 12, 2026. - Analysis: Edward James and Patrick James are listed as unpaid trustees of the Sandor Foundation, a private foundation in Chagrin Falls, Ohio, in its returns through fiscal year 2022, according to return data published in a nonprofit database. In the bankruptcy case Edward James appears on the docket as an interested party with separate counsel, like other former executives, and appealed the bankruptcy court's order on the directors' and officers' insurance policies; on April 24, 2026 Senior U.S. District Judge Lee H. Rosenthal refused the creditors' committee's motion to dismiss the Side A insurers' appeal of that order, noting that the insurers were in effect joining Edward James's appeal. ## Dealings with lenders and Onset Financial

- Analysis: A press profile of October 2025 reports that invoice lenders typically dealt with Edward James, who became the point man for what First Brands called "working capital solutions", and quotes an asset-backed lending specialist as saying that when the specialist's team asked to check a stock list against inventory on site, Edward James replied: "We don't let lenders into the warehouse." The account is an unnamed lender's, as reported in the press; the publication said Edward James could not be reached for comment, and no response by Edward James to it is in the record. [src-086]
- Analysis: In a reply filed on February 3, 2026, in a contested dispute over the retention of its forensic adviser to which the Ad Hoc Group objected, the Official Committee of Unsecured Creditors said the adviser had identified more than $100 million personally received by Edward James through Optimus Private Capital LLC and JCMC Investment Group LLC, entities it says Edward James controlled, and that Edward James kept personal financial relationships with Onset Financial and other asset-based lenders to First Brands while controlling those relationships as a company executive. These are the committee's positions, not adjudicated findings; after the 2026 conversion to Chapter 7 the claims pass to the Chapter 7 trustee. [src-052] [src-051]
- Analysis: In a report filed in July 2026 in support of the debtors' liquidating plan, as reported in the press, the debtors' retained expert Marc S. Kirschner alleged that Edward James held a $20.5 million interest in Helios Strategic Advisors, a broker that helped First Brands find financing for fees, part of which was used to funnel kickback payments to Edward James; that Leucadia Asset Management's 2023 request for a call and site visit with chief financial officer Stephen Graham was met with threats from Edward James; that Edward James insisted on being the only person to communicate with Onset and invested alongside Onset in the SPV transactions; and that financing statements were filed late after pushback from Edward James. These are unadjudicated opinions of an expert paid by the debtors' lawyers. Edward James has denied wrongdoing and pleaded not guilty in the criminal case on February 4, 2026; no response by Edward James or Helios to the expert's specific statements was found in the record. Onset denies wrongdoing, blames the James brothers for the collapse and describes itself as a victim that did business with First Brands in good faith. In August 2026 the court found the plan, which relied on these litigation claims, not feasible and ordered the cases into Chapter 7 liquidation. [src-085] [src-091] [src-066] [src-084] [src-070]
- Analysis: Two suits filed in January 2026 make similar allegations. On January 5, 2026 a group of First Brands creditors accused Onset Financial of "pillaging" the company through usurious financing arrangements approved by Edward James, alleging that Onset in return agreed to pay Edward James hundreds of millions of dollars through additional fees and a right to invest personally in the financings. On January 9, 2026 First Brands sued Edward James and Onset in Houston, alleging that they conspired "to defraud creditors out of billions of dollars and property", with Edward James to "work against the company as Onset's secret partner"; the complaint says Edward James invested nearly $150 million alongside Onset hoping to extract nearly $280 million and that Onset and Edward James obtained over $2.3 billion in payments. Onset denied wrongdoing, blamed the James brothers for the collapse and called the debtors' claims a "desperate attempt to blame a victim for doing business in good faith". After the court rejected the debtors' plan in August 2026, an Onset spokesperson said the ruling showed the allegations against Onset "wholly lack merit". By June 2026 the debtors' suit had been stayed, together with the suit against Patrick James, pending resolution of the criminal charges against Patrick James. [src-084] [src-070] [src-039]

## Criminal charges

- Analysis: The federal indictment in United States v. Patrick James and Edward James, 26 Cr. 29 (AT), filed under seal on January 27, 2026 and unsealed on January 29, 2026, when Edward James was arrested in the Northern District of Ohio, charges Edward James in Counts Two through Nine, including conspiracy to commit wire fraud affecting a financial institution and bank fraud, wire fraud, bank fraud and conspiracy to commit money laundering. It alleges that from at least 2018 through 2025 the brothers obtained billions of dollars of financing for First Brands and millions of dollars for themselves through faked and inflated invoices, double- and triple-pledged loan collateral and concealed liabilities; that the off-balance-sheet inventory financings were directed by Patrick James and negotiated by Edward James, who received millions of dollars in commission fees for brokering one of them; and that bank transfers were structured at Edward James's direction to mimic purchases and resales of inventory. Count Nine alleges a money-laundering conspiracy from at least 2022 through 2025, and the forfeiture the indictment seeks would require a conviction. These are unproven accusations: a lawyer for Edward James said Edward James had acted with integrity over decades of work, a spokesperson for Patrick James said Patrick James denies the charges, both pleaded not guilty on February 4, 2026 and are presumed innocent unless proven guilty, and trial is set for February 9, 2027. [src-066] [src-005] [src-081] [src-008] [src-095]
- Analysis: Edward James was released on February 4, 2026 on a $25,000,000 personal recognizance bond secured by $1,000,000 deposited with the court and by a residence, with home detention, location monitoring, no private air travel and travel limited to the Southern and Eastern Districts of New York and the Northern District of Ohio. On June 23, 2026 the court replaced home confinement with a curfew; Edward James's counsel wrote that the government and Pretrial Services did not object; a press report describes Patrick James's modification, granted on June 17, 2026, as a curfew, terms the docket entry does not state. Edward James had asked for a trial in the fall of 2026 and Patrick James for one in 2027; on May 8, 2026 the court set the jury trial for February 9, 2027. On September 4, 2026 Edward James moved to dismiss the indictment, to sever the trial, to suppress evidence obtained through search warrants and to preclude untimely disclosed evidence; on September 30, 2026 the court said it would rule on the pending motions in due course.
