# Alec E. Gores: SPAC sponsor, shareholder and director of Luminar

- Also known as: Alec Gores

**Question.** What roles did Alec E. Gores have at Luminar, from its blank-check predecessor to its liquidation?

**Answer.** Alec E. Gores, founder and chief executive of the investment firm The Gores Group, co-founded the blank-check company Gores Metropoulos, Inc. in 2018 and was its chief executive until it combined with the private Luminar company in December 2020. He then sat on Luminar's board, which counted him as independent, until the liquidation plan took effect on April 6, 2026, and held Class A shares mainly through AEG Holdings, LLC and GM Sponsor, LLC. Shareholder derivative suits filed in Delaware in 2023 named him among the defendants; none was decided on the merits.

## Co-founder of Luminar's blank-check predecessor

- Analysis: Alec E. Gores is the founder, chairman and chief executive officer of The Gores Group, the investment firm he founded in 1987. In August 2018 he and Dean Metropoulos founded Gores Metropoulos, Inc., a blank-check company with Andrew McBride as chief financial officer, which raised $400,000,000 by selling 40,000,000 units at $10.00 each in its February 2019 initial public offering. SEC ownership records with reporting dates of January 31, 2019 list Gores as its director, more-than-10% owner and chief executive officer and Metropoulos as chairman, director and more-than-10% owner, with AEG Holdings, LLC, Gores Metropoulos Sponsor LLC and HRM Holdings LLC also listed as more-than-10% owners. - Analysis: Gores is the managing member of AEG Holdings, LLC, which is the managing member of GM Sponsor, LLC, and GM Sponsor, LLC is named as managing member of the blank-check company's sponsor, Gores Metropoulos Sponsor LLC, in the signature block of the registration rights agreement attached to the 2020 merger proxy; the merger closing report states that Gores made the voting and disposition decisions for the Luminar shares held by GM Sponsor and AEG. The sponsor paid $25,000 for 10,781,250 founder shares on October 18, 2018, forfeiting 781,250 of them on March 18, 2019, and $10,000,000 for 6,666,666 private placement warrants on February 5, 2019. Under an agreement of February 1, 2019 the blank-check company paid The Gores Group $20,000 a month for office space, utilities and secretarial support until it completed a business combination or liquidated. - Analysis: When the merger with the private Luminar company was announced, Gores Metropoulos stated on September 15, 2020 that at least $170 million would be invested directly into Luminar when the merger agreement was signed, an investment led by investors including Alec Gores, Van Tuyl Companies, Volvo Cars Tech Fund, Crescent Cove, Moore Strategic Ventures and VectoIQ. The announcement gives "Crescent Cove" and "Volvo Cars Tech Fund" without their legal names; they correspond to Crescent Cove Advisors, LP and Volvo Car Technology Fund AB. Effective at the closing on December 2, 2020, Gores resigned as chief executive officer and McBride as chief financial officer, and Austin Russell became chairman, president and chief executive officer. ## Director, 2020–2026

- Analysis: Gores was elected on December 1, 2020 to the five-member board that took office at the closing, as a Class II director, and the board found him independent under Nasdaq rules. In June 2025 he was one of nine directors and still in Class II, with Matthew J. Simoncini and Daniel D. Tempesta, and the 2025 proxy statement counted him among the seven directors the board found independent. His service ended on April 6, 2026, when all eleven directors ceased to be directors as the confirmed Chapter 11 plan took effect. [src-011] [src-002] [src-005]
- Analysis: In June 2022 Luminar bought, in open-market purchases, securities of a special purpose acquisition company of which Gores was chairman, chief executive and a principal shareholder; that company merged with Polestar Automotive Holding UK PLC on June 24, 2022. Luminar's 2025 annual report describes the balance of the investment at December 31, 2024 and 2025 as not material. [src-034]

## Shareholdings through AEG Holdings and GM Sponsor

- Analysis: At the merger closing Gores was one of the largest holders of Class A stock with 10,943,499 shares (5.0% of the class), of which 8,932,500 were held by GM Sponsor LLC and 2,010,999 by AEG Holdings, LLC. The sponsor, AEG Holdings and GM Sponsor were parties, with Austin Russell, GVA Auto, LLC and others, to the amended and restated registration rights agreement under which Luminar was obliged to register the resale of up to about 151.1 million Class A shares. As of February 29, 2024 he reported 5,184,139 Class A shares (1.6%), 4,584,395 held by AEG Holdings and 152,534 by Pacific Credit Corp., with 4,736,929 pledged under a credit line with a third party; after the November 2024 one-for-15 reverse split he reported 347,732 shares as of June 3, 2025, 305,626 held by AEG Holdings and 10,168 by Pacific Credit, with 315,795 pledged and the rest held by two family trusts or directly. ## Derivative suits

- Analysis: In 2023 shareholders brought four derivative suits on Luminar's behalf repeating the alleged wrongdoing of a 2023 securities class action. The three filed in November 2023 in the District of Delaware (C.A. Nos. 23-cv-01318, 23-cv-01345 and 23-cv-01359) name Alec E. Gores and Austin Russell among the defendants, and the fourth, filed on October 21, 2023 in the Middle District of Florida (No. 6:23-cv-02037), was brought against certain directors and an employee; they assert breach of fiduciary duty, unjust enrichment, abuse of control, gross mismanagement, waste, aiding and abetting and contribution claims. These are claims brought by shareholders in the company's name, and none was decided on the merits. Luminar disputed the allegations, said it intended to defend the suits vigorously and assessed the likelihood of a material adverse effect on its financial results as remote; its annual report for 2025 said the defendants disputed the allegations. The Delaware suits were consolidated on February 8, 2024 and administratively closed on March 5, 2024 pending the motion to dismiss in the class action, and remained closed; the Florida suit was stayed on February 8, 2024 and the stay was lifted on December 19, 2025. After the Chapter 11 filing the company notified the courts of the automatic stay. [src-015] [src-034] [src-036]
