# Luminar's Chapter 11 case: business sales, plan and liquidating trust

**Question.** How did Luminar's Chapter 11 case unfold, and who bought its businesses?

**Answer.** Luminar Technologies, Inc. and two subsidiaries filed for Chapter 11 in Houston on December 15, 2025, after a search for buyers that began in January 2025, a decision not to pay interest on its secured notes and a series of forbearance agreements with noteholders. In February 2026 it sold Luminar Semiconductor, Inc. to Quantum Computing Inc. and its LiDAR business to MicroVision, Inc., and then stopped operating except to wind down. The plan of liquidation confirmed on April 3, 2026 took effect on April 6: existing shareholders received nothing, a 5% block of shares awaits an OFAC licence before cancellation, and the remaining assets, including claims preserved against former insiders, passed to a liquidating trust.

## The search for a buyer in 2025

- Analysis: Luminar retained the investment bank Jefferies LLC in January 2025 to answer an unsolicited acquisition proposal and to help it weigh strategic alternatives. Further unsolicited approaches in the spring and summer of 2025 led to management meetings and due diligence but, according to the debtors' disclosure statement, to no actionable transaction. In September 2025 Jefferies began a process to explore a business combination for the company or its LiDAR business, and Luminar engaged the law firm Weil, Gotshal & Manges LLP and Portage Point, through Triple P TRS, LLC, to work on a comprehensive restructuring. By the debtors' own account Jefferies contacted more than 100 strategic and financial prospective buyers and received a number of proposals; the retained records do not identify the proposals other than those described below. A Form 8-K of October 30, 2025 disclosed the three advisers' engagement and the receipt of non-binding preliminary proposals and indications of interest for the whole company and for some of its assets and business lines, including one from Russell AI Labs, a company founded by the founder and former chief executive Austin Russell. The company warned that it might seek relief under the U.S. Bankruptcy Code and that holders of its Class A stock would then likely suffer a total loss of their investment. Its quarterly report for the third quarter of 2025 described the same proposals, including a preliminary proposal for one of its subsidiaries. [src-015] [src-020] [src-037]
- Analysis: Russell AI Labs, which Austin Russell's Schedule 13D describes as a platform Russell founded to build and back next-generation intelligent technology companies, had announced its launch on September 24, 2025, naming Russell, Markus Schaefer and Murtaza Ahmed as co-founders. The announcement describes Schaefer as chief technology officer and member of the board of management of Mercedes-Benz Group AG and former chief operating officer of Daimler AG, and Ahmed as a former Goldman Sachs managing director and SoftBank Vision Fund partner. It named Emergence AI, a New York-based developer of agentic AI software, as its first partner company, described a "new $300 million stake" in it and said Russell would become Emergence AI's Executive Chairman; Emergence AI's chief executive said in the same release that the partnership would help the company accelerate commercialization. These are the companies' own announcements: the terms of the stake and whether it was completed are not documented in the retained records. [src-004] [src-056]
- Analysis: On October 14, 2025 Russell sent Luminar's board a non-binding proposal under which Russell AI Labs would acquire all of Luminar's Class A shares, possibly while also acquiring a larger global automotive technology company to be combined with Luminar as "Luminar 2.0". Shareholders would receive cash and/or securities of the combined company, which would keep the Luminar name and the LAZR ticker, and a closing condition was a restructuring of Luminar's debt to no more than $150 million. Russell disclosed the proposal in an October 16, 2025 amendment to the Schedule 13D, which says it was made at the suggestion of certain shareholders and the invitation of certain board members; that description is Russell's own, and the company did not identify the shareholders or directors concerned. Luminar says it considered the proposal, gave feedback to Russell and Russell's advisers and kept engaging with them until a few days before the petition date, but that in its various versions the proposal carried substantial execution risk: it required near-unanimous consent of the noteholders, a shareholder vote and capital to bridge the company to closing, and involved regulatory risk. Russell's interest continued after the filing: in January 2026 Russell's lawyer said, according to a news report, that as it related to Luminar the focus remained on "Russell AI Labs' bid to rebuild the company and bring value to its stakeholders", and representatives of Russell AI Labs told the same publication that Russell remained interested in bidding for the lidar assets but had not yet submitted a formal offer. Luminar filed for Chapter 11 on December 15, 2025 and in February 2026 sold its semiconductor subsidiary to Quantum Computing Inc. and its LiDAR business to MicroVision, Inc.; the retained records show no transaction with Russell AI Labs. [src-004] [src-015] [src-005] [src-062] [src-084]
- Analysis: The eventual buyer of the semiconductor business first approached Luminar out of court. On October 31, 2025 Quantum Computing Inc. (QCi) indicated interest in buying the equity of Luminar's semiconductor business (LSICo) for $100 million. On November 2, 2025, in exchange for QCi raising its price to $110 million, the two companies entered into an exclusivity agreement with a November 14, 2025 deadline; they did not sign a binding agreement by then, and Luminar terminated the exclusivity agreement. [src-015]

## Defaults, forbearance and the petition

- Analysis: Luminar's board decided not to pay the interest due on the company's first-lien and second-lien notes in October and November 2025 and entered into a series of forbearance agreements with an ad hoc group of noteholders. The negotiations over one of the forbearance extensions led to the appointment of Robin Chiu of Portage Point as chief restructuring officer; Chiu signed the debtors' first disclosure statement, dated December 30, 2025, on behalf of Luminar Technologies, Inc. and its affiliated debtors. [src-015] [src-005]
- Analysis: On December 15, 2025 Luminar Technologies, Inc. and its subsidiaries LAZR Technologies, LLC and Luminar, LLC filed voluntary Chapter 11 petitions in the United States Bankruptcy Court for the Southern District of Texas; Condor Acquisition Sub I, Inc. and Condor Acquisition Sub II, Inc. followed on December 31, 2025. Orders of December 16, 2025 and January 9, 2026 placed the cases under joint administration for procedural purposes under Case No. 25-90807 (CML); the subsidiaries' own case numbers are 25-90806 (LAZR Technologies), 25-90808 (Luminar, LLC), 25-90819 (Condor I) and 25-90820 (Condor II). Luminar Semiconductor, Inc. and its subsidiaries, which housed the advanced technologies and services segment, were not debtors; the debtors instead sold their shares in Luminar Semiconductor, Inc. under section 363 of the Bankruptcy Code. On December 30, 2025 the United States Trustee for Region 7 appointed an official committee of unsecured creditors, and the court set February 4, 2026 as the general deadline for filing claims (June 15, 2026 for government units). By the time the general deadline had passed, about 203 proofs of claim had been filed against the debtors, according to their later disclosure statement. Austin Russell appeared in the case as an interested party, represented by the law firm Shulman Bastian Friedman Bui & O'Dea LLP. [src-015] [src-005] [src-042] [src-054] [src-049] [src-044]

## Selling the semiconductor and LiDAR businesses

- Analysis: On the petition date the debtors signed a stock purchase agreement under which Quantum Computing Inc. would act as stalking-horse bidder for the equity of Luminar Semiconductor, Inc. and its subsidiaries, buying the business as a going concern for $110 million in cash, subject to adjustments and to higher or better offers; the debtors intended to use the proceeds to pay down first-lien debt. The agreement provided for a break-up fee of three per cent of the closing cash price plus up to $2,200,000 of the buyer's expenses if it was terminated in favour of another deal, and was signed by Quantum Computing's chief executive, by Thomas Beaudoin as president of Luminar Semiconductor, Inc. and by Paul Ricci as chief executive of Luminar Technologies, Inc. The bankruptcy court approved bidding procedures on December 30, 2025, and no other qualified bid for the semiconductor business was received. According to the debtors' later disclosure statement, no formal or informal objections to the sale were received by the January 20, 2026 sale objection deadline. [src-015] [src-047] [src-049]
- Analysis: For the LiDAR business the debtors signed a stalking-horse agreement with Quantum Computing on January 11, 2026 to sell specified assets for $22.0 million in cash. At the auction on January 26, 2026 MicroVision, Inc. made the winning bid of $33 million in cash plus assumed liabilities, with Quantum Computing as back-up bidder at $28.78 million, and Luminar and MicroVision signed a purchase agreement the same day. According to a news report, just before the sale hearing of January 27 an unidentified party submitted an offer that Luminar's lawyer described in court as "substantially higher" than MicroVision's $33 million but with "infirmities", coming from an "insider purchaser"; the report said this meant it likely came from Austin Russell. The bidder's identity is not disclosed in the retained court records, and the link to Russell is the publication's inference from the lawyer's words. Representatives of Russell AI Labs had earlier told the same publication that Russell was interested in bidding for the LiDAR business; they did not respond to its request for comment on January 28, 2026. After meetings of its special transactions committee and its board, Luminar kept the MicroVision bid, and the court approved the sale to MicroVision by an order entered on January 30, 2026, finding that the bidding process had obtained the highest or otherwise best value for the LiDAR assets and that no other transaction available or presented would have yielded a higher or better result; the sale closed on February 3, 2026. The same report summarised testimony at the hearing by a Jefferies managing director that another unidentified party had been preparing a bid since January 12, 2026, first financed by a "Chinese national company", and that after Luminar raised concerns about regulatory approval the bidder replaced that funding with three non-Chinese sources; neither that bidder nor its financing sources are identified in the retained records. [src-034] [src-049] [src-052] [src-079]
- Analysis: The court approved the sale at the hearing on January 27, 2026 and entered orders approving the sale of the semiconductor business on January 29 and of the LiDAR assets on January 30, each free and clear of liens and claims. Luminar completed the sale of all shares of Luminar Semiconductor, Inc. to Quantum Computing on February 2, 2026 and the sale of its LiDAR business to MicroVision on February 3, 2026, both under section 363 of the Bankruptcy Code, and on February 4 paid Quantum Computing a $0.7 million break-up fee and reimbursed $0.5 million of its expenses. MicroVision's annual report for 2025 states that it acquired intellectual property and inventory of Luminar's worldwide LiDAR sensor business, including the IRIS and HALO sensors, paying the $33.0 million price, less a 10 per cent deposit paid earlier, plus $0.2 million of cure costs, from cash on hand. After the two sales Luminar ceased business operations except to wind them down. In a declaration filed on March 30, 2026 in support of the plan, director Patricia Ferrari stated that the LiDAR assets were ultimately sold for about $10 million more than the first stalking-horse bid, benefiting the estate, and that about 172 former Luminar employees kept their jobs; the job figure is not documented elsewhere in the retained records. ## The plan of liquidation and the shares

- Analysis: The debtors' first disclosure statement, dated December 30, 2025, proposed a confirmation hearing on March 19, 2026 before Judge Christopher Lopez in Houston. On February 18, 2026 the court approved the disclosure statement (Docket No. 430) for the Third Amended Chapter 11 Plan of Liquidation (Docket No. 433) and scheduled the confirmation hearing for April 1, 2026. By an order entered on April 3, 2026 (Docket No. 589) it confirmed the Fourth Amended Chapter 11 Plan of Liquidation, dated March 30, 2026 (Docket No. 558), which holders of first-lien noteholder claims (Class 3), second-lien noteholder claims (Class 4) and general unsecured claims (Class 5) had voted to accept. Under the plan the debtors' businesses are wound down and liquidated: the assets and liabilities of their estates vest in a liquidating trust, new common stock of Luminar Technologies, Inc. is issued to the trust, which becomes the company's majority shareholder, and holders of existing equity interests receive no recovery. When the plan took effect on April 6, 2026, all equity interests outstanding before the effective time, including Austin Russell's Class B shares, were or will be cancelled without consideration. [src-015] [src-051] [src-044] [src-005]
- Analysis: One block of shares follows a separate sequence. The disclosure statement for the third amended plan says that OFAC issued a blocking order for 5% of the parent company's shares (the "Blocked Parent Interests"), so the debtors could not deal in them before obtaining an OFAC licence; it does not say whose shares are blocked or when the blocking order was issued. All other parent shares were cancelled on the effective date and the same number of new shares was issued to the liquidation trust; the blocked shares are to be cancelled, and Luminar Technologies, Inc. wound down, only after an OFAC licence is obtained. The confirmation order of April 3, 2026 kept this sequence: it requires the debtors to obtain the licence and any other required OFAC approvals before cancelling the blocked shares or dissolving the company, and enjoins holders of the blocked shares from exercising any rights in them. The retained records, which run to October 2026, do not show that an OFAC licence had been issued. [src-049] [src-044]

## The liquidating trust

- Analysis: The confirmation order approved a limited substantive consolidation of the debtors for distribution purposes as an integral part of a global settlement with the creditors' committee and the ad hoc noteholder group. On the effective date all liquidation trust assets, including the debtors' retained causes of action, vested in the trust free and clear of claims and liens, and the liquidation trustee owes fiduciary duties to the holders of allowed first-lien, second-lien and general unsecured claims as the trust's beneficiaries. The retained causes of action include the claims against insiders that the plan supplement of March 16, 2026 preserved on its Non-Released Parties Schedule, which names Austin Russell, Thomas Fennimore, Alan Prescott and Jun Hong Heng. Such a schedule preserves the right to sue without stating that any claim is valid; no suit by the debtors or the liquidating trust against these individuals appears in the retained records, and none of them has been found liable. [src-044] [src-051]
- Analysis: The plan provides that the liquidation trustee is chosen by agreement of the ad hoc noteholder group and the creditors' committee, and that a three-member oversight board, selected by the creditors' committee, supervises the trustee's reconciliation of general unsecured claims and the handling of the reserve for those creditors. Reserves funded on the effective date include a $3,000,000 wind-down reserve and the general unsecured creditors' reserve. From April 6, 2026 the liquidation trustee serves as the sole officer, director or manager of each debtor and of certain non-debtor subsidiaries. Notices to the trustee are addressed care of Dundon Advisers LLC in New York; the retained records give that firm as the notice address and do not name the trustee. [src-049] [src-005]
- Analysis: The jointly administered case remained open in October 2026, with the liquidation trustee resolving creditors' claims: on October 2, 2026 the court signed an agreed order resolving a creditor's prepetition and administrative claims under a stipulation filed by the trustee the previous day. This account rests on a commercial court-docket service's listing of the docket entries; the stipulation itself is not among the retained records. [src-054]
