# How Luminar was financed and how its debt led to the 2025 defaults

**Question.** How was Luminar financed, and how did its debt lead to the 2025 defaults?

**Answer.** Luminar, which reported a net loss every year since its inception, raised money through $625.0 million of convertible notes in 2021, sales of Class A shares and, in 2025, convertible preferred stock. In August 2024 it exchanged most of those notes for second-lien notes and sold first-lien notes, both secured on substantially all of its assets. In October and November 2025 it did not pay interest due on the secured notes, and holders of most of them agreed a series of forbearances until the Chapter 11 filing of December 15, 2025, when its funded debt was about $488.0 million.

## Losses and the money raised, 2021–2023

- Analysis: Luminar has reported a net loss every year since its inception. Its annual reports show revenue of $13.95 million in 2020, $31.94 million in 2021, $40.70 million in 2022, $69.78 million in 2023, $75.40 million in 2024 and $66.01 million in 2025, and net losses of $445.9 million in 2022, $571.3 million in 2023, $273.1 million in 2024 and $366.3 million in 2025, a year in which it also recorded an $11.8 million deemed dividend on its Series A preferred stock. The December 2025 disclosure statement gives the 2023 net loss as $573 million. The accumulated deficit was $2.3 billion at September 30, 2025. [src-015] [src-034] [src-035]
- Analysis: On December 17, 2021 Luminar issued $625.0 million of unsecured 1.25% Convertible Senior Notes due December 15, 2026 in a private placement, including $75.0 million bought under the initial purchasers' option, under an indenture with U.S. Bank National Association as trustee; according to its 2025 annual report, each $1,000 of notes is convertible into 3.3365 Class A shares, an initial conversion price of about $299.70 per share. Alongside the notes it bought capped call options from certain counterparties for a net $73.4 million, with an initial strike of about $299.70 and a cap of $452.40 per Class A share, expiring on April 6, 2027, to reduce dilution or cash payments on conversion. In 2022 Luminar paid $80.9 million in cash to repurchase its own Class A shares, and its net cash used in financing activities that year was $79.4 million. [src-015] [src-034] [src-035]
- Analysis: From February 28, 2023 Luminar could sell Class A shares at market prices through Virtu Americas LLC as sales agent. The programme started at $75.0 million and was enlarged by $150.0 million in May 2024, $50.0 million in August 2024 and $75.0 million in March 2025, to $350 million in total; the December 2025 disclosure statement says $177.5 million was issued under it. In 2025 alone Luminar sold 12,527,353 shares through it for net proceeds of $36.2 million, and $172.5 million remained available on December 31, 2025. On May 8, 2023 Luminar also agreed to sell 110,192 Class A shares to a TPK Group company for $10.0 million in a private placement; the shares were issued on May 15, 2023, and an option over another 110,192 shares worth $10.0 million was exercised on August 9, 2023. Under a stock-in-lieu-of-cash programme Luminar could pay some vendors and other third parties in Class A shares instead of cash: it issued 2,733,642 shares this way in 2025 at a weighted average grant-date fair value of $4.34, including 2,600,000 shares in the first nine months of the year to TPK Holding Co., Ltd., an affiliate of a company vendor, as consideration for services or other payment obligations over the following quarters. ## Secured debt and the reduction of the 2026 notes, 2024–2025

- Analysis: On February 23, 2024 Luminar, as borrower, signed two non-recourse loan and securities pledge agreements with The St. James Bank & Trust Company Ltd.: a loan of up to $45.0 million secured by Luminar securities and a loan of up to $5.0 million secured by securities of ECARX Holdings Inc., each at 8.0% a year. At the December 15, 2025 petition date nothing was outstanding under either facility and no securities were held in the pledge accounts. Facing more than $600 million of unsecured notes maturing in 2026, Luminar agreed with some holders on August 6, 2024 to exchange $421.9 million of those notes for $274.3 million of new second-lien convertible notes due 2030 ($82.3 million at 9.0% and $192.0 million at 11.5%), issued on August 8, 2024, and at the same time sold $100.0 million of first-lien floating-rate senior secured notes due 2028 for $97.0 million in cash. GLAS Trust Company LLC was trustee and collateral agent for both new issues, which certain subsidiaries guaranteed, and Luminar recorded a $142.2 million gain on debt extinguishment on the exchange and note purchase in 2024. [src-015] [src-034]
- Analysis: The first-lien notes paid interest at Term SOFR plus 9.0% with a 3.0% floor, an effective 14.8% at September 30, 2025, and were secured by a first lien on substantially all assets of Luminar and the guarantor subsidiaries; holders could put them back at 103% on a change of control. The second-lien notes paid 9.0% (Series 1) and 11.5% (Series 2) a year, were initially convertible at about $21.75 and $36.30 per Class A share, and were secured by a second lien on substantially all assets. The first-lien notes matured on August 15, 2028 and the second-lien notes on January 15, 2030, but each would mature on September 15, 2026 if more than $100.0 million of the 2026 unsecured notes were still outstanding on June 30, 2026. Luminar had to keep at least $35.0 million (first lien) and $31.5 million (second lien) of unrestricted cash and unused revolving commitments at the end of every month. Holders converted $35.5 million of second-lien notes in 2024 ($27.0 million of Series 1 and $8.5 million of Series 2) into 1,980,408 Class A shares, and $2.5 million of Series 2 notes in 2025 into 202,019 shares. [src-015] [src-034] [src-036]
- Analysis: In 2025 Luminar cut its 2026 unsecured notes further through privately negotiated deals: it agreed on March 23, 2025 to exchange $18.2 million of the notes for 1,951,819 Class A shares, and in May 2025 it exchanged $6.2 million for 1,098,931 shares and repurchased $43.8 million for $30.3 million in cash including accrued interest, a price the disclosure statement rounds to $30 million. The principal of the 2026 notes fell from $203.1 million at the end of 2024 to $134.9 million at the end of 2025. On May 19, 2025 Luminar signed an agreement allowing it, at its option, to sell up to 200,000 shares of Series A Convertible Preferred Stock (stated value $1,000) at $960 a share over 18 months to YA II PN, Ltd., a fund managed by Yorkville Advisors Global, and another accredited investor, with D. Boral Capital LLC as exclusive placement agent; the preferred stock ranked below the company's secured and unsecured debt. The first 35,000 shares closed on May 22, 2025 for net proceeds of $33.6 million before fees, the lead investor received 505,051 Class A shares as a commitment fee, and by October 2025 all 35,000 preferred shares had been converted into 14,302,063 Class A shares. ## Going-concern warning, missed interest and forbearance, 2025

- Analysis: Luminar reduced its workforce in stages. On May 3, 2024 it announced a restructuring plan that cut the workforce by about 20%, and on September 20, 2024 further actions that brought the reduction since the start of 2024 to about 30% of full-time employees; the plan ended the employment of 204 people and cost $9.8 million in separation costs in 2024. On October 29, 2025 it cut its workforce by about a further 25% and, as its liquidity tightened, stopped paying some suppliers, some of which terminated their contracts and asserted claims, including Celestica. [src-036] [src-015]
- Analysis: In a Form 8-K dated October 30, 2025 Luminar reported preliminary third-quarter revenue of about $18.0–19.0 million, total debt of about $429.2 million and about $74.0 million of cash and marketable securities at September 30, 2025, figures that had not been audited or reviewed by its auditor, KPMG LLP. It said that substantial doubt existed about its ability to continue as a going concern and suspended its 2025 guidance. It also said that its roughly $72.0 million of cash and marketable securities at October 24, 2025 would not cover its needs in the first quarter of 2026 without new money, and that it might breach the minimum-liquidity covenants of its secured notes before the end of 2025. [src-020]
- Analysis: Luminar chose not to pay the quarterly interest due on October 15, 2025 on its second-lien notes and the interest due on November 15, 2025 on its first-lien notes; in each case the non-payment became an event of default under both secured indentures once the 15-day grace period expired. Holders of about 94.5% of the first-lien and 89% of the second-lien notes agreed on October 30, 2025 not to exercise their remedies until November 6, 2025. A group holding about 91.3% and 85.8% then extended the forbearance on November 6 (to November 12), November 12 (to November 24), November 25 (to December 2, extendable to December 7) and December 7, 2025 (to December 10, later extended to December 14), in return for the payment of their advisers' fees and reporting and liquidity undertakings. By the time of the Chapter 11 filing this ad hoc group of secured noteholders held about 91.3% of the first-lien notes and about 85.9% of the second-lien notes and was advised by Ropes & Gray LLP and Ducera Partners LLC. On December 15, 2025 the same holders signed transaction support and forbearance agreements under which they would not act against Luminar Semiconductor, Inc. and supported its sale. ## Debt, cash and tax attributes at the petition date

- Analysis: At the December 15, 2025 petition date Luminar's funded debt, including accrued and unpaid interest, was about $488.0 million: $104.6 million of first-lien floating-rate notes due 2028, $57.5 million of 9.0% and $190.2 million of 11.5% second-lien convertible notes due 2030, and $135.7 million of unsecured 1.25% convertible notes due 2026. The Chapter 11 filing was an event of default under the first-lien indenture that triggered a contingent redemption premium of $11.0 million; Luminar recognised $16.9 million of interest expense on the first-lien notes in 2025, and their principal stood at $100.0 million at December 31, 2025. Luminar had $54.5 million of cash and $19.5 million of marketable securities at September 30, 2025, had used $173.2 million of cash in operations in the first nine months of 2025, and held about $25 million of cash and marketable securities at the petition date. The debtors also held shares of ECARX Holdings Inc. and an investment in a simple agreement for future equity (SAFE) of Plus Automation, Inc., redeemable for cash or, in some conditions, Plus Automation equity, which they said they might sell or redeem during the case. [src-015] [src-034]
- Analysis: The debtors estimated that at December 31, 2024 Luminar's consolidated tax group had about $832 million of US federal net operating loss carryforwards, mostly post-2017 losses limited to 80% of taxable income, about $28.5 million of federal research and development credits, about $1 billion of state net operating losses and about $6.7 million of state research credits. As the first-lien indenture and the related transaction support agreements required within ten business days of the Luminar Semiconductor sale, the debtors launched an asset sale offer to first-lien noteholders on February 6, 2026 and expected to close it on or about March 11, 2026.
