# Luminar's executive officers and the 2025 change of leadership

**Question.** Who ran Luminar day to day, and how did its leadership change in 2025?

**Answer.** Austin Russell led Luminar as president, chief executive and chair from the December 2020 merger until May 14, 2025, when he resigned from those posts after an Audit Committee inquiry and stayed on the board; Paul Ricci took over as chief executive on or about May 21. Thomas J. Fennimore, chief financial officer since the merger, left in November 2025 and was succeeded by Thomas Beaudoin, and a chief restructuring officer from Portage Point was appointed during the forbearance talks with secured noteholders. All officers were deemed to have resigned when the liquidation plan took effect on April 6, 2026.

## From the merger to the May 2025 succession

- Analysis: Austin Russell was President and Chief Executive Officer of Luminar Technologies and chair of its board from the closing of the SPAC merger on December 2, 2020 until May 2025, having held the same executive roles at Legacy Luminar before the merger; the 2025 annual report states that he received no compensation for those roles. On May 14, 2025, following a Code of Business Conduct and Ethics inquiry by the board's Audit Committee, he resigned as President, Chief Executive Officer and chair while remaining a director; the Form 8-K reporting the resignation does not disclose the subject of the inquiry. Thomas J. Fennimore was Chief Financial Officer of Legacy Luminar from July 2020 and, from the merger, Chief Financial Officer and Secretary of Luminar Technologies. Before joining Luminar he was Global Head of Automotive and Co-Head of the Industrials Group at Jefferies Group, LLC from September 2014 to May 2020, and he worked at Goldman Sachs from July 1997 to September 2014; Luminar announced on October 31, 2025 that he would leave the company, effective November 13, 2025, to pursue other career opportunities. - Analysis: At the merger closing the board also appointed M. Scott Faris as Chief Business Officer and Jason Eichenholz as Chief Technology Officer. According to the 2022 proxy statement, Eichenholz ceased to serve as an executive officer on June 9, 2021, and Faris left the company on November 9, 2021. An inventors' hall-of-fame biography describes Eichenholz as a co-founder and former Chief Technology Officer of Luminar Technologies; before joining Luminar he was chief executive and founder of Open Photonics, a company working to commercialise optics and photonics technologies, and principal investigator on Air Force and DARPA-funded research programmes. - Analysis: Alan Prescott, who came to Luminar from Tesla, where he had most recently been General Counsel, joined the company on April 26, 2021 as Chief Legal Officer and Corporate Secretary. The 2022 proxy statement reports his 2021 compensation as $205,682 in salary and $29,507,831 in stock awards, a total of $29,713,513; the stock awards are the grant-date values of time-based restricted stock units granted on May 27 and November 11, 2021. His offer letter, as amended, provided a base salary of $300,000 a year and eligibility for a $50,000 annual bonus. He stepped down as Chief Legal Officer and Secretary on December 6, 2024, effective December 12, 2024. [src-012] [src-002]
- Analysis: On the day of Russell's resignation the board appointed Paul Ricci Chief Executive Officer and a director, effective on or about May 21, 2025, and named Fennimore, as Chief Financial Officer, interim principal executive officer until Ricci's start date. Ricci's Form 4 filings, as listed on the SEC ownership page for Luminar, show an award of 2,109,546 Class A shares on July 28, 2025, of which 239,193 were withheld to cover tax, and a holding of 1,800,922 Class A shares after a further 69,431 shares were withheld on December 5, 2025. ## A new finance chief and the restructuring team, late 2025

- Analysis: Luminar appointed Thomas Beaudoin as Chief Financial Officer on November 7, 2025, effective November 13, 2025, the date Fennimore left. Beaudoin had been Chief Financial Officer of Cerence Inc. from May 2022 to April 2024, Chief Transformation Officer at Qualifacts Systems Inc. and Credible Inc. from April 2021 to April 2022, and Executive Vice President Business Transformation of Nuance from 2017 to 2020; earlier he was Chief Financial Officer of SimpliVity Corp. from 2015 to 2017, Executive Vice President and Chief Financial Officer of Nuance from 2008 to 2015, and President and Chief Financial Officer of Polaroid Corporation. SEC ownership records list him as a director of Cerence Inc. (reported from October 1, 2019), as Chief Financial Officer of Nuance Communications (reported from August 6, 2008) and as Chief Financial Officer of Luminar from November 13, 2025. [src-007] [src-030]
- Analysis: Negotiations over one of the late-2025 forbearance extensions with Luminar's secured noteholders resulted in the appointment of Robin Chiu of Portage Point as Chief Restructuring Officer. She signed the disclosure statement on behalf of Luminar Technologies, Inc. and its affiliated debtors and, in that capacity, the amended statement of financial affairs on March 11, 2026. In its own announcement of May 2023, Portage Point Partners said Chiu had joined it as a Managing Director after three years as a Senior Managing Director in Teneo's Financial Advisory Group, which she joined through Teneo's acquisition of Goldin Associates after more than ten years there; the firm says she has acted as financial adviser, chief restructuring officer and chief financial officer in in-court and out-of-court restructurings, and that she earlier worked in debt capital markets at Barclays Capital and as an investment banker at Wasserstein Perella. [src-015] [src-059] [src-071]
- Analysis: The disclosure statement filed in the Chapter 11 case names the senior management team at the time of the December 2025 filing as Paul Ricci, Thomas Beaudoin, Marc Losiewicz and Alexander Fishkin, whose titles the debtors' insider-payment schedule gives as Chief Executive Officer, Chief Financial Officer, Chief Business Officer and Chief Legal Officer. Luminar's own leadership biography of Fishkin, as reproduced by an executive-data aggregator, describes him as Chief Legal Officer and says he had previously served as Luminar's General Counsel before rejoining the company in 2024; another aggregator profile lists him as General Counsel of Luminar until November 2019 and again until April 2026, so the dates of his first period at Luminar come only from aggregator profiles, not from a Luminar filing. Between those periods he worked at Momentus: a 2021 Momentus investor presentation filed with the SEC lists him as Chief Business Affairs & Legal Officer, and he certified Momentus's amended and restated bylaws as its Secretary on August 12, 2021. Aggregator profiles also describe Alex Vitale as Luminar's Head of Corporate Development & Strategy from June 2021 and list his position as a Luminar corporate officer as ending on April 6, 2026; his role is not described in a Luminar filing in the record, and the dates come from those profiles. [src-015] [src-059] [src-095] [src-096] [src-099] [src-068] [src-103] [src-097]
- Analysis: The statement of financial affairs of Luminar, LLC, a co-debtor, filed on January 9, 2026, lists Fishkin and Beaudoin as its directors at the petition date and Luminar Technologies, Inc. as its sole member with a 100% interest; Fennimore is listed as a director during the year before the filing. ## Executive pay in 2025 and the end of office

- Analysis: The 2025 annual report shows 2025 compensation of $7,168,898 for Chief Executive Officer Paul Ricci ($355,385 salary, an $850,000 retention bonus and $4,280,034 in stock awards) and of $449,231 for Chief Financial Officer Thomas Beaudoin ($49,231 salary and a $400,000 retention bonus). Both bonuses were lump-sum payments under executive retention agreements signed on December 3, 2025, before the Chapter 11 filing, repayable if the executive left without good reason or was dismissed for cause before they vested at the earliest of December 2, 2026, a sale or restructuring including under Chapter 11, or a qualifying termination; both executives gave up any 2024 and 2025 annual bonuses and any transaction or change-in-control bonuses. Former Chief Financial Officer Thomas J. Fennimore's reported 2025 compensation was $1,575,933, including $1,350,000 of quarterly cash bonuses paid instead of an equity grant. [src-034]
- Analysis: Under the confirmed Chapter 11 plan, all directors and officers of the debtors were deemed to have resigned on the plan's effective date, April 6, 2026; Ricci and Beaudoin ceased to be officers of Luminar Technologies, Inc. on that date. [src-005]
