# Midea Group: convertible bonds and Hong Kong cornerstone investors

**Question.** Who provided or arranged capital, and what do those roles establish?

**Answer.** Bond issuance and historical share subscriptions involve different claims on the business. Financing terms and investor identities are dated to the relevant disclosures.

## The 2026 bonds and later issuance confirmation

- Analysis: The June 2026 accounts confirm that two zero-coupon convertible bond series were issued on 13 May, each for HK$8.624 billion, maturing in 2027 and 2033. The May announcement identifies Midea Investment Development Company Limited as issuer and Midea Group as guarantor. Estimated net proceeds of HK$17.174 billion were intended approximately 60% for international expansion and overseas liquidity and 40% for general corporate purposes. A bond issuer, guarantor, manager and exchange are different participants. Conversion rights do not establish that bondholders have already become shareholders. Use-of-proceeds intentions are not an audit of how every amount was later spent. [s-d142] [s-d155]

## The 2024 cornerstone participants

- Analysis: The 2024 Hong Kong prospectus describes cornerstone investors including UBS Asset Management Singapore, COSCO SHIPPING Holdings (Hong Kong), Golden Link, Splendor Achieve and Metazone. Golden Link is indirectly wholly owned by BYD. Splendor Achieve is indirectly wholly owned by Yang Shaopeng, associated with SITC; Metazone is a subsidiary of TCL Industries. Midea and BYD also disclosed a commercial supply relationship. The prospectus’s six-month lock-up is historical, not a current disposal restriction. Cornerstone subscriptions do not establish continuing ownership at the archive cutoff. A secondary account’s association of Splendor Achieve with Seaspan is not adopted; the prospectus identifies Yang Shaopeng and SITC. The prospectus says the exchange permitted specified existing minority shareholders or their close associates to participate under a waiver. That disclosed permission is not an adverse regulatory finding. [s-d387]
