# Midea Group — Midea: CLOU and Hiconics financing, operating pressure and dated control

**Question.** What distinguishes the two energy investments and their risks?

**Answer.** Separate issuer records show CLOU’s proposed equity funding and later procurement outcome, alongside Hiconics’ profitable year and heavily guaranteed subsidiary.

## CLOU funding and results

- Analysis: CLOU’s July 2026 issuance proposal identifies Midea as holder of 378,514,789 shares, or 22.63%, at 30 June. It proposes an additional cash subscription of up to RMB2.5 billion. At the maximum issuance, voting rights would exceed 30%, prompting a request for a shareholder-approved takeover-offer exemption. This is a proposed financing requiring further approvals and registration, not an already completed ownership increase. CLOU reported a 95.15% liabilities-to-assets ratio at year-end 2025 and proposed using funds for debt replacement and working capital. [s-d158]
- Analysis: CLOU’s first-half 2026 report records RMB2.185 billion revenue, a RMB219.0 million attributable loss and RMB473.8 million operating cash outflow. At June end, liabilities of RMB9.710 billion represented approximately 97.55% of RMB9.954 billion assets; attributable equity was RMB195.0 million. These are CLOU figures, not Midea Group’s consolidated losses. A commentator’s predicted default or speculation about suppressing results before a share issue is not an established default or accounting finding. CLOU attributes pressure to competition, exchange losses and delayed overseas deliveries. Its explanation of cash outflow includes inventory procurement, payment of maturing purchases and higher payroll. The proposed equity financing is intended to replace debt and fund working capital. ## CLOU procurement and construction outcomes

- Analysis: CLOU was excluded from China Southern Power Grid procurement for 18 months from 29 July 2024. Its 2025 annual report says the company checked the procurement platform in January 2026 and confirmed that the measure had been lifted. The restriction concerned CLOU itself and subsidiaries with the same legal representative, rather than every Midea company. The source did not establish which specific supplier-rule violation caused the exclusion. The archive’s July 2026 expiry date conflicts with the issuer’s January confirmation and is not adopted. The historical exclusion remains relevant to lost orders, but is not described as a continuing ban at the archive cutoff. [s-d186] [s-x-clou-annual]
- Analysis: CLOU and China Nanhai Engineering disputed construction payments, delay costs and project obligations. The retained later report describes a final appeal decision adjusting construction principal payable by CLOU to about RMB104 million, alongside other awarded amounts and interest, with RMB6.6434 million for water and electricity payable to CLOU and a contractor priority claim over the project. The half-year report still lists an appeal; the later report describes its outcome. RMB104 million is not the total of every charge and interest item. The water-and-electricity amount is 664.34 ten-thousand yuan, not RMB664,340. A reported total around RMB160 million is an estimate, not silently substituted for the adjudicated principal. CLOU contested payment, discount fees, delay compensation and the priority claim and sought its own delay, quality and handover remedies. The later account retains a payment obligation after appeal; the archive does not demonstrate payment or enforcement completion. [s-d186] [s-x-clou-h1]

## Hiconics operations and guarantees

- Analysis: Hiconics’ 2025 annual summary reports RMB7.449 billion revenue and RMB62.012 million profit attributable to shareholders. It received a standard unqualified audit opinion but proposed no dividend because accumulated losses remained. Guangdong Midea HVAC Equipment held 18.50% at year-end, while the report separately describes green-energy, household-storage and inverter businesses. An unqualified opinion is not a guarantee against every operational or governance risk. The dated 18.50% stake and the time-limited delegated votes in the 2020 acquisition must not be combined into a perpetual present ownership percentage. [s-d400]
- Analysis: A 31 December 2025 Hiconics notice provides a RMB30 million maximum guarantee, plus related obligations, for its wholly owned Beijing Hiconics Inverter Technology subsidiary. The subsidiary had negative net assets at year-end 2024, but positive RMB49.293 million net assets at September 2025; its latest liabilities-to-assets ratio was 94.93%, with approximately RMB48.77 million of litigation. Hiconics reported total actual guarantees of RMB2.5814 billion, or 151.56% of its latest audited net assets. The litigation amount is not necessarily an adjudicated loss. The guarantee’s principal cap is separate from the group’s aggregate guarantee balance, and the two balance-sheet dates must not be merged. The issuer says the borrower was operating normally and was not on the dishonest-enforcement list. It reports no overdue guarantees and says all its guarantees were for consolidated subsidiaries, not shareholders or their affiliates. [s-d187]
