# Midea Group — Midea: the listed company, founder and dated ownership

**Question.** Which Midea company is the subject and who controls it?

**Answer.** The listed Chinese issuer is controlled through Midea Holding. Historical names, nominees and family businesses have different legal meanings.

## The issuer and its predecessor

- Analysis: Midea Group Co., Ltd. is the Chinese listed company identified by unified social credit code 91440606722473344C, headquartered in Foshan. Its A shares have traded in Shenzhen as 000333 since 18 September 2013 and its H shares in Hong Kong as 0300 since 17 September 2024. The listed issuer, its shareholder Midea Holding and the many operating companies using the Midea name are distinct legal entities. [s-d155] [s-d21] [s-d4]
- Analysis: The operating business traces its history to a Beijiao enterprise established by He Xiangjian and local residents in 1968. The present issuer was incorporated on 7 April 2000, initially as Shunde Meituo Investment, and became a joint-stock company in August 2012. Its accounts identify the trade-union council of GD Midea Group as the original establishing body. The business founding year and legal incorporation date describe different events. The trade-union council is not automatically the parent company itself. [s-d15] [s-d4]
- Analysis: The Shenzhen exchange announced in June 2004 that the company then called Guangdong Midea Group would become Guangdong Midea Electric, retaining stock code 000527. That former listed business was later absorbed into Midea Group in the September 2013 restructuring. This historical Electric company is separate from the later Guangdong Midea Electric / 电气 entity used in the KUKA structure. Similar English translations do not establish legal identity. ## Control and other disclosed holdings

- Analysis: The 2025 annual report identifies He Xiangjian as the actual controller. Its control diagram shows him owning 94.55% of Midea Holding, which held 2,169,178,713 Midea Group shares, or 28.55%, at year-end; his separate direct holding in the listed issuer was 0.42%. The June 2026 report shows the same Holding share count at 28.49%. These are dated percentages with different share-count denominators. They do not indicate that the controlling shareholder sold shares merely because its percentage fell. Midea Holding’s identifier is 914406067429989733. [s-d155] [s-d21]
- Analysis: The IPO prospectus identifies Lu Deyan as He Xiangjian’s daughter-in-law and the other shareholder of Midea Holding, with a rounded 5.5% interest. It says she and He were not acting in concert in respect of their Holding interests. The controlling family also has interests outside the listed appliances group. The prospectus percentage is a rounded historical disclosure. Family connection, legal shareholding and management authority are separate relationships; a family business is not automatically a subsidiary of the listed issuer. [s-d12] [s-d15]
- Analysis: At 30 June 2026 the disclosed top holdings included Fang Hongbo at 1.54%, Huang Jian at 1.13%, China Securities Finance at 1.86% and Central Huijin at 1.16%. The table also included insurance portfolios. Hong Kong Securities Clearing and HKSCC Nominees held 11.74% and 8.55% respectively as nominees for other investors. Nominee entries must not be described as beneficial ownership by the clearing company. State-linked minority positions do not replace the report’s identification of private-person control.
