# Midea Group — Midea: KUKA, Swisslog and the squeeze-out proceedings

**Question.** How do the robotics entities and the minority-shareholder outcome fit together?

**Answer.** Company records distinguish the management entity and Swisslog notices, while the squeeze-out settlement leaves a separate valuation question.

## Management and legal identity

- Analysis: KUKA’s corporate page identifies the executive board of KUKA Management SE as Christoph Schell, CEO, Alexander Tan, CFO, and Hui Zhang, CTO. Their biographies distinguish earlier KUKA AG offices from the Management SE offices following the group’s legal-form change. The management company is a different legal person from KUKA SE & Co. KGaA. Its executive mandates must not be silently assigned to the wrong entity. A group title and a statutory office may coexist. [s-d111] [s-d62]
- Analysis: The retained Swiss registry record identifies Swisslog Holding AG as CHE-178.802.635. Its August 2026 notice moved the seat from Buchs to Aarau. An August 2025 notice records Peter Mohnen leaving the chairmanship, Alexander Tan becoming chairman and Marcus Hans Gebert joining the board. These are dated notices reproduced in the original structured registry response, not generated relationship suggestions. Collective signing by two is not an individual unrestricted signature. The older Swisslog identity CHE-100.201.125 must remain separate. [s-d170]

## The minority-shareholder settlement

- Analysis: A reproduced 28 October 2022 Munich court settlement ended the challenge to KUKA’s squeeze-out resolution. Guangdong Midea Electric and Midea Electric Netherlands (I) joined for the settlement. The adequacy of the €80.77 cash compensation was left to a separate appraisal proceeding. Ending the resolution challenge did not establish that the compensation was finally adequate. The shareholder undertook to pay any court-determined increase with the specified interest; the Netherlands company unconditionally guaranteed that potential top-up. No final outcome of the separate appraisal proceeding is established in the retained material. [s-d173]
