# Which listed companies Midea controls: Hiconics, CLOU and Wandong

**Question.** Which A-share companies does Midea control, how did it gain control of them, and how have they fared since?

**Answer.** Midea's 2025 annual report names three A-share companies under the control of its actual controller He Xiangjian: Hiconics (300048.SZ), Wandong Medical (600055.SH) and CLOU Electronics (002121.SZ). Midea's HVAC subsidiary bought 18.73% of Hiconics in 2020 and was entrusted for 15 months with the voting rights on a further 5%, Midea agreed in February 2021 to buy 29.09% of Wandong Medical, and Midea became CLOU's controlling shareholder in June 2023 with 22.79%, as reported at the time. In 2026 Hiconics (as an encyclopedia entry reports) and CLOU proposed private placements to Midea Group, neither recorded as approved, while a media report described Wandong's 2025 result as its first annual loss in 29 years as a listed company.

## Three listed companies under the same actual controller

- Analysis: Midea's 2025 annual report lists Hiconics (300048.SZ), Wandong Medical (600055.SH) and CLOU Electronics (002121.SZ) among the domestic and overseas listed companies controlled in the past ten years by He Xiangjian, Midea's actual controller; Midea's 2020 annual report had already listed Hiconics in that category. In the 2025 annual report's table of principal subsidiaries at 31 December 2025, as rounded there, the group holds 18% of Hiconics Eco-energy Technology indirectly, 45% of Beijing Wandong Medical Technology directly and 23% of Shenzhen CLOU Electronics directly. All three are recorded as obtained through business combinations not under common control, the accounting term for acquisitions of companies that were not under the same control as Midea beforehand. Midea's 2026 interim report places Hiconics (green energy solutions, household energy storage and photovoltaic inverters, and high-voltage inverters) and CLOU (smart grids and electrochemical energy storage) in its energy business, and Wandong Medical in its healthcare business. ## Hiconics: control through Midea HVAC since 2020

- Analysis: According to Midea's 2020 annual report, on 25 March 2020 its subsidiary GD Midea Heating & Ventilating Equipment Co., Ltd. (Guangdong Midea HVAC Equipment, here Midea HVAC) signed a share transfer agreement with Shanghai Shangfeng Group Co., Ltd. and a second seller to buy 208,685,418 Hiconics shares, about 18.73% of the share capital, for RMB 742,582,087. Shangfeng Group and an individual shareholder also entrusted to Midea HVAC, irrevocably and for 15 months, the voting rights on a further 55,747,255 shares (about 5%), so that Midea HVAC controlled the votes on 264,432,673 shares, about 23.73%. The transfer of the 208,685,418 shares was completed on 30 April 2020, and Midea records the acquisition of Hiconics as a business combination in May 2020. Midea's 2025 annual results describe Hiconics, established on 11 June 2003 and listed in Shenzhen under code 300048, as acquired in 2020. [src-d004] [src-d026]
- Analysis: Midea HVAC still held the same 208,685,418 shares at 31 December 2025, 18.50% of the capital, none of them pledged, marked or frozen, and was Hiconics' largest shareholder, according to Hiconics' 2025 annual report summary (announcement 2026-022). Shanghai Shangfeng Group, the seller in 2020, held 30,170,000 shares (2.67%) and Hong Kong Securities Clearing Company 2.39%. Registry data shown by a commercial company-data service in 2026 give Midea HVAC an ultimate beneficial share of 18.43%, which may reflect a later share count and was not checked against a Hiconics filing. Registry data shown by a commercial company-data service record Hiconics (北京合康新能科技股份有限公司) as an active listed joint-stock company with unified social credit code 911100007513212788, registered capital of RMB 1,128,297,357 and the former names 北京合康亿盛变频科技股份有限公司 and 北京合康亿盛科技有限公司, and an online encyclopedia entry gives the same code and names. The data service dates the establishment to 10 June 2003, whereas the encyclopedia entry and Midea's 2025 annual results give 11 June 2003. Hiconics' 2025 annual report summary also states that its board and its second extraordinary general meeting of 2025 approved a proposal to increase its registered capital and amend its articles of association (announcement 2025-091), without giving the new amount, so the record does not show whether the registry figure reflects that change. [src-d400] [src-d107] [src-d483]
- Analysis: Hiconics' 2025 annual report summary identifies Lu Jianfeng as the company's chairman and general manager, and both the registry data and the encyclopedia entry name him as its legal representative. An online encyclopedia entry states that Lu Jianfeng joined Midea Group in 1997 and held posts including president of its domestic residential air-conditioner division, president of its China marketing headquarters, vice-president of Guangdong Midea Electric Appliances, general manager of its environmental appliances division and director and general manager of Wuxi Little Swan; that he chaired 美智光电科技股份有限公司 from July 2020 to October 2023; and that he has been chairman of Hiconics since May 2023 and its general manager since October 2023. These dates were not checked against Hiconics or Midea filings, and the personal details in the entry are not reproduced. [src-d400] [src-d107] [src-d483] [src-d488]
- Attributed: Registry data shown by a commercial company-data service record Hiconics (北京合康新能科技股份有限公司, 300048.SZ) as an active listed joint-stock company with unified social credit code 911100007513212788, registered capital of RMB 1,128,297,357 (112,829.7357 ten-thousand yuan), former names 北京合康亿盛变频科技股份有限公司 and 北京合康亿盛科技有限公司, and Lu Jianfeng as legal representative; an online encyclopedia entry gives the same code, names and legal representative. [src-d107] [src-d483] [src-d400]
  - Qualification: The data service gives the establishment date as 10 June 2003, while the encyclopedia entry and Midea's 2025 annual results give 11 June 2003.
  - Outcome: Hiconics' 2025 annual report summary states that its board and its second extraordinary general meeting of 2025 approved a proposal to increase its registered capital and amend its articles of association (announcement 2025-091); the summary does not give the new amount.

## Hiconics: results, nuclear projects, guarantees and a placement plan

- Analysis: Hiconics' 2025 annual report summary reports revenue of RMB 7,448,608,032.34 for 2025, up 55.95% from RMB 4,776,350,929.16 in 2024, net profit attributable to shareholders of RMB 62,012,009.24 (2024: RMB 10,296,131.82) and total assets of RMB 4,917,904,300.00 at 31 December 2025; in the fourth quarter alone the net result attributable to shareholders was a loss of RMB 11,983,933.75. Its auditor issued a standard unqualified opinion. Hiconics proposed no dividend because the parent company had uncovered losses: undistributed profit stood at minus RMB 222,019,987.32 in the parent balance sheet and minus RMB 338,394,576.83 in the consolidated balance sheet. For 2026, a news headline carried in a commercial company-data service's feed on 28 September 2026 stated that Hiconics had received a government subsidy of RMB 40 million and had recorded a loss of RMB 65.48 million in the first half of the year. The headline does not say which profit measure the loss refers to, and Hiconics' 2026 interim report and the subsidy announcement were not reviewed. [src-d400] [src-d107]
- Analysis: Midea's 2025 annual results report Hiconics' nuclear-power work during 2025: Hiconics delivered the circulating-water-pump project for Units 3 and 4 of the Xudaopu Nuclear Power Station, won a high-voltage variable-frequency retrofit project for seawater desalination at Xudaopu from China National Nuclear Corporation, and signed contracts for new high-voltage variable-frequency drive projects at China National Nuclear Corporation's Fuqing Nuclear Power Station. [src-d004]
- Analysis: In an announcement dated 31 December 2025, Hiconics reported a maximum-amount guarantee of RMB 30 million plus interest and related sums for credit granted by Bank of Ningbo's Beijing branch to its wholly owned subsidiary Beijing Hiconics Inverter Technology Co., Ltd. It stated that its approved guarantee limits totalled RMB 4.0 billion (234.85% of its latest audited net assets) and its guarantees actually outstanding RMB 2.5814 billion (151.56%), all for subsidiaries within its consolidated accounts, with none overdue and none given for shareholders, the actual controller or their related parties. The announcement describes Beijing Hiconics Inverter Technology (北京合康新能变频技术有限公司; established on 10 March 2004; registered capital RMB 456 million; legal representative Lu Jianfeng) as 100% owned by Hiconics and reports for it an audited 2024 net loss of RMB 193,380,788.19 and net assets of minus RMB 80,534,192.31 at 31 December 2024, an unaudited net loss of RMB 28,160,494.69 for January to September 2025, unaudited net assets of RMB 49,292,508.94 at 30 September 2025, a latest debt-to-asset ratio of 94.93% and litigation amounts of about RMB 48.77 million. [src-d187]
- Analysis: According to an online encyclopedia entry, Hiconics published on 28 February 2026 a plan for a private placement of up to 288 million A shares at RMB 5.73 per share to its indirect controlling shareholder Midea Group, raising up to RMB 1.652 billion for high-voltage inverter, grid-connected photovoltaic inverter and household energy-storage projects, after which Midea Group and its concert party Midea HVAC would together hold 35.08%, more than 30%. According to the same entry, Hiconics said the placement was intended to strengthen the controlling shareholder's position, round out its twin businesses of electrical equipment and new energy, and extend its business into smart-energy operation. The entry states that a revised plan published on 12 August 2026 set the maximum at RMB 1,651.5816 million, including issue costs, for those projects, a distributed photovoltaic benchmark power-station project and RMB 300 million of working capital. The plan documents and any approval by Hiconics shareholders, the Shenzhen Stock Exchange or the China Securities Regulatory Commission (CSRC) are not in the reviewed material, and the 35.08% stake is a projection for after the placement. ## CLOU Electronics: control since June 2023

- Analysis: According to a media report of 31 May 2023 summarising a CLOU announcement of 30 May 2023, Midea Group took control of Shenzhen CLOU Electronics in two steps: 126 million CLOU shares held by Shenzhen Capital Group (Shenzhen Capital Operation Group Co., Ltd.) were transferred to Midea Group on 5 December 2022, and CLOU issued 252 million new shares to Midea Group, to be listed on the Shenzhen Stock Exchange main board on 2 June 2023, after which Midea Group would hold 22.79% and become controlling shareholder, with He Xiangjian as actual controller. Midea Group undertook not to transfer the new shares for 18 months after the issue. A second media report stated that Midea Group formally became CLOU's controlling shareholder on 2 June 2023 with 22.79%. Both reports summarise CLOU announcements that were not themselves reviewed; their dates and the 22.79% figure are consistent with each other, and the timing with Midea's 2025 annual results, which describe CLOU, established on 12 August 1996 and listed in Shenzhen under code 002121, as acquired in 2023. A later media commentary, citing public information, stated that Midea Group spent RMB 1.665 billion in total to take control of CLOU: RMB 837 million for the shares transferred by the former shareholder and RMB 828 million for subscribing CLOU's private placement, paid directly into CLOU. These figures were not checked against CLOU or Midea filings. [src-d441] [src-d165] [src-d004] [src-d186]
- Analysis: A media report of 28 June 2023 stated that CLOU completed an early re-election of its board on 26 June 2023, citing the major change in its shareholding structure and control (the previous board's term was to run until 3 June 2024); the new board elected Fu Yongjun, a Midea Group vice-president since 17 September 2021, as chairman, and several other new directors came from Midea Group. According to the same report, Midea Group stated on an investor-interaction platform that, having become CLOU's controlling shareholder, it intended to make CLOU one of its main platforms for its energy-management business. The CLOU announcements behind the report were not reviewed. An online encyclopedia entry states that Fu Yongjun ceased to be chairman and a non-independent director of CLOU on 1 April 2025. [src-d165] [src-d322]
- Analysis: CLOU's July 2026 private-placement plan names Li Gefeng as legal representative of Shenzhen CLOU Electronics Co., Ltd. (深圳市科陆电子科技股份有限公司) and gives its registered address in Guangming District, Shenzhen, its establishment date as 12 August 1996, its registered capital as RMB 1,660,816,688 and its unified social credit code as 91440300279261223W; the shares are listed on the Shenzhen Stock Exchange under code 002121. Registry data shown by a commercial company-data service, in a profile without appointment dates, list Li Gefeng as chairman, non-independent director and president of CLOU and as chairman of Shanghai Dongzi Electric Co., Ltd., and state that he was formerly general manager of Chongqing Midea General Refrigeration Equipment Co., Ltd., which Midea's 2026 interim report lists among its subsidiaries. Registry data shown by a commercial company-data service in September 2026 list Midea Group as CLOU's largest shareholder with an ultimate beneficial share of 22.63%, matching CLOU's own figure at 30 June 2026, and Shenzhen Capital Operation Group as second largest with 12.89%, a figure not checked against a CLOU filing. ## CLOU: leverage, Midea financing and the 2026 placement plan

- Analysis: Under CLOU's July 2026 plan for a private placement of A shares and a conditional subscription agreement signed on 9 July 2026, Midea Group as sole subscriber will subscribe in cash for up to 501,765,182 new shares, not more than 30% of the share capital before the issue (based on the share count at 30 June 2026), for up to RMB 2,500 million, at not less than 80% of the average trading price over the 20 trading days before the pricing date; the net proceeds are to repay interest-bearing debt and supplement working capital. At 30 June 2026 Midea Group held 378,514,789 CLOU shares (22.63%) and He Xiangjian was CLOU's actual controller. At the maximum issue size Midea Group's voting shares would exceed 30% and trigger an obligation to make a mandatory offer to the other shareholders. CLOU's board approved Midea's exemption from making an offer, subject to approval by the general meeting with related shareholders abstaining, and Midea undertook not to transfer the new shares for 18 months, or 36 months if its holding exceeds 30%. The issue also requires review by the Shenzhen Stock Exchange and registration with the CSRC. The plan is a proposal; its approval and completion are not recorded in the reviewed material. [src-d158]
- Analysis: The same plan states that CLOU's debt-to-asset ratio was 95.15% at the end of 2025, that its interest-bearing debt and leverage were relatively high and that the resulting interest costs were squeezing its operating profit; it presents the equity financing as a way to replace part of CLOU's high-interest current liabilities and reduce financial costs. Midea's 2026 interim report lists one-year guarantee limits approved for CLOU (RMB 1.0 billion) and for its overseas subsidiaries CL Energy Storage Corporation (RMB 1.0 billion), CLOU Energy Storage B.V. (RMB 700 million) and CLOU Energy Japan Co., Ltd. (RMB 300 million), each announced on 31 March 2026, with no actual guarantee amount recorded under any of them in the period to 30 June 2026. [src-d158] [src-d155]
- Analysis: According to a financial-information site's summary of CLOU's resolution announcement, CLOU's fifth extraordinary general meeting of 2026, held on 11 September 2026 and chaired by chairman Li Gefeng, approved the renewal of CLOU's financial-services agreement with Midea Group Finance Co., Ltd. as a related-party transaction, with related shareholders abstaining, and a guarantee by a controlling subsidiary for its wholly owned subsidiary. Shareholders present held 36.9307% of the voting shares, and Beijing Jia Yuan Law Offices, which witnessed the meeting, gave the opinion that its convening, procedures and voting results were lawful and valid. The account comes from a third-party summary, and the terms of the agreement, such as deposit and credit limits, are not in the reviewed material. [src-d157]

## CLOU: 2026 interim results, a tender bar and a contractor judgment

- Analysis: A media commentary on CLOU's 2026 interim report stated that CLOU's revenue for the first half of 2026 fell 15.1% to RMB 2.185 billion and that it moved from profit to a net loss attributable to shareholders of RMB 219 million, with operating cash flow of minus RMB 474 million; that its net profit excluding non-recurring items had been negative in every financial year since 2017; and that at the end of the second quarter its debt-to-asset ratio reached 97.55%, its short-term borrowings were RMB 3.068 billion and its net assets RMB 195 million. According to the same commentary, CLOU explained the operating cash outflow by building up battery-cell inventory to secure supply and lock in costs, paying matured purchase payables and paying higher wages. The commentator argued that investors' remaining confidence in CLOU rested on its controlling shareholder Midea Group and that, judged on its own financial statements, CLOU faced a considerable risk of debt default. These are the commentary's figures and opinion; CLOU's interim report was not reviewed, and no default is recorded in the reviewed material. [src-d186]
- Analysis: The same commentary, citing CLOU's 2026 interim report, stated that from 29 July 2024 China Southern Power Grid barred CLOU's parent company, but not its subsidiaries other than those sharing its legal representative, from all of its tenders for 18 months under its rules on deducting points for supplier dishonesty, so that CLOU could not sign a framework contract for metering products worth RMB 256 million that it had already won, and that the bar lapsed automatically on its expiry on 22 July 2026, restoring CLOU's eligibility to bid. The grid company's notice was not reviewed; according to the commentary it cited only the rules as its basis without stating the conduct concerned, and the stated 18-month term from 29 July 2024 does not match the reported expiry on 22 July 2026. CLOU's interim report, as quoted in the commentary, attributed part of the decline in its revenue to delayed delivery of some overseas storage projects after site changes and to the earlier China Southern Power Grid market-access measure. [src-d186]
- Analysis: The commentary also stated that, together with its 2026 interim report, CLOU disclosed the final judgment in its dispute with its general contractor China South Sea Engineering Co., Ltd. over the construction of CLOU's smart-energy industrial park, in which the disputed items included project payments, acceleration fees, bill discounting, pandemic stoppage losses and responsibility for delays. Under the judgment CLOU must pay the contractor RMB 104 million, and the contractor must pay CLOU RMB 6.6434 million for water and electricity, offset directly. The commentator estimated CLOU's total cash outlay at about RMB 160 million including interest and said that the contractor's priority right of payment on the park assets restricts their sale. According to the commentary, CLOU had already adjusted the park's recorded asset value and booked interest and related expenses at the end of 2025 on the basis of the first-instance judgment. The court, case number and judgment text are not in the reviewed material. [src-d186]

## Wandong Medical: control since 2021

- Analysis: Midea's 2020 annual report states that on 2 February 2021 the group acquired by agreement 29.09% of Beijing Wandong Medical Technology Co., Ltd. for approximately RMB 2,297 million, and that the acquisition had not yet been completed when the financial statements were authorised for issue. A media report of 27 March 2026 stated that Midea Group bought the 29.09% stake in 2021 from Yuyue Medical and its actual controller, becoming controlling shareholder with He Xiangjian as actual controller, and that China Resources had earlier been Wandong's actual controller and Yuyue Technology had taken control in 2015; the report thus names Yuyue Medical as the 2021 seller and Yuyue Technology as the controlling shareholder from 2015, and the exact selling entity was not checked against filings. According to the same report, Wandong has had three chairmen under Midea: the first served about four years; the second, Ma Chibing, served from 21 May 2025 to 25 January 2026 and left for personal reasons; and Wang Jianguo was elected chairman on 26 January 2026. [src-d026] [src-d341] [src-d021]

[src-d341] [src-d021]
  - Qualification: Media account; the report names Yuyue Medical as the 2021 seller and Yuyue Technology as the controlling shareholder from 2015, and the exact selling entity was not checked against filings.
  - Outcome: Midea's 2025 annual report records the group's direct holding in Wandong Medical as 45% at the end of 2025 and describes Wang Jianguo as chairman of Wandong Medical.
- Analysis: Midea's holding is now larger than the 29.09% it bought. Registry data shown by a commercial company-data service, updated in September 2026, list Midea Group as Wandong's largest shareholder with an ultimate beneficial share of 45.46% and Jiangsu Yuyue Technology Development Co., Ltd. as the second largest with 2.56%. Midea's 2025 annual report gives a rounded 45% direct holding, and how the stake grew from the 29.09% bought in 2021 is not explained in the reviewed material. Midea's 2025 annual report describes Wang Jianguo, Midea's executive director and executive president, as also president of Midea's new-energy business division, chairman of Wandong Medical and chairman of GD Midea Air-Conditioning Equipment. Registry data shown by a commercial company-data service list Wang Jianguo as Wandong's chairman and Song Jinsong as its general manager and director, without appointment dates, and a second data service names Song Jinsong as legal representative. ## Wandong Medical: the 2025 loss, the Wanying sale and 2026

- Analysis: A media report of 27 March 2026, based on Wandong Medical's 2025 annual report, stated that Wandong recorded its first annual loss in 29 years as a listed company: revenue fell 11.64% to RMB 1.347 billion, the net loss attributable to shareholders was RMB 228 million, of which RMB 201 million in the fourth quarter, and operating cash flow was minus RMB 252 million. Wandong paid no dividend for 2025, ending a practice of year-end dividends of more than 20 years, and several investors said the fourth-quarter result did not match expectations that management had expressed after the third-quarter report. Wandong, as quoted in the report, attributed the revenue decline to centralised-procurement projects taking longer to deliver than expected, and the pressure on profit and cash flow to larger strategic investment in centralised volume-based procurement and in research such as helium-free MRI; it said it paid no dividend because it had not been profitable in 2025. The annual report itself was not reviewed. [src-d341]
- Analysis: The same report stated that Wandong planned to sell its wholly owned subsidiary Suzhou Wanying Medical Technology Co., Ltd., set up in November 2023 with registered capital of RMB 100 million, for RMB 48 million to Midea Imaging Technology (Shanghai) Co., Ltd., a subsidiary controlled by Wandong's controlling shareholder Midea Group, in a related-party transaction. Suzhou Wanying lost RMB 5.8895 million in 2024 and RMB 11.1995 million in 2025; Wandong's carrying cost was RMB 36.2146 million, and the price represented a 32.54% premium. Wandong gave the needs of its business-planning adjustment as the reason for the sale. Midea's 2025 annual report states that Midea Imaging Technology (Shanghai) was set up in 2025 as a 100% subsidiary of Midea's wholly owned subsidiary Midea Medical Technology (Shanghai). The report is a media account of the Wandong announcement, and completion of the sale is not recorded in the reviewed material. [src-d341] [src-d021]
- Analysis: For the first half of 2026, headlines in a financial portal's news feed for Wandong Medical stated that its revenue rose 3.71% to RMB 875 million, while net profit attributable to shareholders was a loss of RMB 91.6676 million, down 278.69% year on year, and gross margin fell by 10.21 percentage points. A headline of 3 September 2026 in the same feed, attributed to Wandong Medical, said that 'trading price for volume' had put gross margin under pressure and that the company was working on cost reduction, efficiency and product-mix optimisation on several fronts. This is headline-level information; Wandong's 2026 interim report was not reviewed. [src-d342]
