# Northvolt group structure: direct subsidiaries, property companies and joint ventures

**Question.** Which companies were direct holdings, and which were part of the consolidated group?

**Answer.** The 2023 parent schedule and consolidated schedule answer different questions. The graph preserves that distinction and dates the historical roles.

## Direct parent holdings

- Analysis: The parent-company note lists thirteen wholly owned direct holdings at the end of 2023. They include the core Swedish operating companies, Japan, Cuberg, Northvolt America, Germany TopCo and Batteries North America. Northvolt Germany GmbH has no direct holding in the 2023 column although it had one in 2022. This does not mean it had necessarily left the wider group. [s-d5]
- Documented: The parent-company note for 31 December 2023 lists thirteen wholly owned direct holdings, including Northvolt Labs, Ett, Ett Expansion, Systems, Revolt, Japan, Aurora Lithium AB, Cuberg, Fem, NVC Energy V, America, Germany TopCo and Batteries North America. Northvolt Germany GmbH appears with no direct holding in the 2023 column, unlike 2022. [s-d5]
  - Qualification: This parent-company schedule is distinct from the consolidated group table. The absence of a direct parent holding does not mean the German company had left the group.

## Consolidated membership is broader

- Analysis: The group schedule also includes property companies at the Swedish sites, Polish systems operations, the German intermediate holding layer and the Canadian entities. The register and network retain these participants, but label consolidated membership rather than inventing immediate parent links. The schedules concern 31 December 2023 and do not establish continuing ownership after the insolvencies and later disposals. [s-d5] [s-ext-quebec-number]
- Documented: The 2023 consolidated group schedule lists Swedish operating and property companies, Northvolt Japan, the Polish systems business, German holding and operating companies, Cuberg and Northvolt America, and the Canadian companies. It reports full group voting and equity interests in the listed subsidiaries. [s-d5] [s-ext-quebec-number]
  - Qualification: Consolidated membership does not establish the immediate owner of every entity or continuing ownership after the later insolvencies and disposals. The annual table prints the numbered Quebec company as 9500-9511; the Canadian proceeding and supplemental register-mirror check use 9500-9551, with the enterprise number 1179171047 matching the annual row.

## Joint ventures are a separate category

- Analysis: HydroVolt in Norway, NOVO Energy in Sweden and Aurora Lithium in Portugal appear in the 2023 joint-venture note with 50% voting and equity interests. They should not be shown as wholly owned subsidiaries merely because they appear alongside the group’s industrial expansion. Nor does this historical table establish their ownership after subsequent divestments. [s-d5]
- Documented: The 2023 group joint-venture note reports 50% voting and equity interests in HydroVolt AS in Norway, NOVO Energy AB in Sweden and Aurora Lithium S.A. in Portugal. [s-d5]
  - Qualification: These are historical 2023 positions and do not establish continuing ownership after later divestments.

## Acquisitions and local records changed the picture

- Analysis: The historical group grew through different transactions: the remaining half of the Polish venture was purchased in March 2021, Cuberg was acquired separately, and half-interests in NOVO and Aurora Lithium S.A. were sold to Volvo Cars and Galp to form joint ventures in 2022. The Cuberg note distinguishes purchase consideration from employment-dependent remuneration, while the NOVO accounting gain was not equivalent to a cash sale price. [s-d64]
- Documented: Northvolt’s 2022 annual report says it acquired the remaining 50% of the Polish joint venture from Southbay Solutions Poland on 19 March 2021 for SEK 84.9 million, making it wholly owned. The same report values the March 2021 Cuberg acquisition consideration at SEK 292.9 million. [s-d64]
  - Qualification: The Cuberg note separately treats SEK 177.9 million of employment-dependent consideration as future-service remuneration; that amount is not simply another acquisition-price instalment.
- Documented: The 2022 annual report says Northvolt sold half of NOVO Energy to Volvo Cars in January 2022 and half of Aurora Lithium S.A. to Galp in February 2022, creating joint ventures. It records NOVO’s accounting remeasurement gain, which differs from cash proceeds. [s-d64]
  - Qualification: The industrial targets in that old report were plans, not evidence that the proposed factories later opened on schedule.
- Analysis: The February 2026 Polish register state names Northvolt Systems as sole shareholder of Northvolt Poland and does not record a local insolvency or liquidation entry. That is compatible with a sale of particular factory assets and the earlier dismissal of a US case. It does not make the Polish seller and the separate Lyten buyer the same legal company. [s-d250]
- Documented: The retained Polish KRS extract for Northvolt Poland, number 0000752226 and register state 17 February 2026, lists Northvolt Systems AB as holder of all 162,073 shares with total nominal capital of PLN 81,036,500. Its insolvency and liquidation section is empty. [s-d250]
  - Qualification: An empty section in this dated Polish extract is not a finding that the company was free of all proceedings elsewhere. Its US Chapter 11 case had been dismissed separately; the Dwa asset sale did not itself rename this seller as Lyten Poland.
- Analysis: Other legal entities followed different local paths. Japan’s official record marks its company closed after liquidation in February 2026. Swedish directory snapshots record later bankruptcies for Aurora Lithium AB and NVC Energy V and VI, but a liquidation decision for Fem. Neither bankruptcy nor liquidation should be spread across neighbouring entities as a generic group-wide status. [s-d130] [s-d131] [s-d132] [s-d135] [s-d79]
- Documented: The Japanese government company record marks Northvolt Japan’s registration closed on 10 February 2026 after completion of liquidation. Retained Swedish directory entries record bankruptcies of Aurora Lithium AB on 27 May 2025 and NVC Energy V and VI on 14 May 2025, while Northvolt Fem has a liquidation decision dated 3 July 2025. [s-d130] [s-d131] [s-d132] [s-d135] [s-d79]
  - Qualification: A liquidation entry is not interchangeable with bankruptcy. These dated entries concern different legal entities and do not establish a single group-wide termination date.

## Earlier exits and later property-company names

- Analysis: The operating retrenchment began before the parent bankruptcy: the declaration records Fem’s abandoned factory and land sale, discontinued Ett expansion, and the end of NOVO capital contributions. Ett Expansion’s local record dates its bankruptcy to October 8, 2024. The old NOVO negotiations are preserved as negotiations, rather than completed sale terms inferred only from subsequent board changes. [s-d112] [s-d182]
- Documented: The Chapter 11 declaration says Northvolt abandoned Fem in June 2024 and sold its land to the municipality, halted Ett expansion in September, and stopped capital contributions to NOVO in October. The retained local record dates Ett Expansion’s bankruptcy to 8 October 2024, before the parent’s March 2025 bankruptcy. [s-d112] [s-d182]
  - Qualification: The declaration still described negotiations over Volvo’s announced redemption of the NOVO interest. A later change of directors alone does not establish all final sale terms or consideration.
- Analysis: Three property companies retain the same Swedish organisation numbers under later Lyten names, and the former Fem property company appears as EcoDC 2 B1B2 AB. This supports name continuity for those particular legal entities. It does not equate similarly named new Lyten operating companies with the bankrupt Northvolt operating companies. The property-company records list Cook, Sahlin and Almén in specific board functions; common corporate-service appointments alone are not proof of shared ultimate ownership. [s-d117] [s-d119] [s-d5] [s-d61] [s-d62]
- Attributed: Retained corporate records match the Swedish organisation numbers of three historical property subsidiaries to their later Lyten names: Labs property company 559150-0391, Ett property company 559118-2935, and Ett Expansion property company 559280-7415. The former Fem property company 559281-4767 is later named EcoDC 2 B 1 B 2 AB. [s-d117] [s-d119] [s-d5] [s-d61] [s-d62]
  - Qualification: These matched identifiers support legal-name continuity for the property companies, not a merger of the bankrupt operating companies with similarly named new Lyten operating entities. The Ett Expansion property record states liquidation ended and operations resumed; it is not a current bankruptcy entry.
- Attributed: The retained records for the three Lyten-named property companies list Daniel Cook as chair and director, Johan Sahlin as a director, and Ida Almén as alternate director. [s-d117] [s-d61] [s-d62]
  - Qualification: These are dated corporate offices. Common service-provider directors do not by themselves establish common beneficial ownership of unrelated companies.
