# Northvolt insolvencies: Sweden, the United States and separate Canadian proceedings

**Question.** Which companies entered which proceedings, and what did the US dismissal order do?

**Answer.** The Swedish order covered five named companies. The US court dismissed eight affiliate cases in April 2025 while preserving a remaining case and limited professional-fee processes.

## The final liquidity effort in the US

- Analysis: Northvolt’s declaration described an agreed $100 million multi-draw Scania DIP facility and proposed access to $110 million in Ett debt-service reserves plus approximately $35 million in other Ett accounts. It said only about $30 million of cash was available at the petition date. Agreed financing terms and proposed collateral releases are distinct from proof that every amount was advanced. [s-d182]
- Documented: For the proposed Chapter 11 financing, Northvolt described a $100 million senior-secured, superpriority, multi-draw Scania facility and access to $110 million of Ett debt-service reserves plus approximately $35 million from other Ett accounts. It reported only about $30 million available cash at the petition date. [s-d182]
  - Qualification: The declaration describes agreed financing terms and requested use of cash collateral; it is not a statement that every tranche was advanced.

## Five Swedish bankruptcies

- Analysis: Stockholm District Court declared Northvolt AB, Ett, Labs, Systems and Revolt bankrupt on 12 March 2025. The Swedish enforcement authority identified Mikael Kubu as trustee. That official list is narrower than every subsidiary or project mentioned in the group’s annual report; the specific debtor identity determines the proceeding. [s-d16]

## Eight dismissals, with defined remaining steps

- Analysis: The US order of 1 April dismissed the cases of the Swedish parent, Cuberg, Ett, Ett Fastighetsförvaltning, Labs, Poland, Revolt and Systems. NV Texas remained open pending requirements involving quarterly fees, escrow arrangements, professional applications and a dismissal notice. The committee retained limited standing concerning fees and specified appeals. Describing all nine cases as closed immediately would omit these conditions. [s-d184]
- Documented: The US bankruptcy court’s 1 April 2025 order dismissed eight affiliate Chapter 11 cases: Northvolt AB, Cuberg, Ett, Ett Fastighetsförvaltning, Labs, Poland, Revolt and Systems. NV Texas remained open pending the specified fees, escrow, final applications and dismissal notice. [s-d184]
  - Qualification: The order did not close all nine cases immediately. The creditors’ committee retained limited standing for professional compensation and specified appeals until the remaining case’s dismissal.

## Canada followed its own route

- Analysis: The Canadian project had been outside the parent’s Chapter 11, but later came under the Quebec CCAA order. That order named three debtors and joined their administration while expressly preserving separate assets and obligations. Its monitor and creditor arrangements are covered on the Quebec page; they should not be substituted for the Swedish trustee’s role or the US dismissal provisions. [s-d121] [s-d175]
- Documented: The same briefing records Northvolt AB’s US filing on 21 November 2024 and the company’s position that the Canadian project would operate outside Chapter 11, though it would be delayed. It records Peter Carlsson stepping down as CEO while remaining a director at that stage. [s-d121]
  - Qualification: Exclusion from the parent’s Chapter 11 did not prevent later Canadian proceedings.
- Documented: The Quebec Superior Court’s 5 September 2025 initial CCAA order concerns Batteries Northvolt Nord-Amérique inc., 9500-9551 Québec inc. and Société en nom collectif MCMSB, under court number 500-11-066155-256. Investissement Québec applied and Raymond Chabot was appointed monitor. [s-d175]
  - Qualification: These are the debtors named in this Canadian proceeding; the order is distinct from the Swedish and US proceedings.
- Documented: The CCAA order consolidated the three proceedings for administration only, expressly leaving each debtor’s assets, debts and obligations separate. IQ was an unaffected creditor whose security rights were not compromised and which was not bound by the general stay. [s-d175]
  - Qualification: Joint administration is not a substantive merger or a finding that every group company owes every liability.

## Operations and creditor procedures continued

- Analysis: The trustee’s May 2025 account described a planned Ett production wind-down by June 30 after operations had continued with customer support; part of the Systems business had already been sold, without a buyer or price in that update. These estate-management steps preceded the later Lyten arrangements. [s-d99]
- Documented: The trustee described temporary continued production after bankruptcy supported by Scania, followed by a planned Ett wind-down to June 30, 2025 when a near-term buyer was not available. Its May 22 update said part of the Systems business had already been sold; the passage did not name the buyer or price. [s-d99]
  - Qualification: The later Lyten transactions are separate developments. Neither a temporary restart nor a sale announcement guarantees the continuing operation of every original business.
- Analysis: The trustee’s information page subsequently recorded June 2026 court decisions opening claims-submission procedures for Northvolt AB, Labs, Revolt and Systems, each with its own case number. The notices set an August 21 deadline. They demonstrate continuing administration after the initial bankruptcy order, without establishing whether any particular claim was later allowed or paid. [s-d99]
- Documented: The trustee’s creditor-information page records June 13, 2026 decisions opening claims-submission procedures for Northvolt AB, Labs, Revolt and Systems. It identifies separate court case numbers and an August 21, 2026 deadline for written submissions to Stockholm District Court. [s-d99]
  - Qualification: The stated deadline belongs to the 2026 notices and is not advice on the current availability or admissibility of a creditor claim.

## A resolved objection and a proposed fee order

- Analysis: The debtors’ February 2025 certificate said the creditors’ committee objection to retaining Rothschild had been resolved and filed a revised proposed order specifying a $3 million new-capital fee plus expenses. The document asked the court to enter that order. Its draft’s judicial wording is therefore not, by itself, evidence that the court entered it or that the debtors paid the amounts. [s-d272]
- Documented: In February 2025 the debtors’ counsel said a sealed creditors’ committee objection to retaining Rothschild had been resolved consensually and submitted a revised proposed order. That draft specified a $3 million new-capital fee and $20,489.10 of expenses. [s-d272]
  - Qualification: The retained document requests entry of a revised proposed order. Its order-style wording does not by itself prove judicial entry or payment of the amounts.

## Inventory values and the Industrial business sale

- Analysis: June 2025 reporting on the Swedish estate inventories put the combined AB and Ett liabilities above SEK80 billion after adjusting duplication, against assets valued below SEK2.4 billion. It reported an expectation of partial secured-creditor recovery and no distribution for suppliers or the tax authority. Those dated assessments preceded later disposals and are not the final proceeds, final admitted claims or a completed distribution account. [s-d103]
- Attributed: June 2025 reporting based on the Swedish bankruptcy inventories put liabilities of Northvolt AB and Ett above SEK 80 billion after adjusting an SEK 88 billion combined figure for duplication, against assets valued below SEK 2.4 billion. It described expected partial recovery for secured creditors and no expected distribution to suppliers and the tax authority. [s-d103]
  - Qualification: These were dated inventory values and recovery expectations before later asset sales, not final realised proceeds or court-approved distributions. Adviser priority claims were assertions, not resolved priority findings.
- Analysis: The Industrial battery-systems business had a separate sale path from Lyten’s asset acquisitions. March reporting described a $6 million Scania proposal interrupted by the Swedish bankruptcy. Scania’s April 11 announcement later described an acquisition agreed with the trustee, covering Polish production and Swedish research operations, with the final price undisclosed. The original proposal’s cash price is therefore not presented as the established final consideration. [s-d104] [s-ext-scania-sale]
- Attributed: March 2025 reporting describes a pre-bankruptcy agreement for Scania to acquire the Industrial battery-systems business for $6 million cash with assumed liabilities. It says the Swedish bankruptcy interrupted that process while Scania remained willing to proceed. [s-d104] [s-ext-scania-sale]
  - Qualification: The old $6 million proposal must not be treated as the established price of the later trustee transaction.
  - Outcome: Scania’s 11 April 2025 buyer announcement subsequently described the acquisition agreed with the trustee, covering Gdańsk production and Stockholm R&D, with the purchase price undisclosed.
