# Southern Water: owners, rescue and enforcement record

**Question.** Who owns and controls Southern Water Services Limited, how was the group rescued in 2025–2026, and what prosecutions and enforcement has the company faced?

**Answer.** Southern Water Services Limited supplies water to 2.7 million and wastewater services to about 4.8 million customers in Kent, Sussex, Hampshire and the Isle of Wight. Funds managed by Macquarie Asset Management have held the majority of the group since September 2021. In 2025 its holding companies could not repay their maturing debt and no investor took up a £1.3 billion rescue share issue; on 4 July 2025 Greensands (UK) Limited went into administration and sold its holdings in the group's companies to Sandstone Bidco Limited, whose investors put £900 million of new equity in by March 2026, and in August 2026 a fund managed by Asterion Industrial Partners took a 20% minority stake. According to the July 2026 sentencing remarks the company had 174 previous convictions, among them a £90 million fine in 2021; it was fined £7.1 million in July 2026, Ofwat imposed a £126 million penalty and rebate package in 2019 and accepted new undertakings in 2026, and since July 2026 it and four former employees, including former chief executive Matthew Wright, who denies wrongdoing, have been prosecuted over alleged manipulation of flow-monitoring tests.

## What this research adds

- Analysis: Control of Southern Water Services Limited passed from ScottishPower (until 2002) and the Royal Bank of Scotland (until 2007) to the Greensands group and, from September 2021, to funds managed by Macquarie Asset Management, which bought 62.24% of the ultimate parent. When the holding companies could not meet their 2025 debts, Greensands (UK) Limited went into administration and sold its holdings in the group to Sandstone Bidco, whose Macquarie-led investors brought in £900 million of equity and, in August 2026, Asterion Industrial Partners as a 20% minority investor. The dossier sets the company's record of Environment Agency and Drinking Water Inspectorate convictions and Ofwat enforcement beside the pending flow-monitoring prosecutions, the board and its investor-nominated directors, the register chain of holding companies and the main contractors. Each account keeps its source, the company's or the accused's response and the outcome, or states that the record has none. ## The company

- Analysis: Southern Water Services Limited is a private limited company registered in England and Wales under company number 02366670, listed by Companies House as active, with its registered office at Southern House, Yeoman Road, Worthing. Companies House data summarised by a company-information aggregator give its incorporation date as 1 April 1989; the retained official register pages do not show that date. Its registered activities are water collection, treatment and supply, sewerage, and technical testing and analysis. In its annual report for the year ended 31 March 2026 the company describes its business as providing water services to 2.7 million customers and wastewater services to around 4.8 million customers across Kent, Sussex, Hampshire and the Isle of Wight. Its latest full accounts, for that year, were filed on 10 September 2026, and new articles of association were filed on 25 March 2025. [src-094] [src-093] [src-017] [src-028] [src-059] [src-040]

## Owners and controllers

- Analysis: ScottishPower owned the Southern Water group from 1996 until 23 April 2002, when it sold Aspen 4 Limited, the holding company of Southern Water plc, to First Aqua Limited for £2.05 billion including debt. From 15 October 2007 the ultimate parent was Greensands Holdings Limited, a Jersey company set up in September 2007 to buy Southern Water Capital from the Royal Bank of Scotland. On 8 September 2021 MSCIF Wight Bidco Limited, for funds managed by Macquarie Asset Management, acquired 62.24% of Greensands Holdings. In November 2022 Ofwat named the Macquarie fund, acting by its general partner, and Macquarie Asset Management Europe as the Ultimate Controllers of Southern Water. In August 2026, Ofwat records, a fund managed by Asterion Industrial Partners took a 20% minority shareholding in the group, with funds managed by Macquarie Asset Management remaining the majority shareholder. ## The 2025 rescue

- Analysis: In March 2025, after Ofwat's AMP8 final determination, Greensands Holdings told its investors that Southern Water needed £900 million of additional funding to continue as a going concern, that about £427 million of holding-company notes fell due in 2025 and could not be repaid, and that defaults on about £414 million of further facilities were expected, according to the administrators' summary. A rescue issue seeking about £1.3 billion was terminated on 10 April 2025 after no investor accepted it. On 4 July 2025 the administrators of Greensands (UK) Limited sold its shareholdings in Greensands Junior Finance and Southern Water (Greensands) Financing to Sandstone Bidco Limited for £1 each in a pre-packaged sale that also provided for a debt-for-equity exchange and at least £655 million of new equity. Sandstone Bidco's investors injected £505.0 million in November 2025 and £395 million in March 2026, and committed a further £300 million to be drawn by 31 March 2027. [src-066] [src-059] [src-020]

## Prosecutions and enforcement

- Analysis: The Crown Court's sentencing remarks of 17 July 2026 record that Southern Water had 174 previous convictions (the Court of Appeal had counted 160 previous offences in January 2014) and had been convicted every year from 1999 to 2016; they include a £2,000,000 fine for Margate discharges in December 2016 and a £90,000,000 fine in July 2021. On 17 July 2026 the same court fined it £7,127,083 for 13 offences at its Margate and Broadstairs pumping stations, to which it had pleaded guilty (the remarks give the fine on one count inconsistently; the stated total matches their calculation table). Ofwat found in 2019 that the company had failed to run wastewater treatment works properly and had manipulated wastewater sampling — findings it said concerned regulatory obligations only, not environmental harm or criminality — and accepted the package of rebates and undertakings the company proposed: £126 million of penalties and rebates, with formal undertakings. In February 2026 Ofwat accepted further undertakings instead of an enforcement order and imposed no financial penalty; the company acknowledged Ofwat's findings while disagreeing with some aspects of the draft assessment. - Analysis: On 22 July 2026 the Environment Agency announced criminal proceedings over alleged artificial no-flow events staged between 2012 and 2017 to manipulate the operator self-monitoring tests at wastewater works: four former employees, including former chief executive Matthew Wright, are charged with conspiracy to defraud the Agency and Ofwat, and the company faces permit charges linked to the same conduct. These are charges, not findings, and no plea or trial is recorded. Mr Wright denies any wrongdoing, according to his solicitor; the company had said before the charges that it was assisting the investigation and could not yet predict how it would plead. The case was sent to Maidstone Crown Court on 11 September 2026. [src-054] [src-055] [src-074] [src-059]
