# Steward Health Care: ownership, bankruptcy and the disputed financial transfers

**Question.** What does the retained record establish about Steward’s ownership, financial transfers and the outcomes of the resulting disputes?

**Answer.** Steward’s hospital business passed from Cerberus-backed ownership to management control before its May 2024 bankruptcy. Hospital transfers and defined settlements changed the estate; claims against insiders, insurance disputes and separate Malta proceedings require different legal and temporal qualifications.

## Ownership and financing

- Analysis: Steward began with a Cerberus-backed acquisition of Caritas hospital assets, then moved to management control in 2020. Its corporate chain and different equity classes matter: a percentage in Holdings is not automatically the same interest as preferred units in System. Cerberus disputes the account that it caused the later collapse, citing investment in the business and its exit before bankruptcy. - Qualification: Historical ownership does not establish the present capitalization or liability for subsequent decisions.

## The transactions behind the financial disputes

- Analysis: Medical Properties Trust (MPT) helped turn Steward’s hospital real estate into financing. In the 2016 arrangement, Steward sold and leased back five facilities and obtained mortgage financing on four others, together worth approximately US$1.2 billion, alongside a separate US$50 million equity investment. Steward continued to operate hospitals on leased property, with rent obligations alongside its other financing costs. [s-d23] [s-d86]
  - Qualification: The nine facilities were not all sold in the same way. Property ownership, hospital operations, mortgage debt and an equity investment are separate interests.
  - Outcome: MPT later reported that the 2024 settlement and termination of the master leases ended its relationship with Steward. Defined claims were released, and MPT reported no remaining Steward exposure on its consolidated balance sheet at 30 September 2024.
- Analysis: A central insider dispute concerns the US$111 million dividend paid in January 2021. The estate’s July 2025 complaint challenged that distribution and alleged that former chief executive Ralph de la Torre received approximately US$81.5 million while the hospital business was already insolvent. [s-d14] [s-d278]
  - Qualification: These are pleaded claims, not findings that the recipients committed fraud. The retained record does not establish a merits judgment resolving the allegations.
  - Response: De la Torre says his dividend partly compensated an approximately US$200 million guarantee, that the requisite shareholders approved it, and that a third-party valuation showed Steward retained value well above the distribution.

## The bankruptcy estate

- Analysis: The May 2024 bankruptcy led to hospital transfers, a September 2024 MPT settlement, confirmation of a liquidation plan in July 2025, and continuing claims administration. Reporting in July 2026 described court approval of a separate confidential settlement between Cerberus and the litigation trust: the amount was redacted, defined potential claims were released, and Cerberus preserved its denial of wrongdoing. That settlement does not resolve the separate insider allegations against the former chief executive. [s-d102] [s-d110] [s-d124] [s-d126] [s-d127] [s-d138] [s-d14] [s-d154] [s-d171] [s-d203] [s-d23] [s-d258] [s-d278] [s-d28] [s-d4] [s-d75] [s-d8] [s-d86]
  - Qualification: Plan confirmation is not the same as the plan’s effective date. The February 2026 account of the trustee’s objection is a dated position; an October claims notice does not determine the outcome of every appeal.

## Why the legal outcomes must remain separate

- Analysis: The proceedings do not share one result. Dismissal of de la Torre’s Senate civil suit was jurisdictional, not a criminal contempt conviction. Malta’s prima facie referral and Ernst’s reported charges do not establish guilt; the defense and not-guilty plea remain material. Insurance disputes and the U.S. civil cases have separate parties, claims and outcomes. - Qualification: Neither a connection to Steward nor inclusion in this network attributes another party’s alleged conduct to an investor, adviser, director or counterparty.
