# Steward Health Care — Steward’s international companies: divestiture, Malta and Spain

**Question.** How do the international entities relate to the former U.S. group?

**Answer.** The retained record describes a 2020 related-party divestiture and distinct UK, Maltese and Spanish companies. Historical charts and similar names do not establish present direct U.S. ownership.

## The international divestiture and separate legal entities

- Analysis: The 2020 audited accounts describe a $200 million related-party transfer of Steward’s international operations to a company owned by certain management equity holders and MPT. The retained Malta account traces the February 2018 transfer of 1,140 of Vitals’ 1,200 shares to Steward Health Care International Ltd and sixty to Ashak Rattchalli, followed by renaming and director changes. It separately identifies a UK International Holdings company above the Maltese International Ltd. Spain’s Steward Health Care International SL is another legal entity, with NIF B88616321 and former name Cordiant Healthcare Services Ksa SL. - Qualification: The US group, UK holding company, Maltese companies and Spanish SL are not interchangeable. The 2018 organizational-chart text has OCR and layout limitations; percentages must not be attached to the wrong level. Historical references to a subsidiary do not override the later 2020 divestiture. Spanish single-shareholder notices identify Manolete Management LLC, distinct from Manolete Health LLC.
  - Outcome: Spanish notices record replacement of the board by joint administrators in July 2024; a later registry account records de la Torre as sole administrator from June 2025. Reporting on unpaid wages and supplier disruption in Colombia in September 2024 does not by itself establish the exact US debtor’s legal liability for those local obligations.
