# Steward's officers, directors and registry entries, 2016–2026

**Question.** Who held Steward's executive, board and registry posts, and which records show it?

**Answer.** Ralph de la Torre appears as president, chairman and chief executive of Steward Health Care System LLC in records from 2017 to 2024, with officers such as Mark Rich, John Doyle, Joseph C. Maher, Jr. and Nathalie Hibble in Florida and SEC filings, and five persons from Cerberus entities among the System's directors and executive officers in 2018. In the May 2024 bankruptcy consent de la Torre and Michael Callum sign for many subsidiary boards, while the board of Steward Health Care Holdings LLC then included the independent managers William Transier and Alan Carr, whose Transformation Committee comprised the two and Chief Restructuring Officer John R. Castellano by June 2025. The System's last Florida annual report, filed in May 2025, lists only its Chief Restructuring Officer, entered as “Castellano, John J.”

## System officers

- Analysis: The debtors' July 15, 2025 adversary complaint describes Ralph de la Torre as chief executive officer of Steward Health Care System LLC (SHCS) from 2010 to 2024, member and chairman of its board from 2010 to 2022, and member and chairman of the board of Steward Health Care Holdings LLC from 2022 to 2024. De la Torre signed the IASIS (Project Ignite) Master Agreement between SHCS and Medical Properties Trust entities, effective May 18, 2017, for SHCS as “President & Chairman”; the agreement was filed with the SEC as Exhibit 10.1 to a Medical Properties Trust report. Schedule A of Steward Physician Contracting, Inc.'s Schedule 13D of March 12, 2018, an SEC ownership filing on First Choice Healthcare Solutions, Inc. shares, lists the directors and executive officers of its indirect parent SHCS: besides five persons from Cerberus entities, de la Torre (Chairman and CEO), John Doyle (Treasurer and CFO), Joseph Maher, Jr. (General Counsel and Secretary), Justine Carr (retired/director), James Karam (President, First Bristol Corporation), Ruben King-Shaw, Jr. (Chairman and CEO, Mansa Equity Partners, Inc.) and John A. Boehner (former Speaker of the US House of Representatives; Senior Strategic Advisor, Squire Patton Boggs LLP). Senators Elizabeth Warren and Edward J. Markey addressed their letter of March 7, 2024 to de la Torre as “Chairman and Chief Executive Officer, Steward Health Care System” at 1900 North Pearl Street, Suite 2400, Dallas, and wrote that he had “run this hospital system for 14 years”. [src-007] [src-031] [src-026] [src-002]
- Analysis: CareMax, Inc.'s 2022 proxy statement identifies Rubén José King-Shaw Jr. as Chief Strategy Officer of SHCS when he and Ralph de la Torre met CareMax management in early November 2021 to discuss a combination; the merger agreement directs notices for the seller parties to King-Shaw's attention and routes the buyer's pre-closing access through him and Nathalie Hibble. In the June 16, 2021 joint release announcing Steward's agreement to buy five hospitals in the Miami-Dade and Southern Broward area from Tenet, filed by Tenet with the SEC, Steward described Octavio Diaz as its Chief Medical Officer and King-Shaw as its Chief Strategy Officer and a former Florida Secretary of the Agency for Health Care Administration, and said the new hospitals' operations would be directed by Sanjay Shetty, president of Steward North America. Humana Inc.'s executive biography states that Shetty joined Humana in March 2023 as President, CenterWell, after nearly 13 years in health care delivery at Steward Health Care System, most recently as President, where he led the large accountable care organization, a multispecialty group practice and acute care hospitals; the debtors' July 15, 2025 complaint states that Shetty was President of SHCS from 2021 until 2023. A trade-publication report of November 2, 2021, citing a Steward release of October 27, 2021, said Christopher Dunleavy had been named CFO of Dallas-based Steward Health Care effective October 25, 2021, after serving as senior vice president and CFO of Brigham Health in Boston and, before joining it in 2016, in CFO roles at Vizient and USMD Holdings. [src-013] [src-089] [src-062] [src-007] [src-052] [src-107]
- Analysis: A Steward release dated February 29, 2024, republished by a regional health-care news outlet, announced that Chief Medical Officer Octavio (Tavi) Diaz would become President of Steward's North region, covering its seven acute care hospitals in Massachusetts, effective that day, and that Michael Callum, Executive Vice President of Physician Services, was taking a new role overseeing the management of Steward facilities across the Midwest and South, including Ohio, Pennsylvania, Louisiana and Arkansas, and working on long-term strategy across all Steward hospitals; it quoted Mark Rich as “President of Steward Health Care”. An undated executive profile on a company-review aggregator lists Rich as Executive Vice President & CFO/Treasurer of Steward Health Care System, and a spokesperson for Rich told an investigative news organization for an October 9, 2024 report that he resigned as CFO of Steward Health Care in 2017 and did not hold that position again until March 2023. The aggregator profile is unofficial, and the CFO dates are the spokesperson's account, not confirmed by a primary record in the reviewed material. [src-093] [src-111] [src-065]
- Analysis: Filings on the 2022 sale of Steward's value-based-care business to CareMax, Inc. record roles at that time. In a Schedule 13D on his CareMax Class A shares (event date November 10, 2022), Ralph de la Torre gave his principal occupation as Chairman and Chief Executive Officer of SHCS (written “Systems” in the filing), with a business address c/o Steward Health Care Investors LLC, 1900 N. Pearl Street, Suite 2400, Dallas, and stated that he had been appointed a CareMax director effective November 17, 2022. The same filing describes Michael Callum as Executive Vice President for Physician Services and an equityholder of the “Seller Parties” (Sparta Holding Co. LLC and SHCS), and states that at closing Sparta, de la Torre, Callum, Medical Properties Trust, Inc. and certain other Sparta equityholders entered into an investor rights agreement with CareMax under which de la Torre and Callum became subject to voting and standstill restrictions. The May 31, 2022 merger agreement, annexed to CareMax's 2022 SEC proxy statement, defines the seller's and target companies' knowledge as the present actual knowledge of Rubén José King-Shaw Jr., de la Torre, Christopher Dunleavy, Andrew Herman, Michael G. Callum and John Donlan after due inquiry of their direct reports, naming them only to define that scope and not to impose liability on them. [src-008] [src-013]

## System and Holdings boards

- Analysis: The five persons from Cerberus entities listed in 2018 among the directors and executive officers of SHCS, in Schedule A of Steward Physician Contracting, Inc.'s Schedule 13D of March 12, 2018, were James Lenehan (Senior Advisor, Cerberus Operations and Advisory Company, LLC), W. Brett Ingersoll (Head of Global Private Equity and Senior Managing Director, Cerberus Capital Management), Lisa Gray (Vice Chairman and Senior Legal Officer, Cerberus Operations and Advisory Company), Chan Galbato (Chief Executive Officer, Cerberus Operations and Advisory Company) and Michael Palmer (Managing Director, Cerberus Capital Management). According to the debtors' adversary complaint of July 15, 2025, Ralph de la Torre was CEO and Chairman of SHCS and of each Miami hospital subsidiary when the Tenet asset purchase agreement was signed, signed it for each entity and approved the transaction by written consents of June 16, 2021, and de la Torre, Michael Callum and James Karam voted to approve it as members of the SHCS board. These are the plaintiffs' statements, on which no court had ruled by the evidence cutoff: a trade-publication report of October 2026 stated that de la Torre has disputed the allegations in the suit, no response by Callum or Karam appears in the reviewed record, and the proceeding continued with the trustee of the SHC Creditor Litigation Trust among the plaintiffs, with a status and scheduling conference on June 29, 2026 and no ruling on the merits in the docket extract reviewed, last updated October 13, 2026. [src-026] [src-007] [src-052] [src-096]
- Analysis: According to the debtors' first-day declaration filed on May 6, 2024, the board of Steward Health Care Holdings LLC then comprised Ralph de la Torre, M.D. (Director, Chairman of the Board and CEO), Mark Rich (Director and President), Rubén José King-Shaw, Jr. (Director and Chief Strategy Officer), Michael G. Callum, M.D. (Director and EVP for Physician Services), John Boehner, Sister Vimala Vadakumpadan, Carlos M. Hernandez and James J. Karam (Directors), and William Transier and Alan Carr (Directors and Transformation Committee members). The same declaration states that Transier and Carr were appointed independent managers of the board in late December 2023 and early January 2024 respectively, and Carr's declaration executed June 27, 2025 says he has served as an Independent Manager and member of the Transformation Committee since January 2024. Carr states that the board established the Transformation Committee on December 19, 2023 and on December 24, 2023 delegated to it the board's full, sole and exclusive authority over transactions and the administration of the Chapter 11 cases; at the time of his declaration the committee comprised Carr, Transier and Chief Restructuring Officer John R. Castellano, and a charter amendment of April 29, 2024 had created an Investigation Sub-Committee of Carr and Transier. [src-009] [src-038]
- Analysis: Alan J. Carr's June 27, 2025 declaration describes him as co-founder, CEO and Managing Member of Drivetrain LLC, a restructuring and litigation firm, formerly a Managing Director at Strategic Value Partners LLC (2003 to 2013) and a corporate restructuring attorney, with more than 75 engagements as an independent director or manager of distressed companies in the preceding twelve years; a May 2022 Form 8-K of Enjoy Technology, Inc. dates his Drivetrain role to September 2013. Enjoy Technology's Form 8-K on William Transier's appointment to its board on May 20, 2022 describes Transier as CEO of Transier Advisors, LLC, an advisory firm for companies in stressed situations, turnaround, restructuring or needing interim executive leadership; a co-founder of Endeavour International Corporation; EVP and CFO of Ocean Energy, Inc. from 1996 to 2003; and earlier a KPMG LLP partner. An advisory firm's profile describes Transier Advisors as a US Chapter 11 restructuring firm. A conference speaker profile describes John R. Castellano, the debtors' Chief Restructuring Officer, as a partner and managing director in the Chicago office of AlixPartners, LLP with 30 years of experience in management, advisory and restructuring roles, who provides interim-management services as chief restructuring officer, chief financial officer and interim chief executive. ## Subsidiary boards and signatories

- Analysis: Mark Rich signed the Master Lease Agreement of October 3, 2016 with Medical Properties Trust's lessor entities as Treasurer of each of the five tenant hospital companies: Steward Holy Family Hospital, Inc., Morton Hospital, A Steward Family Hospital, Inc., Steward Good Samaritan Medical Center, Inc., Steward St. Anne's Hospital Corporation and Steward St. Elizabeth's Medical Center of Boston, Inc. In the omnibus written consent of May 5, 2024 that authorized the Chapter 11 filings, Ralph de la Torre and Michael Callum are the two named signatories for the boards of group companies including Arizona Diagnostic & Surgical Center, Inc., Beaumont Hospital Holdings, Inc., Blackstone Medical Center, Inc., Blackstone Rehabilitation Hospital, Inc., IASIS Healthcare Corporation, IASIS Healthcare Holdings, Inc. and Davis Hospital Holdings, Inc., with SHCS signing as stockholder of IASIS Healthcare Corporation. De la Torre is the only named signatory for the boards of Steward Health Care OZ Fund, Inc., Steward St. Elizabeth's Realty Corp. and Steward New England Initiatives, Inc., and Callum for the boards of the hospital companies held by Steward Florida Holdings LLC: Steward CGH, Steward FMC, Steward HH, Steward NSMC, Steward PGH, Steward Melbourne Hospital, Steward Rockledge Hospital and Steward Sebastian River Medical Center. Rich signed the consent as Treasurer of Steward Health Care Holdings LLC, for Holdings as managing member and member of SHCS and in the chain through which SHCS acted for subsidiaries such as Steward Florida Holdings LLC and Steward Medical Holdings LLC, and as Treasurer for group companies acting as members or stockholders, including Steward Medical Group, Inc., IASIS Healthcare LLC and Stewardship Health, Inc. [src-030] [src-001]
- Analysis: Florida's registry shows Health Choice Management Co., a Delaware corporation registered in Florida as a foreign profit corporation on March 31, 2014 (document F14000001423), with its principal address at 1900 N. Pearl Street, Suite 2400, Dallas since March 22, 2019. It lists Michael Callum and Ralph de la Torre as directors, Ruben King-Shaw, Jr. as President and William A. Stokes as SVP, Finance, Tax and Real Estate; the Florida registration was withdrawn on June 22, 2020. [src-021]

## Physician companies

- Analysis: For Steward Physician Contracting, Inc. and its direct parent Steward Medical Group, Inc., Schedule A of the former's March 12, 2018 Schedule 13D lists, among others, John Doyle (Treasurer and CFO of SHCS), Sanjay Shetty (President, Steward Medical Group), Joseph C. Maher, Jr. (Secretary and General Counsel of SHCS) and Mark Girard (President, Steward Health Care Network, Inc.), and for Steward Medical Group also Michael Callum (Executive Vice President, Physician Services, SHCS) and John Polanowicz (Chief Operating Officer, SHCS); Maher signed the filing as Secretary of Steward Physician Contracting. The federal NPPES provider registry record for Steward Medical Group, Inc. (other name Steward Primary Care Doral; organization record enumerated July 15, 2021; status active) names Amy Marie Guay, with the title “President of Steward Medical Group”, as authorized official. In the May 5, 2024 omnibus consent Callum is the only named board signatory for Steward Medical Group and for Steward Physician Contracting; SHCS, acting through Steward Health Care Holdings LLC with Mark Rich as Treasurer, signed as member of Steward Medical Group, which signed as member of Steward Physician Contracting. Florida's officer and registered-agent name index lists “DE LA TORRE, RALPH MD” and “CALLUM, MICHAEL” for Steward Emergency Physicians, Inc. (Florida document F17000004231), a group physician company for which the two are also the named board signatories in the May 5, 2024 consent; the index also lists Callum for Health Choice Management Co. and de la Torre for Sebriel LLC. ## Florida registry entries for the System

- Analysis: Steward Health Care System LLC's application of April 12, 2017 for authority to transact business in Florida as a Delaware limited liability company names three persons with authority to manage, all at 111 Huntington Avenue, Suite 1800, Boston: Mark Rich (Treasurer), Joseph C. Maher, Jr. (Secretary), who signed the application, and Ralph de la Torre (President); the registry copy is a faxed scan whose text is partly distorted. In its 2018 annual report to the Florida Division of Corporations, filed June 21, 2018 under the name “Steward Health Care Systems LLC”, the company listed four authorized persons at the same Boston address: John M. Doyle (Treasurer), Maher (Secretary), de la Torre (President) and Nathalie Hibble (Assistant Secretary), who signed the report. [src-019] [src-004] [src-006]
- Analysis: The Florida annual reports filed April 4, 2019 and May 16, 2020 list a single authorized person, Steward Health Care Holdings LLC, with the title “MEMBER”, and the report filed April 2, 2021 lists only Holdings, titled “MANAGING MEMBER”; Holdings signed all three, and none names an individual officer or manager. The report filed April 11, 2022, signed by Holdings as managing member, lists Holdings as “MANAGING MEMBER”; Michael Callum, John A. Boehner and Ralph de la Torre as “MANAGER”; and Bane Harrison, Octavio Diaz, Christopher Dunleavy, John Donlan and Brian Dunn as “MEMBER”, all at 1900 N. Pearl Street, Suite 2400, Dallas. The report filed March 1, 2023 repeats these entries and adds Nathalie Hibble with the title “MEMBER”, in which capacity Hibble signed it electronically. In both reports the registry's text rendering prints the names in two columns, and each title is paired with the name in the same column position of the filed report. The report filed March 14, 2024 lists only Holdings, titled “MEMBER”, and Hibble as Assistant Secretary, who signed it, with no manager or other officer. The last report, filed May 1, 2025, lists one authorized person, “Castellano, John J.”, with the title Chief Restructuring Officer, at 2811 McKinney Ave, Dallas; in the Chapter 11 filings the debtors' Chief Restructuring Officer is named John R. Castellano, with a different middle initial. [src-016] [src-010] [src-017] [src-018] [src-005] [src-015] [src-004] [src-009]

## Other companies recorded under de la Torre's name

- Analysis: Florida's registry shows Sebriel LLC, a Florida limited liability company formed on September 19, 2012 (document L12000120327; reinstated February 12, 2014; active), with one authorized person, “DE LA TORRE, RALPH, MD”, titled MGR (manager); since May 20, 2025 its principal and mailing address has been the street address that also forms the name of 5326 Old Buena Vista Road LLC. The entry gives no identifier for the manager beyond the name with the MD suffix, so the link to the former Steward chief executive rests on that name and the shared street address. A July 1, 2026 entry in the docket of adversary proceeding 25-03593 (Steward Health Care System LLC et al. v. De la Torre et al.), as displayed by a court-docket aggregator, names Sebriel LLC among the filers of the defendants' proposed discovery schedule, together with Ralph de la Torre and 5326 Old Buena Vista Road LLC. Florida's registry also shows Vytal Assets, Inc., a Delaware corporation registered in Florida on January 10, 2024 (document F24000000127) and withdrawn on January 23, 2025, with its principal address at 200 High St., Suite 630, Boston; its officer list names Robert J. Gendron under the codes “CD” and “CEO”, two further officers and a director recorded as “DE LA TORRE, RALPH”. The registry gives only that name and the company's Boston address for the director, and the reviewed record does not establish whether he is the former Steward chief executive. [src-022] [src-014] [src-052] [src-020]

## International entities

- Analysis: In Malta, a 2020 analysis of registry filings names Nathalie Hibble as sole director of Steward Health Care International Ltd when it was set up on November 1, 2017, and records Armin Ernst and Michael Callum replacing the Vitals-era directors of Vitals Global Healthcare on February 16, 2018, with Ernst also appointed company secretary, and replacing the directors of its subsidiaries, renamed Steward Malta Management Ltd and Steward Malta Assets Ltd, on May 18, 2018. An undated ownership chart published by an investigative outlet lists Hibble and Joseph C. Maher as directors of Steward Health Care International Ltd and Ernst and Callum as directors of Steward Malta Ltd, Steward Malta Management Ltd, Steward Malta Assets Ltd and Steward Malta Personnel Limited, without dating these posts. In Spain, registry data show Steward Health Care International S.L. governed from December 17, 2020 by a board chaired by Ralph de la Torre with Ernst as vice-chair, both also holding individual powers of attorney, then from July 1, 2024 by the two as joint and several administrators and from June 27, 2025 by de la Torre as sole administrator; Ernst's power of attorney was revoked on July 10, 2026. A gazette entry registered on November 3, 2020 records Cordiant Health Care Services Colombia SL changing from de la Torre as sole administrator to de la Torre and Ernst as joint and several administrators.
