# Steward Health Care — Ralph de la Torre: control, disputed transfers and his responses

**Question.** What is alleged about the former chief executive, and how does he answer it?

**Answer.** The record distinguishes civil allegations over company funds and assets from de la Torre’s explanations concerning guarantees, payroll and independent contract review. No personal criminal conviction is established by these materials.

## The estate’s allegations and disputed transfers

- Analysis: The July 2025 complaint sought recovery of the 2021 $111 million distribution, transfers of CareMax securities and the payment for the Tenet hospitals. It alleges that de la Torre received approximately $81.5 million of the dividend, with further amounts reaching Callum, Shetty, Karam and Steward International, and seeks recovery of subsequent transfers to asset-holding entities. It separately alleges that valuable CareMax stock passed to owner affiliates while the operating business received cash. [s-d14] [s-d28] [s-d102] [s-d110] [s-d126] [s-d278]
  - Qualification: These are pleaded fraudulent-transfer and fiduciary-duty claims, not findings that each defendant committed fraud. A later litigation-trust account described more than $3.4 billion in asserted claims; this is not a judgment or a recovery. Ownership of an asset vehicle does not prove the pleaded alter-ego theory.
  - Response: De la Torre says the dividend partly compensated a roughly $200 million guarantee, that shareholders approved it, and that CareMax shares were pledged for Steward’s benefit and never sold. He denies receiving a CareMax cash distribution and rejects the characterization of MHS as his consulting business.
  - Outcome: The retained adversary docket includes discovery scheduling in July 2026. No merits judgment resolving these allegations is established here. The Cerberus settlement concerns a distinct set of potential trust claims.

## The financial allegations and de la Torre’s account

- Analysis: The public controversy includes allegations about the 2021 dividend, aircraft expenditure, CREF contracts, international-company funds and corporate donations. The estate complaint alleges more than $14.5 million of aircraft-related payments and a $2.5 million school donation. Other retained reporting describes different donation totals and periods; these accounts cannot safely be treated as one reconciled amount. Reporting also describes de la Torre’s minority CREF interest and international transfers associated with that investment. - Qualification: Personal addresses, passport details, children and unrelated family activity are omitted. A corporate payment allegation is not proof of personal criminal liability. The record contains conflicting characterizations of MHS and differences between donation accounts. The precise purpose and lawfulness of each payment remain disputed.
  - Response: De la Torre says MHS was an established payroll vendor and paid only his contractual salary. He says CREF paid him no cash and that an independent committee handled CREF–Steward contracts. A CREF representative said his interest was sold in August 2024 and that the school project followed a competitive bid at market rates. Steward defended its Malta conduct as lawful and transparent.
  - Outcome: The record supports separate civil claims, reported investigations and responses. It does not establish a personal criminal conviction or a final determination of these financial allegations.
