# Tricolor Holdings — Tricolor executives: guilty pleas, Chu’s defense and the SEC action

**Question.** Which individuals pleaded guilty, and which allegations remain contested?

**Answer.** Kollar, Seibold and Goodgame entered separate guilty pleas. Chu pleaded not guilty and has a reported January 2027 trial date. The later SEC complaint requests civil remedies but does not itself impose them.

## Three guilty pleas and Chu’s separate not-guilty position

- Analysis: Kollar and Seibold pleaded guilty on 16 December 2025; the retained minute entries record pleas to all seven counts of their respective informations. Goodgame initially pleaded not guilty, then on 24 June 2026 pleaded guilty to six counts and agreed to cooperate. Chu alone was named in the eight-count superseding indictment returned that day, including new securities-fraud charges. These are different procedural positions and cannot be summarized as all former executives awaiting the same trial. [s-d5] [s-d10] [s-d125] [s-d127] [s-d148] [s-d149] [s-d222] [s-d234]
  - Qualification: A scheduled sentencing control date is not evidence that a sentence was imposed. The archive does not establish a final sentence for the cooperating defendants. A court ruling allowing a charge to proceed concerns legal sufficiency, not guilt.
  - Response: Chu pleaded not guilty to all eight counts. His June defense letter sought more preparation time after the superseding charges and Goodgame’s cooperation, challenged the reliability and incentives of the cooperators, and said important discovery and potentially exculpatory material remained to be examined. In August his lawyer said many allegations were inaccurate and raised substantial legal questions.
  - Outcome: An August 2026 account reports that the judge declined to dismiss the continuing-financial-crimes-enterprise charge and set trial for 25 January 2027. This supersedes the earlier October 2026 setting in the retained docket. No conviction of Chu is established by this archive.

## The SEC’s allegations and requested civil remedies

- Analysis: The SEC sued Chu, Kollar and Seibold in the Southern District of New York on 18 August 2026, case 26-cv-7041. It alleges securities fraud in the Tricolor offerings, control-person liability against Chu and aiding-and-abetting theories. The complaint seeks injunctions, recovery of allegedly improper gains, civil penalties and public-company officer or director bars for Chu and Kollar. It alleges that Kollar received $275,000 of securitization success bonuses in 2025 and Seibold a $25,000 bonus linked to completion of the 2024 audit. [s-d5] [s-d38]
  - Qualification: These civil remedies were requested by the regulator; the retained complaint is not an order imposing them. Separate criminal pleas do not turn every SEC assertion or requested amount into an adjudicated civil finding.
  - Response: Chu’s not-guilty plea and his lawyers’ substantive objections in the related criminal case remain material context. Kollar and Seibold had already pleaded guilty in their criminal proceedings; that outcome is reported separately from this later civil action.
