# Tricolor Holdings — Daniel Chu: disputed transfers, defense insurance and privilege

**Question.** What is alleged about Chu’s payments, and what does his defense dispute?

**Answer.** The SEC and prosecutors describe overlapping payments differently. Chu denies the criminal allegations and has challenged property seizure and access to communications; covered insurance expenses were subsequently authorized.

## Payments, competing descriptions and recovery claims

- Analysis: The SEC and prosecutors describe a sharp increase in Chu’s compensation, including salary rising from $1 million in 2023 to $2 million in 2025, a $2 million 2024 bonus, securitization bonuses and a $15 million special bonus in 2025. They allege substantial transfers while liquidity deteriorated. A critical characterization differs: the SEC calls the August payments repayment of Chu’s $6.5 million July loan, comprising $250,000 on 11 August and $6.25 million on 19–20 August; prosecutors describe the latter two payments as bonus installments. The board’s 5 September demand sought return of the $15 million bonus. [s-d5] [s-d10] [s-d32] [s-d125] [s-d135] [s-d159] [s-d160] [s-d274] [s-d297]
  - Qualification: These overlapping payments must not be counted twice as distinct transfers. The retained accounts of property purchases, a forfeited Aspen deposit and attempted recoveries are allegations or reported records; listings and estimates are not realized sale proceeds. Public discussion is confined to aggregate amounts and the identified recovery dispute. Residential locations, parcel or unit identifiers and family biographies are withheld.
  - Response: Chu has denied the criminal allegations. His lawyers also challenged seizure and use of property or communications, including a reported Fourth Amendment objection to seizure without a warrant. The competing loan-versus-bonus descriptions remain unresolved here.
  - Outcome: The California property-related action was dismissed without prejudice in April 2026, while the separate trustee adversary proceeding was stayed. Neither result is a judgment that all transfers were lawful or that all alleged amounts are recoverable.

## Defense insurance and contested access to communications

- Analysis: Chu sought access to directors’ and officers’ insurance to fund his defense. The trustee initially sought restrictions in the context of potential estate claims. Separately, the government sought release to its prosecution team of company email and laptop material over which Chu asserted personal privilege; the filings describe a filter process and a dispute about the treatment of corporate devices and communications. - Qualification: A government request to reject privilege claims is advocacy, not an order establishing that every communication is unprivileged. One passage dates laptop imaging to September 2026, but the same motion’s chronology and later passage identify September 2025; the precise imaging date is not used to resolve the privilege dispute here.
  - Response: The defense asserted privacy, privilege and constitutional objections and sought additional discovery and preparation time. The trustee also participated in disputes over subpoenas and a privilege log; those procedural acts do not determine the criminal allegations.
  - Outcome: On 8 July 2026 the bankruptcy court granted an agreed motion allowing covered defense expenses under an excess CNA D&O policy up to its limit. The earlier request to restrict $15 million of coverage must not be presented as a final ban on defense funding.
