# Tricolor Holdings — Tricolor lenders: commitments, charge-offs and collateral disputes

**Question.** Why do the lenders’ reported amounts and loss positions differ?

**Answer.** TBK, Renasant, Fifth Third and JPMorgan described different facilities and accounting measures. A commitment is not a charge-off, and a charge-off is not a final recovery result; TBK’s collateral position also differs from other lenders’ losses.

## Exposure, charge-offs and contested collateral coverage

- Analysis: TBK Bank disclosed that it was agent for a $60.5 million floorplan facility and held approximately $22.5 million itself. Renasant separately disclosed approximately $22.5 million owed by Tricolor and subsidiaries, secured primarily by vehicle inventory. Fifth Third’s filings reported $178 million charged off and a $20 million specific allowance on an asset-backed commercial relationship; the filing did not name the borrower, while retained reporting linked the disclosure to Tricolor. JPMorgan executives were reported as identifying a $170 million Tricolor charge-off. [s-d59] [s-d74] [s-d88] [s-d124] [s-d153] [s-d203] [s-d210] [s-d215] [s-d319] [s-d325]
  - Qualification: The bank subsidiary, its public holding company, an administrative-agent role and a lender’s own economic participation are not interchangeable. An anonymous later Renasant reference to a large bankruptcy relationship is insufficient to assign every reported collateral change to Tricolor. Reported exposure, commitment, reserve, charge-off and final recovery must remain separate.
  - Response: As of 31 December 2025, TBK believed its collateral adequately secured its outstanding floorplan position, while acknowledging that other creditors asserted competing interests and a court might need to resolve priority. This is inconsistent with treating all Tricolor lender collateral as worthless.
  - Outcome: Renasant placed its facility on nonaccrual after the bankruptcy; TBK’s cited year-end account did not report a Tricolor charge-off. The favorable dismissal in the separate noteholder bank lawsuit remains relevant to claims of participation in fraud, but does not allocate collateral in the bankruptcy.
