# Tricolor Holdings — Tricolor, Wilmington and Vervent: distinct capacities and the investor contract case

**Question.** Why does the contract case survive the separate bank-case dismissal?

**Answer.** Wilmington entities had different trustee and custodian roles; Vervent moved from backup to successor servicing. Their investor contract case returned to New York state court, and Vervent disputes responsibility for pre-collapse origination and servicing.

## Contract claims and the June remand

- Analysis: Wilmington Trust National Association performed indenture-trustee or collateral-custodian functions in the retained structures, while Wilmington Trust Company is separately identified as owner trustee for certain trusts. Vervent was the backup servicer and later took successor responsibilities. Investor allegations about their contractual and fiduciary duties form a separate action from the securities case against the warehouse banks. [s-d63] [s-d85] [s-d131] [s-d132] [s-d149] [s-d258]
  - Qualification: These are distinct legal entities and capacities. Common involvement in several financing stages does not establish participation in fraud. The trustee’s investigation of possible claims and the investors’ litigation also are different proceedings.
  - Response: Vervent states that before the collapse it was only backup servicer and did not participate in Tricolor’s loan origination or servicing operations.
  - Outcome: The federal court remanded the Wilmington/Vervent case to New York’s state Commercial Division on 5 June 2026. The retained June defense filing describes continued litigation under index 650228/2026, with a summer motion schedule. The dismissal of the bank case does not dispose of these contract and fiduciary claims.
