1The company and its people
analysisLyten describes itself in its 2026 releases as a privately held company founded in 2015 with more than 1,000 investors, no single external investor holding more than 5% of its equity, headquartered in San Jose, California, and in Luxembourg for Europe; the releases name Dan Cook as chief executive and co-founder. Swedish registry records list Daniel Cook as chairman of the Swedish Lyten companies and of the former Northvolt property companies Lyten Ett Fastighetsförvaltning AB and Lyten Labs Fastighetsförvaltning AB. Lyten's February 2026 release quotes Matthias Arleth, who had sat on the boards of Northvolt Ett AB and Northvolt Labs AB until spring 2025, as chief executive of Lyten Sweden. That is Lyten's self-description; its shareholdings and financing commitments are not documented in the records reviewed, and a business-information service reproducing Swedish registry data showed no current Swedish company engagements for Arleth when captured. 1 2 3 4 5 6 7 8

2Cuberg, Dwa and the BESS business
analysisLyten announced on 13 November 2024 that it would acquire the lithium-metal battery plant and equipment of Northvolt's US subsidiary Cuberg in San Leandro, California, and take over Cuberg's lease; the release states no price. Its release of 7 August 2025 lists that purchase together with Northvolt Dwa, the energy-storage factory in Gdańsk, and Northvolt's BESS product and IP portfolio, and on 15 October 2025 Lyten announced that it had completed the Dwa acquisition, again without a price or a named seller. Lyten Poland sp. z o.o., wholly owned by Lyten Europe S.A. and registered at the same Gdańsk address as Northvolt Poland, is run by Robert Chryc-Gawrychowski, formerly chief executive of Northvolt Poland, with Daniel Cook on its management board. According to the debtors' Chapter 11 declaration, Northvolt had announced in August 2024 that it would shut down Cuberg's research and development facility in the San Francisco Bay Area, and Cuberg intended to wind down its remaining operations in the Chapter 11 cases; Lyten had said in August 2025 that it expected the Dwa acquisition to close that month. 1 2 3 4 5 6 7

3The Swedish plants
analysisOn 7 August 2025 Lyten announced binding agreements to acquire Northvolt Ett and Ett Expansion, Northvolt Labs, Northvolt Drei and all remaining Northvolt intellectual property; no party disclosed the terms, and Lyten said the deal was funded entirely by private equity investment. The trustee, Mikael Kubu, said the same day that Lyten would take the factories, the Stockholm head office with its intellectual property and Northvolt's shares in the Northvolt Drei projects. A Swedish news summary of 15 August 2025 reported the trustee as saying the price would never be disclosed, that most of the money would go to the lending banks and Scania; the summary added, without attributing the remark to anyone, that the buyer had reportedly obtained a heavy discount. Neither the price nor any discount is documented in the records. Lyten announced completion of the Swedish acquisition on 26–27 February 2026, later than the October date the trustee had expected, giving 27 February 2026 as the closing date; neither that release nor its release of 13 March 2026, which announced a binding agreement for Revolt, states a purchase price. 1 2 3 4
analysisLyten completed the Swedish purchase on 27 February 2026. It described the Swedish assets as worth nearly $5 billion — its own figure, not a purchase price — and said it was funding the acquisitions with equity from North American and European investors and with capital from EdgeConneX's investment in a data-centre site of up to one gigawatt at the former Northvolt Ett site. On 13 March 2026 it announced a binding agreement, terms undisclosed, to acquire the Revolt Ett recycling plant in Skellefteå. In October 2025 Schleswig-Holstein's economics minister said the state government assumed the StaRUG proceedings of Northvolt Germany TopCo GmbH would not affect Lyten's announced takeover of the German activities; the minutes name neither the court nor a case number, and later records refer to a StaRUG restructuring plan for Northvolt Drei without saying how the two relate. The German part had not closed in the records reviewed. On 1 July 2026 Lyten announced an exclusive MoU with KfW, Northvolt Drei Project GmbH and its shareholder LG Batterie GmbH for the Heide assets, aiming at a definitive sales agreement in the third quarter of 2026 and saying that the terms were not being released by any party to the transaction; the state government said the purchase price would flow to the federation and the state via KfW. Media reported in June 2026 that the agreed price was about €60 million, far below the assets' cost; the price has not been officially disclosed, the state government says confidentiality was agreed with Lyten, and the magazine reportedly received no comment from the federal economics ministry. On 1 October 2026 media reported that the takeover was delayed, quoting a Lyten executive as saying more time was needed; no signed final agreement appears in the records. The records reviewed do not show whether the Revolt transaction closed. 5 2 1 6 7 8 9 10 11

4Heide and Quebec
analysisIn its August 2025 release Lyten also said it was committed to pursuing the acquisition of Northvolt Six in Quebec and was in discussions with Northvolt North America and the Canadian and Quebec governments; the records show no agreement between Lyten and the Canadian Northvolt companies. On 2 September 2025 the Quebec government announced the end of its financing of Northvolt Batteries North America, and CCAA proceedings were opened on 5 September 2025. 1
