the questionWhich records support the articles?

1ACMERO Capital: identity, fund roles and the Moscow office

attributedACMERO CAPITAL LIMITED is identified in retained Hong Kong company-directory records as a private company limited by shares incorporated on 10 June 2014. The records distinguish company registration number 2106683 from business registration number 63442312. These are two identifiers for the Capital company, not two separate businesses. 1 2 3

qualification
The retained directory pages are secondary records. They do not disclose a complete shareholder or significant-controller register, and their live-status labels are not an assurance about solvency or current operations.

attributedAcmero Limited is a different Hong Kong company: registration number 2149261 and business registration number 63870448, incorporated on 25 September 2014. Its retained 2018 annual return bears the same company number. Capital and Limited must remain separate even when reporting abbreviates their names. 4 5 6

qualification
One directory describes Acmero Limited as dissolved on 27 May 2022 while another calls it live. This disagreement is not resolved by a fresh official Hong Kong status extract.
outcome
The historical annual return remains evidence of its stated 2018 position, regardless of an unresolved later-status discrepancy.

attributedA retained accreditation-directory record dates the Moscow representative office of ACMERO CAPITAL LIMITED from 24 March 2015 and records termination of accreditation on 5 December 2022. The office is a local representation of the foreign company, not an interchangeable Russian parent company. 7

qualification
Termination of this office does not by itself establish dissolution of the Hong Kong company or disposal of every investment previously associated with Acmero.

attributedThe restaurant acquisition announcement describes Acmero Capital acting for Acmero Fund I. It identifies Siman Povarenkin as founder and managing partner and Denis Rusinovich as investment director. Those described management and advisory capacities should be separated from the fund, the portfolio company and any personal shareholding. 8 9

qualification
A founder or manager title is not a complete beneficial-ownership finding. The announcement described a future board appointment for the Acmero representatives; it did not establish every subsequent appointment or current mandate.

attributedAn archived report said Acmero’s website described approximately US$500 million under management. This edition does not collapse fund commitments, assets under management and the value of individual investments into one current audited balance. 10

qualification
The amount is an attributed historical website figure, not a verified 2026 valuation or cash balance.

attributedA retained private-equity directory lists Vladimir Lykov and Alisher Irkabaev as investment directors. These are dated professional listings rather than proof that they still hold office or personally own the investments discussed here. 11

qualification
Contact details and inaccessible directory fields are not published. No current appointment confirmation was obtained from the individuals.

2ACMERO Capital: Shokoladnitsa, Kalazaco and the later restaurant split

attributedAt the end of 2014 and in January 2015, reporting described Acmero’s purchase of 40% of the Shokoladnitsa restaurant group, acting for Acmero Fund I. The combination included Shokoladnitsa and Coffee House businesses. The transaction amount was not disclosed; an approximately RUB7 billion valuation excluding debt was an estimate of the combined business, not the purchase price of the 40% stake. 8 10 9

qualification
The brand group, its operating companies and its offshore holding companies have distinct identities. The acquisition does not make Acmero the legal owner of every similarly named café company in every country.

attributedA 2020 report citing the Cyprus register described Kalazaco Ltd as held 50.03% by Sunshade Business, 40% by Acmero Ltd and approximately 10% by Quortia Ltd. It associated Sunshade with Alexander Kolobov and Quortia with Neli and Leonid Levitin. These are the reported holdings at that time, not a present-day ownership table. 12

qualification
The report gives neither a company number nor jurisdiction for the named Acmero Ltd; it is therefore not identified as Hong Kong Acmero Limited 2149261. The three rounded percentages are not a basis for recalculating exact share counts. The article attributes the upstream personal associations; they are not newly verified current beneficial-ownership findings.
response
The group said it had no information about relations between its shareholders. The report said it could not obtain answers from the named shareholders.

attributedLater reporting said Povarenkin left the restaurant group in 2020 and took the businesses operating KFC, Pizza Hut and Panda Express franchises, while Alexander Kolobov remained the main owner of Shokoladnitsa. This later account qualifies historical descriptions of Povarenkin or Acmero as continuing 40% owners of the café group. 12 13

qualification
The retained reports describe a division of businesses and do not supply a complete set of closing documents or the final ownership of every restaurant legal entity.

attributedThe later restaurant account gives RUB14 billion of 2024 group revenue excluding VAT, while the Galereya-Alex operating company reported RUB8.7 billion of revenue and RUB6.6 million of profit. The group and a single operating company have different reporting boundaries. 12 13

qualification
These figures must not be added together or treated as Acmero Capital’s own accounts. The restaurant group’s 2019 revenue of RUB18 billion excluding VAT is an older, differently dated company figure.

attributedX5’s June 2017 announcement describes a three-party agreement with Acmero Capital Limited and Marathon Group for passenger-service centres. The announced model combined a grocery shop, a Marathon-operated pharmacy and Acmero food service, with a possible 600–1,000 centres by the end of 2021. 14 15

qualification
The stated number was a plan, not a count of centres opened.
response
The reported partners explained the slowdown by the available sites, rather than saying that the announced network had been completed.
outcome
A 2018 account said the project was not being actively developed because too few suitable locations had been identified; Acmero agreed with that explanation.

attributedThe 2018 follow-up says the passenger-centre project was not actively developing and attributes the problem to a shortage of suitable sites. That account matters when reading the earlier expansion targets: an announcement of a partnership is evidence of an intended collaboration, not proof of the projected rollout. 15

qualification
No complete later opening or closure register is established by these two announcements.

3ACMERO Capital: Monopoly’s investment, ownership and financial distress

attributedMarch 2016 reporting described Acmero acquiring a 38% stake in the freight company Monopoly in December 2015 and committing to invest RUB1 billion in new trucks during 2016. The report described a fleet of about 430 vehicles at the time. 16 10

qualification
The acquisition date, report date and promised spending period differ. A later account calls the closing a 2016 transaction; neither wording establishes a current 38% stake or that the entire investment commitment was spent.

documentedMonopoly’s unaudited condensed consolidated interim accounts for June 2024 reported assets of RUB30.834858 billion and equity of RUB4.751382 billion. The six-month loss attributable to the company’s owners was RUB1.117471 billion, and treasury-share repurchases were RUB1.477178 billion. 17

qualification
The source tables are in thousands of Russian rubles; these amounts have been converted to billions. They are group interim figures, not Acmero accounts, and the owners’ loss is not the same as the total loss including non-controlling interests.

documentedThe same June 2024 group accounts say Monopoly had no immediate parent and no ultimate controlling party at either 30 June 2024 or 31 December 2023. That express statement limits any attempt to turn a historical Acmero investment or a press description of a founder into a current single-controller finding. 17

qualification
The accounts’ control statement is not a complete list of every beneficial shareholder or a finding that no investor could exercise influence.

documentedThe June 2024 consolidated schedule records full group interests in Monopoly LLC, Monopoly.Online, Fortis, Monopoly Financial Services and Monopoly Investment; it records 75.07% group interests in Globaltruck Management, Lorry, Magna, Globaltruck Logistic, Uraltransinvest and GT IT. Longran Logistic and Gruzoprovod, held at 75.07% at the end of 2023, merged into Lorry in April 2024. It also records a 72% interest in Smart Logistics following a February acquisition. 17

qualification
This is a consolidated group schedule. It does not establish that the listed parent directly held every interest without intermediate companies, or that the percentages continued after later transactions.

attributedAn April 2025 account described Monopoly’s shareholders as Ilya Dmitriev and Ekaterina Mikhailova with 24.99% each and Stalker with 34.54%, with other and treasury interests making up the balance. It reported that VNV Global had exited and that negotiations with Vostok Investments were continuing. 18

qualification
These reported percentages differ from an earlier April article’s direct-and-indirect interests and should not be combined into one cap table. Negotiations for a new investment are not a completed purchase.

attributedA June 2026 report on Monopoly’s 2025 accounts described a RUB18.36 billion annual loss and liabilities exceeding assets by RUB15.71 billion, with the accounts no longer prepared on a going-concern basis. The report described bankruptcy petitions involving several distinct group companies. 19

qualification
A reported negative-equity position, a company’s intent to file and a petition are different from an entered bankruptcy judgment. The report expressly said none of the companies had yet been declared bankrupt as of 1 June 2026.
response
The company attributed the crisis to excess freight capacity, lower rates, higher costs and the withdrawal of factoring facilities. That explanation accompanies the financial figures.
outcome
The same report records termination of a separate Lorry proceeding on 26 May 2026. It does not establish a final later outcome for each other group company.

attributedFebruary 2026 reporting said seven Monopoly-group companies disclosed signs of insolvency. The later petitions and deadlines were entity-specific. The retained record is therefore a history of warnings and applications, rather than a single group-wide bankruptcy order. 20 19

qualification
Legal-services commentary about future procedure is not used as proof that a court subsequently made an order. A passed forecast date is not evidence that its forecast occurred.

4ACMERO Capital: Ecoline’s ownership records and disputed indirect interests

attributedA 2021 interview described Acmero as Ecoline’s largest fund investor but said no shareholder held a controlling stake. It said Povarenkin had recently left the board and that the fund monitored budgets and performance indicators. The accompanying account attributed Ecoline’s direct ownership to Liga-Trans, with Acmero holding 50% of Liga-Trans, Evgeny Mikhailov 30.01% and Dmitry Belousov 19.99%. 21

qualification
This is a dated interview and reported ownership structure. The Acmero name in reporting does not independently identify every legal entity in the investment chain, and the 50% figure does not establish ownership in October 2026.

attributedA retained 2026 corporate-directory page records Ecoline Capital with 99% and Ekologicheskoye Upravleniye with 1% of Ecological Management LLC from June 2025, with the interests pledged to Sberbank. A pledgeholder’s security role is distinct from equity ownership. 22

qualification
The source is a directory’s rendition of corporate information, rather than a fresh certified registry extract. Duplicate pledge lines are not added as separate ownership interests.

attributedThe retained Ecoline Capital directory identifies corporate number 1187746742237 and records the former name Technology-Service until August 2023. It names Timur Safarov as chief executive from July 2026, following Dmitry Belousov and Evgeny Mikhailov, and reports a 99.99% interest in Ekologicheskoye Upravleniye. 23

qualification
Ecoline Capital is a Russian company with its own registration number. Its similar investment-related name does not make it ACMERO CAPITAL LIMITED.

attributedThe same Ecoline Capital directory reports a 2025 loss of RUB43.17 million and negative capital of RUB65.53 million, a tax-enforcement restriction on account operations from September 2026 and one bankruptcy-related notice from May 2026. 23

qualification
These are dated directory fields. A notice and a tax restriction do not establish that a court declared the company bankrupt or that Acmero Capital is liable for its obligations.

attributedThe Ecological Management LLC directory names Alexey Dubrovsky as general director from 24 August 2026. This actual company-page entry is used instead of assigning an appointment date from a relationship provider’s observation window. 22

qualification
The directory snapshot does not prove a continuing mandate beyond its reporting period.

attributedA 2020 investigation traced Ecoline-related corporate records to Mark Omelnitski and argued that his work for offshore companies associated with the Rotenbergs, together with other professional links, suggested an undisclosed connection to that family. 24

qualification
The argument is attributed to the investigation. A common adviser, director or service address is not independently sufficient to establish Ecoline’s ultimate owner or a direct Rotenberg equity interest in Acmero Capital.
response
Arkady Rotenberg’s representative denied that any of the Rotenbergs had a relationship with Ecoline and said NPV Engineering had long been inactive. The report said Ecoline did not answer its questions.
outcome
No adjudication of that asserted beneficial-ownership connection is established in the retained material.

5ACMERO Capital: separating Acmero Limited and its recorded offshore chain

documentedAcmero Limited’s retained annual return, made up to 25 September 2018, records one ordinary share, held by MP Enterprises Limited. It names Mark Omelnitski as director and SPB Corporate Services Limited as company secretary. 4

qualification
The return concerns company 2149261, not ACMERO CAPITAL LIMITED 2106683. It is a dated legal-shareholding record, not a current beneficial-ownership certificate. Personal document numbers and residential addresses have been omitted.

documentedMP Enterprises Limited’s Gibraltar annual return made up to 22 July 2019, company number 114683, records 50,000 ordinary shares held by MG Trust Company Limited. It names Marina Paramonova and Panagiota Patsalidou as directors and Capital Secretaries Limited as secretary. 25

qualification
A corporate shareholder is not automatically the final beneficial owner, and the trust-related company name does not disclose the terms or beneficiaries of any trust. These are the officers and shares shown for 2019.

documentedA retained New Zealand consent form for proposed company MG Trust Company Limited, number 6267147, names Mark Omelnitski as a prospective holder of 100 shares. The form’s date is not reliably legible in the retained text. 26

qualification
A signed consent for a proposed company is not the same as a current register extract. It does not establish present ownership or the beneficial interests behind other companies served by the signatory.

documentedA Cyprus company extract dated February 2020 identifies Proudserve Group Limited, number 230818, incorporated in June 2008, and records MP Enterprises as holder of its 2,000 ordinary shares. Mark Omelnitski appears among its directors, alongside Chrysoula Assiotou and Despoina Avgousti; IOS Secretaries Limited is the secretary. 27

qualification
The extract’s status includes a reminder-letter entry. That wording is not translated into an unsupported dissolution or wrongdoing finding. A shared service address is not itself an ownership relationship.

attributedA commercial Cyprus directory separately lists Acmero Limited as an overseas company from Hong Kong, registration AE3137, registered in August 2017 and marked dissolved. It names Omelnitski, SPB Corporate Services and Panagiota Louka in director, secretary and authorised-person roles. 28

qualification
The directory warns that its information may be outdated. An overseas registration’s closure and the Hong Kong company’s own status are distinct questions; the branch is not treated as another Capital-company alias.

6ACMERO Capital: the RBE investment and later ownership accounts

attributedAn archived 2018 report says Povarenkin held 50% of RBE from May 2016 to May 2017 and then sold that interest to Nikolay Ruzanov. A later investigation reports Ruzanov’s 50% interest continuing until 2024, followed by Piks Holding. 29 10

qualification
The dates and stake are attributed historical accounts. The historical RBE group stake is associated with the later RBE LLC record through the reported Ruzanov–Piks–Smart chain; this is a reconciliation of published accounts, not a fresh registry history proving the exact earlier legal vehicle. The transfer cannot be used by itself to prove that a seller secretly retained the same beneficial ownership.

attributedThe retained RBE LLC corporate-directory page identifies Piks Holding and Smart Aktivy as its two participants, each with 50%. It separately lists ESP-M, ESP and Goodman Plus-1 as wholly owned subsidiaries. 30

qualification
The directory’s public participant list does not reveal the full upstream ownership of the two joint-stock companies. Subsidiary arrows run from RBE to the subsidiaries; a raw extraction reversing that direction is not followed.

attributedA later investigation argued that Ruzanov and other participants connected RBE to Povarenkin and the Rotenberg network, citing prior restaurant interests and professional links. That is an attributed account of suspected indirect interests, not an established current equity register. 29

qualification
Professional links and former co-investments do not by themselves prove undisclosed ownership or responsibility for another participant’s conduct.
response
Arkady Rotenberg’s representative said neither Arkady nor Igor had or had ever had a relationship with RBE. The report said Povarenkin and Ruzanov did not respond to attempts to contact them.
outcome
The retained record does not supply a court finding resolving that asserted connection.

7ACMERO Capital: Povarenkin, the mining exit and Bestolov litigation

attributedIn July 2020, reporting on a GeoProMining statement said Roman Trotsenko’s Nakilep Overseas completed a purchase from Geiser Asset, associated with Povarenkin, and became the controlling shareholder. The statement did not disclose the exact resulting percentage. 31

qualification
The earlier antitrust permission contemplated buying 50.32% and reaching 98.51% when combined with an existing interest. Permission and an intended percentage are not a substitute for disclosed final closing terms.
outcome
This reported completed transaction qualifies older biographies describing Povarenkin as GeoProMining’s continuing controlling shareholder or board chair.

attributedThe Bestolov dispute initially raised a jurisdiction question about whether the English court could hear the personal debt claim against Povarenkin. A 2017 account of the jurisdiction decision did not itself determine the merits of the claimed debt. 32

qualification
The personal proceedings are not a judgment against ACMERO CAPITAL LIMITED. Private family and residential details are unnecessary to explain the distinction between jurisdiction and liability.

documentedIn its 24 July 2019 judgment, the English Commercial Court held that Bestolov was entitled to US$7,535,147 from Povarenkin and dismissed Povarenkin’s counterclaim. The court held that English law governed the debt and also found that Povarenkin had acknowledged it in 2014, defeating the proposed time-bar defence on either route. 33

qualification
This is a civil judgment between the named individuals. It does not make Acmero Capital the judgment debtor, establish a criminal conviction, or demonstrate that the debt was later collected.
response
Povarenkin contested the applicable law and limitation period and advanced a factual defence and counterclaim alleging deceit. The judge rejected that factual case after trial.
outcome
The retained judgment resolves the claim at trial; no later appeal, settlement or payment outcome is established in this edition.

documentedThe same judgment describes Povarenkin forming Industrial Investors with Sergei Generalov as a 25% minority partner, with Generalov holding 75%, before their businesses separated. It says Povarenkin organised mining assets under the GeoProMining structure from December 2007. 33

qualification
These are historical findings and background in the personal dispute. They are not a present-day ownership table, and the later 2020 reported sale must be considered separately.
