Exactech: owners, implant recalls and bankruptcy

Products, suppliers and subsidiaries before 2018

Exactech designed its implants and increasingly machined components itself, but bought much of its components from a few outside manufacturers without supply contracts. It built sales subsidiaries in Europe and Asia, bought the French navigation developer BlueOrtho in 2015 and its Australian distributor in 2016, and in 2017 sold its spine business, its Taiwan subsidiary and its China subsidiary. Earlier recalls in 2012 and 2017 concerned shelf-life labelling and an Optetrak tibial tray.

the questionHow was Exactech organised and supplied before 2018, and what did it buy and sell?

1Manufacturing and suppliers

analysisIn its 2002 annual report Exactech said it bought about 69%, 59% and 69% of its externally sourced components from its top three manufacturers over three years and had no supply contracts with them, buying by purchase order. By 2016 it had built up its own manufacturing, typically the final machining of semi-finished metal and polyethylene components; its top three suppliers then accounted for about 20% to 24% of outside components, and it still had no supply contracts with most manufacturers. It warned that some suppliers relied on a single source for raw materials, and it distributed other companies' products under an exclusive agreement with Tecres S.p.A. and non-exclusive agreements with RTI Surgical and Biomatlante. 1 2 3

2Subsidiaries, acquisitions and sales

analysisExactech's subsidiary lists name Exactech International Corporation of Florida, Exactech Medical (Shanghai), Exactech Taiwan, Exactech (UK) and Exactech KK of Tokyo and, in the earlier list, Altiva Corporation of Delaware; the 2013 list adds Exactech U.S., Exactech International Operations, Exactech France, Exactech Deutschland and Exactech Iberica. According to the 2018 merger proxy the company sold in the United States through Exactech U.S., Inc. and ran international development, sales and distribution through Exactech International Operations, AG. 1 2 3

analysisIn January 2015 Exactech bought 100% of BlueOrtho SAS of Grenoble, developer of its ExactechGPS navigation system, for up to 10 million euros, 2 million at closing and up to 8 million in earnouts; BlueOrtho had been founded by its president Anthony Boyer, orthopaedic surgeon James Stiehl and Stephane Lavallee. The merger proxy recounts a $150 million revolving credit facility from a J.P. Morgan Chase syndicate in December 2015, the purchase of its Australian distributor in February 2016 and of 24.55% of Orthopedic Designs North America in October 2016, and in 2017 the sale of its spine business, of its majority stake in Exactech (Taiwan) and of its China subsidiary. 4 3

analysisTaiwanese sources describe the buyer of the Taiwan subsidiary: according to a company-information site, BioGend Therapeutics bought 81% of 美精技股份有限公司, set up by Exactech to develop cartilage-repair technology, on July 31, 2017 and absorbed it by merger on December 31, 2017, and a 2019 news report listed "美精技 (Exactech)" among BioGend's main shareholders with about 5%. Separately, an offshore-leaks database lists an EXACTECH INTERNATIONAL, INC. incorporated in Barbados in January 1999, with CITCO's Barbados company as intermediary and David Petty, William Petty, Timothy Seese and Gary Miller as directors, closed in October 2003; the data do not state its owner or purpose and its inclusion does not indicate wrongdoing. 5 3 6 7 8

attributedA Taiwanese company-information site summarising the reports of BioGend Therapeutics (博晟生醫) states that BioGend acquired 81% of 美精技股份有限公司, a subsidiary that the U.S. orthopaedic company Exactech had set up in Taiwan to develop cartilage-repair technology, on July 31, 2017. 5 3 6 7

qualification
The summary does not use the English name of the subsidiary; it is identified with Exactech Taiwan (Taiwan), LTD from Exactech's subsidiary lists and the proxy's account of the June 2017 divestiture.
response
Exactech's own filings list Exactech Taiwan (Taiwan), LTD among its subsidiaries and describe a research operation in Taiwan through it, and its 2018 merger proxy records the sale of its majority ownership in June 2017.
outcome
The summary states that BioGend absorbed the company by merger on December 31, 2017; a June 2019 news report likewise describes a share-exchange merger with it in December 2017.

attributedA June 2019 Taiwanese financial news report on BioGend Therapeutics' listing on the emerging-stock board lists "美精技 (Exactech)" among its main shareholders with a holding of about 5%. 7

qualification
The report does not say which Exactech company held the shares or whether they were later sold.

3Recalls before the packaging problem

analysisFDA's enforcement data record a class II recall that Exactech began on June 15, 2012 of Equinoxe plates and screws and Octane-C fusion devices, labelled with a ten-year shelf life although their packaging was qualified for five, covering 54,877 units, and a class II recall begun on September 19, 2017 of Optetrak offset tibial trays and screws because of a design incompatibility with a constrained insert. 1
