the questionWhat does the retained record show about Midea Group and the companies around it?
1What this research adds
2The issuer and controlling shareholder
analysisMidea Group Co., Ltd. is the Chinese listed company identified by unified social credit code 91440606722473344C, headquartered in Foshan. Its A shares have traded in Shenzhen as 000333 since 18 September 2013 and its H shares in Hong Kong as 0300 since 17 September 2024. The listed issuer, its shareholder Midea Holding and the many operating companies using the Midea name are distinct legal entities. 1 2 3
analysisThe 2025 annual report identifies He Xiangjian as the actual controller. Its control diagram shows him owning 94.55% of Midea Holding, which held 2,169,178,713 Midea Group shares, or 28.55%, at year-end; his separate direct holding in the listed issuer was 0.42%. The June 2026 report shows the same Holding share count at 28.49%. These are dated percentages with different share-count denominators. They do not indicate that the controlling shareholder sold shares merely because its percentage fell. Midea Holding’s identifier is 914406067429989733. 1 2
3Global operations and financial scale
analysisThe 2025 consolidated accounts distinguish direct and indirect group interests. GD Midea Air-Conditioning Equipment was 73% directly and 7% indirectly held; GD Midea Heating & Ventilating Equipment was 90% directly and 10% indirectly held. The table shows full group interests in Wuxi Little Swan, Midea International, Midea Electric Netherlands (I), Toshiba Lifestyle and KUKA, and rounded interests of 53% in Annto, 45% in Wandong, 23% in CLOU and 18% in Hiconics. These are consolidated group interests at 31 December 2025. An indirect interest is not proof that the listed issuer is the immediate shareholder. Rounded table percentages do not supersede a more precise, differently dated shareholder register. Older 80% Toshiba Lifestyle and 73.85% Annto figures must not be presented as this later snapshot. 2
analysisMidea’s 2025 IFRS results report RMB458.502 billion revenue, RMB43.945 billion profit attributable to owners and RMB608.792 billion total assets. Total liabilities were RMB372.368 billion, giving the company’s stated liabilities-to-assets ratio of 61.2%. Its China-standard operating-revenue figure uses a different presentation and should not be silently substituted for the IFRS revenue figure. Amounts here are consolidated and rounded from source figures in thousands or millions of renminbi. A liability total is not the same as interest-bearing borrowing. 2 3
4Acquisition and financing milestones
analysisThe 2025 consolidated notes state that Midea completed the Teka acquisition in April 2025. Agreements with Heritage B and Spala Investments covered 97.38% and 2.62% respectively for total consideration of €213.011 million. The group’s strategy was to expand its overseas smart-home business. The June 2024 agreement, April 2025 completion and subsequent shareholder registration are different milestones. Earlier reported price estimates are superseded by the acquisition accounting disclosure. 2
analysisMidea’s accounts describe the acquisition of 22 Arbonia Climate subsidiaries under an April 2024 agreement, completed in February 2025. The agreement consideration was €542.425 million, with adjusted acquisition-date consideration of RMB4.122 billion. The group subsequently described MBT Climate as the platform combining European heating resources. The acquired climate division is not the entire Arbonia listed group. Agreement consideration, adjusted accounting consideration and annual net cash outflow are distinct measures. 2 3
analysisThe June 2026 accounts confirm that two zero-coupon convertible bond series were issued on 13 May, each for HK$8.624 billion, maturing in 2027 and 2033. The May announcement identifies Midea Investment Development Company Limited as issuer and Midea Group as guarantor. Estimated net proceeds of HK$17.174 billion were intended approximately 60% for international expansion and overseas liquidity and 40% for general corporate purposes. A bond issuer, guarantor, manager and exchange are different participants. Conversion rights do not establish that bondholders have already become shareholders. Use-of-proceeds intentions are not an audit of how every amount was later spent. 4 1
5Separate proceedings and responses
analysisThe June 2025 US product-safety recall covered about 1.7 million Midea-made U and U+ window air conditioners, plus about 45,900 in Canada. Inadequate drainage could allow mould growth. The notice identified GD Midea Air-Conditioning Equipment as manufacturer and Midea America as importer. The notice recorded 152 mould reports, including 17 reports of symptoms; this is not a judicial determination of causation in each individual case. The remedy was a free repair or full or prorated refund, with model-specific instructions from the recall programme. The English regulator notice was cross-checked against the retained translated page. The existence of the remedy does not establish that every affected unit was repaired. 5
analysisIn Huth, a Kansas product-liability case concerning a dehumidifier, the magistrate judge denied jurisdictional discovery on 28 January 2025. The remaining defendants were GD Midea Air-Conditioning Equipment and Midea Group; Midea America had previously been dismissed. The court expressly distinguished pleaded background from findings. This discovery ruling does not determine whether the product was defective. The manufacturing company said its control ended with an Asian sale to Electrolux and it had no Kansas contacts. Midea Group said it neither manufactured nor sold the product and had no Kansas contacts. The plaintiffs had not supplied the controverted jurisdictional facts needed for the requested discovery. No later merits outcome is established by this opinion. 6
analysisThe June 2026 notes describe unresolved tax disputes at an unnamed Brazilian subsidiary in which the group owns 51%. The maximum potential loss was about BRL559 million, including principal, penalties and interest. Original shareholders’ remaining compensation commitment was about BRL131 million. This is a maximum-exposure disclosure, not an adjudicated amount payable. The unnamed subsidiary and all its tax cases should not be equated automatically with a single separately reported Springer Carrier proceeding. Management, after consulting independent lawyers, considered an adverse outcome unlikely and said provisions reflected its best estimate. The cases remained under consideration at the financial statements’ approval date. 1 3
6What the retained record can establish
analysisAt 30 June 2026 the disclosed top holdings included Fang Hongbo at 1.54%, Huang Jian at 1.13%, China Securities Finance at 1.86% and Central Huijin at 1.16%. The table also included insurance portfolios. Hong Kong Securities Clearing and HKSCC Nominees held 11.74% and 8.55% respectively as nominees for other investors. Nominee entries must not be described as beneficial ownership by the clearing company. State-linked minority positions do not replace the report’s identification of private-person control. 1 2
analysisThe same report lists new subsidiaries and changes to consolidation. It records cancellation of Servotronix GmbH in March 2025 and Midea France SARL in August, and disposal of Hiconics Inverter (Wuhan) in June. It also lists newly incorporated overseas businesses in Saudi Arabia, Panama, Morocco, Nigeria and Kenya. The cancelled German Servotronix GmbH is not automatically the separately named Israeli Servotronix Motion Control. A cancelled French company and a later French joint venture are also distinct identities. An entity’s inclusion in the group register does not make every local officer a director of Midea Group. 2
