the questionWho governed Midea at the archive cutoff?
1The current board and its replacement
analysisThe issuer’s 27 September 2026 circular names Fang Hongbo, Wang Jianguo, Gu Yanmin, Guan Jinwei and Zhang Tian as executive directors; Zhao Jun as non-executive director; and Xu Dingbo, Xiao Geng, Liu Qiao and Zhang Ya as independent non-executive directors. This later issuer list governs the current snapshot. Earlier prospectuses and corporate directories contain directors who had already left. 1
analysisZhang Ya became an independent non-executive director on 5 June 2026 and joined the audit, remuneration, nomination and strategy committees. Qiu Lili ceased those roles the same day. Qiu confirmed that she had no disagreement with the board and no other resignation matter requiring shareholders’ attention. The replacement is documented, but the scheduled expiry of the board’s term is not an observed departure date for continuing directors. 2
2Changes to offices and structure
analysisThe annual report records Zhang Tian’s employee-director election on 30 May 2025 and Gao Shu replacing Jiang Peng as board secretary on 28 March. Fu Yongjun left the board in March and the vice-presidency in December 2025; Bai Lin left in October. The half-year report records Wei Chang leaving the vice-president and CTO roles on 29 May 2026. Each office has its own start and end date. Joining the workforce is not the same as appointment to a later executive role, and a change of office does not itself establish misconduct. 3 4
analysisDong Wentao, Ren Lingyan and Liang Huiming left the supervisory board on 30 May 2025 when the company adjusted its governance structure. Their older supervisory mandates remain historical relationships, rather than current offices. The annual report attributes these departures to the structural change; the fact that an older prospectus lists them is not conflicting evidence of continuing membership. 4
3Responsibilities and oversight
analysisThe annual report identifies Wang Jianguo as executive president from September 2025, with responsibility for new energy and chairmanships at Wandong and the refrigeration subsidiary. Gu Yanmin combines a Group executive role with KUKA supervisory leadership. Zhong Zheng is CFO, while the executive team also includes digital, supply-chain, talent and smart-home responsibilities. The graph distinguishes the issuer’s office from a subsidiary office and from outside mandates. Biographical descriptions alone do not turn unrelated same-name individuals into these executives. 4
analysisFang Hongbo combines chairman and chief executive roles. The 2025 results identify this as a departure from the Hong Kong governance code’s separation provision and describe the board’s oversight arrangements. The four independent directors form the audit committee. A disclosed governance-code departure is not the same as a finding that the company breached criminal or securities law. Committee membership must be read with the June 2026 replacement of Qiu by Zhang Ya. 5
