Midea Group: who controls it, what it owns and what the record shows

KUKA: the German robot maker Midea took over in 2016-2017

KUKA, a robot maker based in Augsburg, Germany, has been part of the Midea group since a takeover offer that Midea's subsidiary Mecca International (BVI) Limited made in May 2016 at EUR 115 per share and completed in January 2017, according to a financial data provider's summary; Midea now reports holding KUKA 100% indirectly. In 2022 KUKA's general meeting resolved to transfer the remaining minority shares to a Midea company for EUR 80.77 per share, and the shareholder actions against that resolution ended in an October 2022 court-recorded settlement that contains no ruling on the merits and leaves the adequacy of the price to appraisal proceedings. Peter Mohnen led KUKA from December 2018 and Christoph Schell from July 2025, and in October 2025 KUKA AG became KUKA SE & Co. KGaA.

1KUKA and its place in the Midea group

analysisKUKA SE & Co. KGaA, called KUKA Aktiengesellschaft until its change of legal form in October 2025, is a German robot manufacturer based at Zugspitzstrasse 140, 86165 Augsburg, and an indirectly held subsidiary of Midea Group Co., Ltd. Midea's annual report for 2020 lists KUKA (Germany, manufacture and sales of robots) as a subsidiary held 95% indirectly and acquired through a business combination not under common control, alongside the investment holding company Mecca International (BVI) Limited, held 100% indirectly. Midea's 2026 interim report lists KUKA among its important subsidiaries, engaged in robot manufacturing and sales, with an indirect shareholding of 100%; like Midea's annual results announcement for 2025, dated 30 March 2026, which defines KUKA Group as a German stock corporation and one of Midea's subsidiaries, it still uses the former name KUKA Aktiengesellschaft. GLEIF's record for LEI 529900VPRFDDIN7BE119 gives the legal name KUKA SE & Co. KGaA, the previous legal name KUKA Aktiengesellschaft and the registration number HRB 41839; it shows the entity as active, the LEI as first registered on 27 September 2013 and fully corroborated, and the change of legal form and name as effective on 15 October 2025 at 22:00 UTC. 1 2 3 4

analysisThe records name different Midea companies as KUKA's holder at different stages. A commercial company-data service listing of KUKA's publications shows an entry dated 24 August 2017 naming Mecca International (BVI) Ltd as shareholder of KUKA, next to a voting-rights notice of the same date published by KUKA Aktiengesellschaft under section 26(1) of the German Securities Trading Act (WpHG); the listing gives no percentage and does not reproduce the underlying notices. In the 2022 squeeze-out the principal shareholder was Guangdong Midea Electric Co., Ltd. GLEIF's relationship record, valid from 19 August 2026, states that KUKA SE & Co. KGaA is directly consolidated by Midea Group Co., Ltd. (LEI 3003003TRPHLHZD2IF61), with a relationship period starting on 1 August 2021 at 22:00 UTC and the accounting period 2024, fully corroborated by an accounts filing. Such a GLEIF Level 2 record reports accounting consolidation by the direct accounting parent; it does not establish direct legal ownership. 5 6 7 8

2The 2016-2017 takeover and the investor agreement

analysisA transaction summary compiled by a financial data provider and published on a financial-news website states that Mecca International (BVI) Limited, described as a subsidiary of Midea, offered on 18 May 2016 to acquire the remaining 86.5% of KUKA Aktiengesellschaft for EUR 115 per share in cash, about EUR 4 billion in total, financed by a credit facility. The offer required a minimum acceptance of 30% of KUKA's shares, regulatory clearances and approval by Midea's general meeting; all regulatory approvals had been received by 3 January 2017, and the acquisition of an additional 81.05% stake from SWOCTEM GmbH, J.M. Voith GmbH & Co. Beteiligungen KG and others was completed on 9 January 2017. According to the summary, the transaction included no squeeze-out, delisting or domination agreement, and Mecca would make no changes to KUKA's sites and jobs until the end of 2023. The summary is a secondary compilation and does not reproduce the offer document; its interim figures are not reconciled with each other, since it also gives an 85.7% holding upon closing, and it does not state Mecca's resulting total holding. A media report of 18 May 2016 relaying Midea's press notice stated that Midea then indirectly held 13.5 percent of KUKA's shares, wanted a meaningful stake above 30 percent and had no intention of concluding a domination agreement or delisting KUKA. 1 2 3 4 5

qualification
The summary is a secondary compilation and does not reproduce the offer document; its interim figures are not reconciled with each other (it gives an 85.7% holding upon closing and an additional 81.05% stake at completion), and it does not state Mecca's resulting total holding.
response
A media report of 18 May 2016 relaying Midea's press notice stated that Midea then indirectly held 13.5 percent of KUKA's shares, wanted a meaningful stake above 30 percent and had no intention of concluding a domination agreement or delisting KUKA.
outcome
Midea's 2020 annual report lists KUKA as a subsidiary held 95% indirectly. KUKA's annual general meeting of 17 May 2022 resolved to transfer the shares of the remaining shareholders to its principal shareholder against cash compensation, and Midea's 2025 annual report lists KUKA as held 100% indirectly and its shares (KU2.DE) as delisted in 2022.

analysisA trade media report of 29 November 2018 on KUKA's change of chief executive stated that all existing investor agreements KUKA had signed with Midea as controlling shareholder, including the ring-fencing agreement protecting KUKA's intellectual property, would stay in place unchanged, and that Midea would continue to support KUKA's growth strategy and its presence in Germany. The report relays statements by KUKA and Midea; the agreements themselves are not in the record. The court settlement of October 2022 refers to an investor agreement between KUKA and Midea Group Co., Ltd concluded in 2016 and expiring on 28 December 2023. The 2018 report quoted Dr Andy Gu as chairman of KUKA's supervisory board. Midea's H-share prospectus states that Gu Yanmin, a Midea director and vice president, chairs the supervisory board of KUKA Group, and Midea's 2020 annual report dates that chairmanship, and the membership of Midea vice president Liu Min on the same board, from January 2017 with terms to June 2024; Midea's 2025 annual report still lists Gu Yanmin as chairman of KUKA's supervisory board. 6 7 3 4 5

3The 2022 squeeze-out, the shareholder actions and the settlement

analysisA squeeze-out is a compulsory transfer of the remaining minority shares to a principal shareholder against cash compensation. KUKA Aktiengesellschaft's notice published in the Federal Gazette on 7 November 2022 under sections 248a and 149 of the German Stock Corporation Act states that its annual general meeting of 17 May 2022 resolved under agenda item 7 to transfer the shares of the remaining (minority) shareholders to Guangdong Midea Electric Co., Ltd. as principal shareholder against cash compensation of EUR 80.77 per share. Shareholders filed actions for annulment and nullity against the resolution with Munich Regional Court I on 17 June 2022 (case 5 HK O 7039/22), and KUKA, as defendant, initiated release proceedings before the Munich Higher Regional Court (7 AktG 3/22), which seek court clearance to register a challenged resolution. By order of 28 October 2022, Munich Regional Court I recorded a settlement under which the claimants withdrew their actions and consented to the registration of the squeeze-out in the commercial register, and KUKA withdrew its application in the release proceedings with their consent; the notice reports that the challenge proceedings have ended. The settlement contains no ruling on the merits: in it Guangdong Midea Electric maintained that the valuation date for the cash compensation was the day of the general meeting, 17 May 2022, while the claimants argued for a later date. The notice was retained as a reproduction on a legal blog, where the claimants are anonymised; they are not identified here. 1

analysisThe settlement order of 28 October 2022 of the 5th Chamber for Commercial Matters of Munich Regional Court I records that Guangdong Midea Electric Co., Ltd. and Midea Electric Netherlands (I) B.V. had joined the action against KUKA Aktiengesellschaft (5 HK O 7039/22) to conclude the settlement. This Guangdong Midea Electric Co., Ltd. is a company created in 2017 that GLEIF lists among the entities reporting Midea Group Co., Ltd. as their direct parent; GLEIF's parent data reflect the accounting-consolidation parent each entity reports, are not a complete list of subsidiaries and do not show the size of the holding. On the valuation date the claimants argued for a date after the expiry of the investor agreement concluded in 2016 between KUKA and Midea Group Co., Ltd, which expires on 28 December 2023, against Guangdong Midea Electric's position that the date of the general meeting, 17 May 2022, applied; the parties left that question to appraisal proceedings (Spruchverfahren), in which a court reviews the compensation. If the court in those proceedings sets a cash compensation above EUR 80.77 per share, Guangdong Midea Electric is to pay interest on the difference from 17 May 2022, and Midea Electric Netherlands (I) B.V. irrevocably and unconditionally guarantees, alongside it, payment of any increase including interest to the former minority shareholders. Guangdong Midea Electric also undertook to bear the claimants' and interveners' court costs and to reimburse their out-of-court costs on the basis of a value in dispute of EUR 500,000 and an additional settlement value of EUR 2,000,000. 1 2

documentedBy order of 28 October 2022, the 5th Chamber for Commercial Matters of Munich Regional Court I recorded that Guangdong Midea Electric Co., Ltd., which GLEIF lists among the direct children of Midea Group, and Midea Electric Netherlands (I) B.V. had joined the action against KUKA Aktiengesellschaft (5 HK O 7039/22) to conclude a settlement, and recorded that settlement. The parties left their disagreement over the valuation date to appraisal proceedings (Spruchverfahren): Guangdong Midea Electric Co., Ltd. held that the date of the general meeting, 17 May 2022, applied, while the claimants argued for a date after the expiry of the investor agreement concluded in 2016 between KUKA and Midea Group Co., Ltd, which expires on 28 December 2023. If the court in appraisal proceedings sets a cash compensation above EUR 80.77 per share, Guangdong Midea Electric Co., Ltd. is to pay interest on the difference from 17 May 2022, and Midea Electric Netherlands (I) B.V. irrevocably and unconditionally guarantees, alongside it, payment of any increase including interest to the former minority shareholders. Guangdong Midea Electric Co., Ltd. also undertook to bear the claimants' and interveners' court costs and to reimburse their out-of-court costs on the basis of a value in dispute of EUR 500,000 and an additional settlement value of EUR 2,000,000. 1 2

qualification
Text retained as a reproduction, on a legal blog, of KUKA's notice in the Federal Gazette of 7 November 2022; individual claimants and interveners are anonymised and not identified. The settlement is not a finding on the adequacy of the compensation, which the parties left to appraisal proceedings.
outcome
An editorial note accompanying the reproduction states that the adequacy of the cash compensation offered to minority shareholders will be reviewed in appraisal proceedings. The outcome of any appraisal proceedings is not in the reviewed record.

A commercial company-data service listing of KUKA's publications also shows notices under sections 246(4) and 249(1) of the German Stock Corporation Act, which concern actions for annulment or nullity of shareholder resolutions, dated 1 September 2020 and 25 July 2022; notices of the termination of such proceedings under sections 248a and 149 dated 28 January 2021 and 7 November 2022; and an entry dated 8 November 2022 stating that the annual general meeting of 17 May 2022 approved the transfer of the remaining shareholders' shares to the main shareholder. The listing shows notice titles only: the parties, the resolutions challenged in 2020 and the terms on which the 2020 proceedings ended are not in the reviewed record. 6Swisslog

analysisSwisslog Holding AG, which Midea's annual report for 2020 describes as KUKA's subsidiary and which Midea's 2026 interim report gives as the company meant by its Chinese name 瑞仕格, is a Swiss holding company whose registered purpose is holding interests in companies that develop, manufacture and distribute material-flow and logistics systems, including participation in group financing. The Swiss commercial register record (UID CHE-178.802.635) shows an active company limited by shares (Aktiengesellschaft) in the Canton of Aargau with share capital of CHF 2,500,000 and the former name KUKA Beteiligungen (Schweiz) AG. After an amendment of its articles of 8 June 2026, published in the Swiss Official Gazette of Commerce (SOGC) on 24 August 2026, its registered office moved from Buchs (AG) to Aarau, at Weihermattstrasse 90, 5000 Aarau. The register data were retrieved through a registry data service that marked identity as unverified; the UID, name and SOGC texts agree across the retrieved record, which gives no reliable incorporation date. 1 2 3

analysisThe register records that this company took over an earlier Swisslog Holding AG (UID CHE-100.201.125), a company limited by shares formerly named Sprecher + Schuh Holding AG, with its address at Webereiweg 3, 5033 Buchs AG, share capital of CHF 2,512,769.84, KPMG AG as audit firm and a purpose of holding interests in companies active in material-flow and logistics systems; the absorbed company is recorded as deleted from the commercial register, with a deletion date and last SOGC date of 31 July 2015. The record gives neither the date of the merger agreement nor that of the change of name from KUKA Beteiligungen (Schweiz) AG to Swisslog Holding AG. An SOGC publication of 8 October 2020 records that KPMG AG (CHE-106.084.881, Zurich) left office as statutory auditor of Swisslog Holding AG and that PricewaterhouseCoopers AG (CHE-106.839.438, Zurich) was entered; the register record retrieved on 1 October 2026 lists PricewaterhouseCoopers AG as the company's audit firm. 4 1

analysisSOGC publications for Swisslog Holding AG record these changes on its board of directors: on 2 June 2017 Dr. Walter Bickel left, Peter Mohnen was entered as vice-chairman and Siegfried Schwung as a member; on 17 January 2019 Till Reuter left as chairman and Peter Mohnen became chairman; on 16 July 2019 Siegfried Schwung left and Andreas Pabst was entered as a member; on 21 October 2021 Andreas Pabst left and Alexander Tan was entered as a member; and on 21 August 2025 Peter Mohnen left as chairman, Alexander Tan became chairman and Marcus Hans Gebert was entered as a member. Each was registered with joint signature by two (Kollektivunterschrift zu zweien). 1

7Sales in China, goodwill and job cuts in Augsburg

analysisMidea's 2026 interim report states, citing industry statistics, that KUKA shipped more than 18,000 industrial robots in the Chinese domestic market in the first half of 2026, an increase of more than 19% year on year, reaching a 9.7% share of domestic sales and second place in the industry, and that KUKA's share of domestic sales of robots with payloads above 300 kg exceeded 50%; the market figures are Midea's presentation of third-party industry statistics. In Midea's accounts KUKA carries the largest of the goodwill allocations listed: Midea's 2025 annual report allocates RMB 23,435,302 thousand of gross goodwill to the KUKA group and states that its impairment test found the recoverable amount above the carrying amount, so that no provision was made for 2025. For the first half of 2026 Midea's interim report, which is not audited, records a goodwill impairment loss of RMB 1,096,473 thousand, with RMB 22,102,403 thousand allocated to the KUKA group at 30 June 2026; the inspected parts of the interim report do not name the asset group to which the new impairment relates, and provisions had already stood at the end of 2024 and 2025. 1 2

analysisA media report of 17 November 2025 stated, citing a KUKA spokesperson, that KUKA planned to cut 560 of about 3,200 jobs at its Augsburg site instead of the 400 announced earlier, mainly in robot production and partly in administration, because of a lack of new orders in a weak market, especially in the automotive industry. According to the report, the cut of 400 jobs (300 in production and 100 in the Augsburg-based holding company) had begun at the beginning of 2025 and was to be implemented under a social plan by the end of 2026, and, according to another newspaper it cited, the Bavarian state government had offered KUKA support in the form of research funding and transformation measures on condition that as many jobs as possible be preserved in Bavaria. The reviewed record contains no KUKA or Midea filing on the job cuts and nothing on their implementation. 3
