Naspers: control, Prosus, investments and public record

Naspers board: compositions, committees and non-executive directors

Naspers's 2004 annual report lists a board chaired by Ton Vosloo with Koos Bekker as managing director; a news report gives the April 2015 board with Bekker as chairman, and the FY2026 summary financial statements list Bekker as chair, Fabricio Bloisi as chief executive and Nico Marais as chief financial officer, while Arnold Goldberg and Pedro Arnt were appointed in 2026 and Roberto Oliveira de Lima was to retire with effect from 1 July 2026. Steve Pacak, chair of the audit and risk committees, died on 20 April 2026, and Naspers announced committee changes with effect from 14 September 2026 under which Shar Dubey and Angelien Kemna continue as interim chairs of the audit and risk committees; two Naspers announcements describe Arnt's committee seats differently, and no reconciliation was found. The directors' outside roles come from Naspers's leadership page and a 2023 SEC filing, while market-data aggregator listings add mandates and start dates that company records do not confirm or that differ from them, in several cases by one day; records also differ on whether Dubey still heads Match Group.

analysisNaspers's annual report for the financial year ended 31 March 2004, issued on 12 August 2004 and furnished to the SEC, lists its board as Ton Vosloo (chairman), Koos Bekker (managing director) and the directors Elize Botha, Francine-Ann du Plessis, Jakes Gerwel, Rachel Jafta, Lourens Jonker, Steve Pacak, Fred Phaswana, Ben van der Ross, Neil van Heerden, Boetie van Zyl and Hein Willemse. Its directors' table classifies Bekker and Pacak as executive, Willemse as non-executive and the other ten directors, including Vosloo, as independent non-executive. The report also states that J F Malherbe and L M Taunyane retired from the board on 29 August 2003 and that Fred Phaswana (F T M Phaswana), Francine-Ann du Plessis and Rachel Jafta were appointed to the board as independent non-executive directors on 23 October 2003, an appointment shareholders were to be asked to confirm at the following annual general meeting. 1

analysisA news report of 22 April 2015 on Ton Vosloo's retirement states that Vosloo and the independent non-executive directors Boetie van Zyl and Yuanhe Ma retired from the Naspers board on 17 April, and that the board then comprised Koos Bekker (chairman), Bob van Dijk (CEO), Basil Sgourdos (CFO), Fred Phaswana (lead independent director), Ben van der Ross, Cobus Stofberg, Craig Enenstein, Debra Meyer, Don Eriksson, Fran du Plessis, Mark Sorour, Nolo Letele, Rachel Jafta, Roberto Oliveira de Lima and Steve Pacak. 2

analysisFor the year ended 31 March 2026, the administration page of Naspers's summary consolidated financial statements, a summary from its integrated annual report, lists the directors as JP Bekker (chair), F Bloisi (chief executive), NJ Marais (chief financial officer), S Dubey, HJ du Toit, CL Enenstein, M Girotra, AJ Goldberg, RCC Jafta, AGZ Kemna, P Mahanyele-Dabengwa, D Meyer, R Oliveira de Lima, SJZ Pacak, MR Sorour and Y Xu, with a footnote marking Pacak as deceased on 20 April 2026; the FY2026 short-form results announcement, signed in Cape Town on 27 June 2026, lists the same directors without Pacak. The summary statements also state that Roberto Oliveira de Lima would retire as an independent non-executive director of the board and from the human resources and remuneration committee and the nominations committee with effect from 1 July 2026, and that the board expressed its gratitude for his contributions to the group over many years. A market-data aggregator lists his Naspers and Prosus board positions as ending on 30 June 2026 and, on its Naspers governance page, as having started on 15 October 2013; each date differs by one day from the company's records, which give 1 July 2026 for the retirement and, in Naspers's annual financial statements for the year to 31 March 2014, an appointment effective 16 October 2013. Naspers's leadership page, as retained in the record, still lists him as an independent non-executive director. 5 6 7 8 4 9

2Directors appointed in 2026: Arnold Goldberg and Pedro Arnt

analysisNaspers's FY2026 summary consolidated financial statements state that Arnold Goldberg was appointed an independent non-executive director with effect from 19 May 2026 and that he "will bring his technology expertise to the board, having held senior positions in a number of large technology-based businesses"; a market-data aggregator's governance page gives 18 May 2026 as the start of his Naspers directorship. A news report of 20 May 2026 adds that he would be nominated for a similar post on the Prosus board at Prosus's next annual general meeting. According to that report, he held leadership roles at Hyperion Solutions and eBay from 2000 to 2008 and then moved to LinkedIn and Box; at PayPal, between 2013 and 2021, he is credited with having overseen more than 2,000 employees and a $400m budget; and he joined Google in January 2022 as vice-president and general manager of payments, leading the teams for GooglePay, Google Wallet and the payments platform, a role from which he stepped down in June 2025. 1 2 3

analysisNaspers announced on 11 August 2026 that Pedro Arnt had been appointed an independent non-executive director of its board with effect from 10 August 2026, and its leadership page gives the same effective date; a news report published on 11 August 2026 says he was appointed "on Sunday", and a market-data aggregator's profile lists his Naspers and Prosus board positions from 9 August 2026. The same news report states that Prosus N.V. announced on Monday his nomination as an independent non-executive director of its board, to be put forward at a specially scheduled general meeting, and that he would also serve on the audit and risk committees; according to the report, the board confirmed that fit and proper assessments had been conducted in compliance with the JSE Listings Requirements, and Arnt was classified as an independent non-executive director under the King Report V on Corporate Governance for South Africa, 2025 and the Dutch Corporate Governance Code. Naspers's leadership page and its announcement state that he began his career at The Boston Consulting Group, joined MercadoLibre in 1999 as one of its earliest executives, served there as VP of Marketing & Sales, as VP of Customer Operations from 2003 and as VP of Planning, Treasury & Investor Relations from 2007, and was its Executive Vice President and Chief Financial Officer from 2011 for more than twelve years; he joined dLocal in August 2023 as Co-Chief Executive Officer, became its standalone Chief Executive Officer in 2024 and serves as a non-executive director of Allegro.eu SA. The news report repeats this account. 4 5 6

analysisThe market-data aggregator's profile lists further positions for Arnt. As active positions it gives chief executive officer of MELI Kaszek Pioneer Corp from 16 June 2021, director of Allegro.eu S.A. from 19 June 2022, chief executive officer of dLocal Limited from 14 August 2023, director of Prosus N.V. and Naspers Limited from 9 August 2026, director of Meli Participaciones SL from 6 May 2012 and director of Aleph Group, Inc. from 16 February 2022; among former positions it lists director of finance/CFO of MercadoLibre, Inc., ending 9 August 2023, and a directorship of Allegro Sp zoo without dates. Apart from the Naspers, dLocal, MercadoLibre and Allegro.eu roles, these positions are not confirmed by a company record in the retained material. Naspers's leadership page and its 11 August 2026 announcement give 10 August 2026, not 9 August 2026, as the effective date of his appointment to the Naspers board, describe his MercadoLibre, dLocal and Allegro.eu roles as set out above, and do not mention the MELI Kaszek Pioneer Corp, Meli Participaciones or Aleph Group positions. 7 5 4

3The audit and risk committees from 14 September 2026

analysisNaspers's FY2026 summary consolidated financial statements state that Steve Pacak, a non-executive director and chair of the audit and risk committees, died on 20 April 2026. In a JSE announcement dated 15 September 2026, Naspers stated that, following recommendations of the nominations committee, the board had approved changes to its audit and risk committees with effect from 14 September 2026: Arnold Goldberg was appointed to the risk committee and Pedro Arnt to the audit committee, while Shar Dubey and Angelien Kemna continue as interim chairs of the audit and risk committees respectively for the financial year FY27. After the changes the audit committee comprises Dubey (interim chair), Kemna, Manisha Girotra and Arnt, and the risk committee Kemna (interim chair), Rachel Jafta, Goldberg, Fabricio Bloisi and Nico Marais; the board stated that each committee has an adequate number of directors to discharge its mandate. Naspers's two announcements describe Arnt's committee seats differently, and the difference is unresolved: the announcement of 11 August 2026 states that he was appointed an independent non-executive director with effect from 10 August 2026 "as well as a member of the audit and risk committees", whereas the announcement of 15 September 2026 states that he was appointed a member of the audit committee with effect from 14 September 2026 and lists the risk committee without him. No Naspers statement in the retained record reconciles the two, and no Naspers correction was found; a news report of 11 August 2026 states that Prosus, announcing his nomination to its own board, said that he would also serve as a member of the audit and risk committees. 1 2 3 4

analysisA market-data aggregator's governance page for Naspers records these committee seats differently. It lists Sharmistha Dubey on the audit committee from 31 March 2022 and as "Audit Committee Chair", without the interim qualifier that Naspers uses in its announcement of 15 September 2026, which describes her as interim chair of the audit committee for FY27. The same page lists Pedro Arnt on the audit committee from 13 September 2026, against the effective date of 14 September 2026 given by Naspers, and also shows an "Audit Committee Chair" entry dated 16 February 2022 for him; Naspers appointed Arnt to its board with effect from 10 August 2026. These aggregator committee entries are not confirmed by a company record in the retained material. 5 1

5Non-executive directors from consumer internet and retail

analysisNaspers's leadership page describes Sharmistha (Shar) Dubey as an independent non-executive director of Naspers Limited and states that she is chief executive officer for Match Group, overseeing brands including Tinder, Match, Meetic, OkCupid, Hinge, Pairs, Plenty of Fish and OurTime, and a board member and member of the compensation committee of Fortive Corporation. Fortive Corporation announced on 29 January 2025 that its board had appointed Dubey as Chair of the Board, succeeding Alan G. Spoon, who would retire from the board and not stand for re-election at the annual general meeting in June 2025; a market-data aggregator's profile lists her as chairman of Fortive from 28 January 2025. The Fortive announcement states that she had been a Fortive director since 2020 and a member of its Nominating and Governance and Compensation Committees, and a board member of Match Group since 2019 and of Prosus and Naspers Limited since 2022. 1 2

analysisRecords differ on whether Dubey still heads Match Group. Naspers's leadership page describes her as chief executive officer for Match Group, and a market-data aggregator's profile says she "presently" holds the position of chief executive officer and director at Match Group, Inc. Fortive's announcement of 29 January 2025, by contrast, states that she "previously served as the CEO of Match Group, Inc. from 2020 to 2022", and an online encyclopedia entry states that she was chief executive of Match Group from March 2020 to May 2022, stepped down in May 2022 and remained a director. The aggregator's own table of former positions lists her as chief executive officer of Match Group, Inc. until 30 May 2022, and it also lists "President, Chief Executive Officer & Director at Match Group, Inc." among her previous positions. The retained record contains no later Naspers update of her biography, and the point remains unresolved. 1 3 4 2

analysisFor her earlier career, the same aggregator profile states that she is on the board of Fortive Corp. and lists as previous positions chief operating officer of Tinder, Inc., president, chief executive officer and director of Match Group, Inc., executive vice president for technology and product at Tutor.com, chief product officer at Match.com LP and at Princeton Review LLC, and senior vice president of People Media LLC; its table of active positions gives chairman of Fortive Corporation from 28 January 2025, board member of Naspers Limited and Prosus N.V. from 31 March 2022, president of Affinity Apps LLC and chief executive officer of Match Group LLC. An online encyclopedia entry states that she began her career in 1998 as an engineer at Texas Instruments, then worked at the supply chain software company i2 technologies, where she was director of product until 2006; joined Match.com in 2006 and held several roles before being appointed president of Match Group Americas in 2016; briefly served as chief operating officer of Tinder in 2017; joined the board of Fortive Corporation in August 2020; and in October 2022 joined Advent International as an operating partner. No company record in the retained material confirms the aggregator's Tutor.com, Match.com, Princeton Review, People Media and Affinity Apps entries, or the encyclopedia's Texas Instruments, i2 technologies and Advent International entries and its year-by-year dates. Fortive's announcement of 29 January 2025 states that she held various leadership roles at Match Group since 2006, including president, chief operating officer of Tinder and president of Match Group Americas, was its chief executive from 2020 to 2022, had been a Fortive director since 2020 and had served on the boards of Prosus and Naspers Limited since 2022; the aggregator's own table of former positions lists her as chief executive officer of Match Group, Inc. until 30 May 2022. 3 2 4

analysisNaspers's leadership page describes Ying Xu as an independent non-executive director who has been engaged in the retail business since 2004 and has led Wumei's significant acquisitions, including Metro China and B&Q China, and the digital transformation of its stores into online and offline omnichannel retail; before joining Wumei Technology Group she was vice president of LG (a joint venture) at Tianjin International Trust & Investment. The SEC filing of February 2023 gives her occupation as president of Wumei Technology Group. A market-data aggregator's profile describes her as an independent non-executive director of Swire Pacific Ltd., Naspers Ltd. and Prosus NV and a board member of Wumei Technology Group Co., Ltd. and B&Q (China) Co., Ltd., and lists former roles as independent non-executive director of Swire Properties Ltd. and vice president of Tianjin International Trust Investment Co.; its positions table gives 25 June 2020 as the start of her Naspers and Prosus seats and 24 August 2021 for Swire Pacific. The Swire Pacific, Swire Properties and B&Q (China) board seats and the board-seat dates are not confirmed by a company record in the retained material. At Naspers's annual general meeting of 26 August 2026 she was re-elected as a director with 95.15% of N ordinary share votes and 99.43% of the combined votes, and to the social, ethics and sustainability committee with 98.55% and 99.83%. 1 5 6 7
