Naspers company record: registration, listings, advisers and registry

Naspers Limited is a South African public company with registration number 1925/001431/06 and a registration date of 18 July 1925; it has a primary listing on the JSE under the share code NPN, a secondary listing on the A2X Exchange and a level 1 ADR programme. A 2002 English translation of its memorandum and articles filed with the SEC shows 1925/001434/06 instead, a difference no retained record explains, and its PAIA manual gives one registration number for two different subsidiaries. The company describes itself as established in 1915; the founding day, founder and 1998 change of name come only from an online encyclopedia entry.

the questionWhat do the official records show about Naspers as a company, and where do they disagree?

1Registration and constitution

analysisNaspers Limited is a public company incorporated in the Republic of South Africa under registration number 1925/001431/06. Its memorandum of incorporation gives a registration date of 18 July 1925, and the same number appears in its 2004 annual report furnished to the SEC, its PAIA manual (revision May 2021), its share-subdivision announcement of 15 September 2025 and its JSE SENS announcement of 29 June 2026. The registered office is 40 Heerengracht, Cape Town 8001 (postal address PO Box 2271, Cape Town 8000), as stated in the summary from the 2026 integrated annual report and in the PAIA manual; the 2004 annual report gives the same registered office. 1 2 3 4 5 6

analysisOne older record gives a different number, and the difference is unresolved. The English free translation of the memorandum and articles of association as at October 2002, filed with the SEC as Exhibit 3.1, shows "Registration Number of Company 1925/001434/06" on the memorandum and "REGISTRATION NO OF COMPANY 1925/001434/06" on the articles. No other retained record uses that number, no official companies-register extract is retained, and no record explaining or settling the difference was found. The 2002 document itself states that it is a free translation of the Afrikaans version, which the Registrar of Companies registered and which prevails in the event of a conflict. A company-information aggregator that presents its data as taken from official public registers, citing the South African companies register, lists Naspers under enterprise number M1925001431, which has the same digits as 1925/001431/06. The 2002 memorandum, made under the Companies Act, 1973 for a company having a share capital, gives the main business as "investment in entities with interests in print and electronic media, affiliated technological systems and in education" and states that the company has no name in the other official languages and no shortened name; the articles exclude Table A of Schedule 1 to that Act. 7 1 2 5 3 8

analysisAn undated copy of the Naspers memorandum of incorporation held on the Prosus website describes Naspers as a pre-existing company that continues to exist as a public company as if incorporated and registered under the Companies Act, No. 71 of 2008, as contemplated in Item 2 of the Fifth Schedule to that Act, and states that the memorandum of incorporation replaces and supersedes the memorandum and articles of association that applied immediately before its filing. According to Naspers's declaration and finalisation announcement of 15 September 2025, the special resolutions amending the memorandum of incorporation for the five-for-one share subdivision were filed with the Companies and Intellectual Property Commission (CIPC) on 21 August 2025 and became effective and registered with the CIPC on 4 September 2025. 2 3

2Listings and security codes

analysisNaspers's JSE share code is NPN. In its JSE SENS announcement of 29 June 2026 the company states that it has a primary listing on the Johannesburg Stock Exchange (NPN.SJ), a secondary listing on the A2X Exchange in South Africa (NPN.AJ) and a level 1 American Depository Receipt (ADR) programme traded over the counter in the US; The Bank of New York Mellon is the depositary of the Naspers ADS facility and maintains a GlobalBuyDIRECT plan for Naspers Limited. A February 2018 Naspers announcement, as republished on a market-data website, gives an "LSE ADS code: NPSN", and the AGM results announcement of 27 August 2026 still refers to "LSE: NPSN"; the retained record does not show whether or when a London quotation of the ADSs ended. Company document headers show ISIN ZAE000015889 in the 2004 annual report and in the summary from the 2024 integrated annual report, and ISIN ZAE000325783 in the share-subdivision announcement of 15 September 2025, which states that the N ordinary shares would trade on the JSE under the new ISIN ZAE000351946 with effect from 1 October 2025, the ISIN shown in the company's 2026 announcements. The retained record does not show when the ISIN changed from ZAE000015889 to ZAE000325783. 1 2 3 4 5 6 7

3Founding accounts and self-description

analysisNaspers describes itself as established in 1915; a February 2018 announcement says "Founded in 1915". A fuller founding account comes from an online encyclopedia entry, which states that Naspers, formerly Die Nasionale Pers, was founded on 12 May 1915 by W.A. Hofmeyr, became publicly listed on the Johannesburg Stock Exchange in 1994, obtained a Level I American Depository Receipt listing on the London Stock Exchange and formally changed its name to Naspers Limited in 1998, and gives Cape Town as the headquarters. No company filing in the retained record confirms the founding day, the founder, the 1994 listing date or the 1998 change of name; the memorandum of incorporation records registration number 1925/001431/06 with a registration date of 18 July 1925. The company's self-description has changed over time: an archived copy of its website captured on 14 February 2017 called it "a global internet and entertainment group and one of the largest technology investors in the world"; a copy captured on 31 December 2022 called it "a global internet group and one of the largest technology investors in the world" and showed Prosus, Takealot and Media24 in its company showcase; the FY2025 media release of 23 June 2025 used "a global technology company"; and the JSE announcement of 29 June 2026 used "a global consumer internet company and one of the largest technology investors in the world". 1 2 3 4 5 6 7

analysisMIH Holdings appears in three kinds of record. An undated news profile of Koos Bekker states that M-Net Limited was formed from a fusion of Nasionale Pers (the former name of Naspers) and a number of other South African media companies, and that a separate arm of M-Net, dealing mainly with subscriber management, signal distribution and cellphone activities, became Multichoice Limited, which was later renamed MIH Holdings. The retained record contains no registry entry or company filing confirming that renaming; the same article describes M-Net Limited as newly formed in 1984 in one passage and dates its founding team to 1985 in another, and an online encyclopedia entry dates the launch of the M-Net pay-TV service to 1986. Naspers's PAIA manual (revision May 2021) lists MIH Holdings Proprietary Limited under registration number 1993/005613/07 without giving a former name. The WHOIS record for the domain of the Naspers website, as retrieved in September 2026, names MIH Holdings (Pty) Ltd, South Africa, as registrant organisation; it shows the domain registered on 20 July 1996, updated on 15 July 2026 and expiring on 19 July 2027, with registrar CSC Corporate Domains, Inc. and the statuses client transfer prohibited, server delete prohibited, server transfer prohibited and server update prohibited. A registrant field names the organisation on record for a domain and does not by itself establish an ownership or control relationship between MIH Holdings and Naspers. 8 1 9 10

4Officers, advisers and auditors

analysisThe PAIA manual (revision May 2021) names Bob van Dijk as chief executive officer and Lynelle Bagwandeen as the appointed information officer of Naspers Limited, and the summary from the 2026 integrated annual report names L Bagwandeen as company secretary, with an office at Oxford & Glenhove, 116 Oxford Road, Houghton Estate, Johannesburg. The same 2026 summary lists Deloitte & Touche (Waterfall City) as independent auditor, JSE Investor Services Proprietary Limited (registration number 2000/007239/07) as transfer secretaries, Investec Bank Limited (registration number 1969/004763/06) as sponsor, and Webber Wentzel and Werksmans Inc. as attorneys; the JSE announcement of 29 June 2026 also names Investec Bank Limited as JSE sponsor to Naspers. The 2004 annual report, furnished to the SEC, named G M Coetzee as secretary, PricewaterhouseCoopers Inc. as auditors, Ultra Registrars (Pty) Limited as transfer secretaries under registration number 2000/007239/07, the number later shown for JSE Investor Services Proprietary Limited, The Bank of New York as provider of a Global BuyDIRECT plan for Naspers Limited, Investec Bank Limited (1969/004763/06) as sponsor and Jan S de Villiers as attorneys. 1 2 3 4

analysisThe notice of meeting in the 2004 annual report proposed the re-appointment of PricewaterhouseCoopers Inc. as auditors until the conclusion of the next annual general meeting. Deloitte is Naspers's external auditor. At the annual general meeting of 22 August 2024 shareholders approved, with 99.85% of the voting rights, the reappointment of Deloitte as auditor for the 2025 financial year, with James Welch as the individual registered auditor. The FY2026 short-form results announcement states that the full consolidated annual financial statements for the year ended 31 March 2026 were audited by Deloitte & Touche, whose report is unmodified. The notice of the 2026 annual general meeting proposed reappointing Deloitte South Africa, with James Welch as individual registered auditor, for the financial year ending 31 March 2028, and the AGM results announcement of 27 August 2026 records the reappointment of Deloitte & Touche South Africa with 100.00% of A ordinary and 96.05% of N ordinary votes cast in favour (99.53% combined). 5 6 7 8 4

5Group companies and registry numbers

analysisNaspers's PAIA manual (revision May 2021), which covers Naspers Limited and various of its subsidiaries, lists these South African companies with registration numbers: Heemstede Beleggings Proprietary Limited (1994/005106/07), Homefind24 Proprietary Limited (2008/019235/07), MIH Ecommerce Proprietary Limited (1998/005309/07), MIH Holdings Proprietary Limited (1993/005613/07), MIH Treasury Services Proprietary Limited (2007/014128/07), Naspers Limited (1925/001431/06), The Car Trader Proprietary Limited (2013/115404/07) and PayU Payments Solutions Proprietary Limited (2009/017393/07). It states that the Media24 Group, the Takealot Group, the Autotrader Group and PayU South Africa maintain their own PAIA manuals on their websites. The manual also lists the same registration number, 2006/021408/07, for two different companies, Media24 Holdings Proprietary Limited and Takealot Online (RF) Proprietary Limited. A registration number identifies one company, so at least one of the two entries is wrong; the retained record contains no other source for either company's registration number, so the number is not attributed to Takealot Online here, and which entry is correct is not established. 1

analysisRegistry numbers for the companies of the Naspers control structure and for Wheatfields 221 are given here as each record states them, because some of them overlap or differ. The Companies Tribunal decision of 26 October 2015 in case CT021Aug2015 identifies the applicant Naspers Beleggings (RF) Bpk as 1994/005106/06, while the PAIA manual lists Heemstede Beleggings Proprietary Limited as 1994/005106/07, the same sequence number with a private-company suffix; a company-information aggregator citing the South African companies register lists Naspers Beleggings (RF) under enterprise number M1994005106 and Heemstede Beleggings under M1995010514. No official registry extract for Heemstede Beleggings is retained, so which number belongs to it is not established; the Tribunal decision and the aggregator agree on 1994/005106 for Naspers Beleggings (RF). In a Companies Tribunal decision of 2 May 2023 (case CT01327ADJ2023), the applicant Keeromstraat 30 Beleggings Limited (RF) is described as incorporated and registered in South Africa with registration number 1995/013914/06 and a registered place of business at 40 Heerengracht, Cape Town 8001, the address Naspers gives as its own registered office; a company-information aggregator citing official registry data shows it as a public company with enterprise number M1995013914, incorporated on 27 December 1995, in business and not in liquidation, and another company-information aggregator lists it at the same address. A company-information aggregator citing official registry data shows Wheatfields Investments No 221 as a private company with enterprise number M2005040131, incorporated on 9 November 2005, in business and not in liquidation; Naspers's own reports refer to the A-share holding vehicle as Wheatfields 221 Proprietary Limited and give no registration number, and no official registry extract in the retained record ties that name to this card. 2 1 3 4 5 6 7

analysisTwo further records identify companies under former or trading names. In its reasons of 22 August 2017 in case LM012Apr16 between Media24 (Pty) Ltd and Novus Holdings Limited, the Competition Tribunal states that Paarl Media Group (Pty) Ltd, the holding company of Paarl Media Holdings (Pty) Ltd and Paarl Coldset (Pty) Ltd, was rebranded as Novus Holdings Limited in 2015, and that Novus was the target firm of the transaction, which the Tribunal conditionally approved on 2 August 2017. The terms and conditions of the Superbalist website identify its operator as Fashion United SA (Pty) Ltd, trading under the website's name, a private company registered in South Africa with registration number 2017/007569/07 whose main business is online retail, and submit disputes to the non-exclusive jurisdiction of the High Court of South Africa, Western Cape Division, Cape Town. 8 9
