3Finances before the take-private

analysisRealPage reported total revenue of about $1,158.5 million in 2020, $988.1 million in 2019 and $869.5 million in 2018, with operating income of about $102.8 million, $92.4 million and $66.1 million; its 2010 prospectus had reported on-demand revenue of $62.6 million in 2007, $95.2 million in 2008 and $128.4 million in 2009. At December 31, 2020 it held $594.7 million of unrestricted cash and cash equivalents, had $600.0 million available under its revolving facility and carried convertible notes at $318.3 million. In May 2020 it had sold 5.85 million shares at $59.00 (net proceeds $334.1 million, of which $230.0 million repaid its revolving facility) and issued $345.0 million of convertible senior notes due 2025. It had 102,091,526 shares outstanding on February 16, 2021, and the shares held by non-affiliates were worth about $5.41 billion at June 30, 2020. 1 2 3

analysisBefore the merger RealPage borrowed under an amended and restated credit agreement of September 5, 2019 with Wells Fargo Bank, National Association as administrative agent; term loans stood at $577.5 million at the end of 2020, the revolving facility was undrawn, and the obligations were guaranteed by material domestic subsidiaries and secured by substantially all of the company's assets. At the April 22, 2021 closing RealPage repaid all those loans and terminated the commitments. Ernst & Young LLP audited its financial statements for 2007 to 2009 in the 2010 prospectus and was its auditor for 2019 and 2020, receiving $4,478,594 for 2020 and $5,070,522 for 2019. 4 1 2 3

4Security incidents

analysisRealPage was the victim of a targeted email phishing campaign in May 2018, and its 2020 annual report excludes the resulting losses, net of recoveries, from adjusted EBITDA. A real estate news report of January 2020, citing local media, stated that hackers had used an employee's login to steal $10.5 million from RealPage's accounts and laundered it through money mule accounts; federal prosecutors had seized more than $2.9 million and RealPage said $4.5 million had been recovered in total. RealPage was the target of the theft, and the reports allege no wrongdoing by the company; neither source names the other, so linking the two accounts rests on their matching description. 1 2

analysisOn March 7, 2024 the U.S. Cybersecurity and Infrastructure Security Agency published an advisory on a hard-coded credential in the Chirp Access app (CVE-2024-2197) made by Chirp Systems, a RealPage subsidiary since 2020 whose smart locks were in use at an estimated 50,000 dwellings; a security news site reported that the researcher who found the flaw had notified Chirp in March 2021 without response. After feedback from Chirp, CISA revised the advisory in April and May 2024 to state that the credential lets an attacker within Bluetooth range change beacon settings but cannot be used to lock or unlock doors (CVSS v3.1 score 4.3), with no known public exploitation; the initial advisory had described a remotely exploitable flaw. 3 4 1
