RealPage: owners, pricing software and antitrust cases

Other roles of RealPage directors and former officers

RealPage's independent directors before 2021 came from exchanges, software companies and private-equity firms. One, Alfred R. Berkeley, III, entered an SEC consent decree in 2011 relating to Berkeley's role at the broker Pipeline Trading Systems, whose parent Berkeley then chaired, a matter that did not concern RealPage; another, Scott S. Ingraham, sat on the board of Camden Property Trust, which RealPage called one of its larger customers, and no retained record alleges that this overlap affected RealPage's pricing products. After the sale, former executives took posts as chief executive, chief financial officer or director at WebPT, Gainsight, Vendasta and Funnel Leasing.

the questionWhat other companies have RealPage's directors and former officers led or overseen, and which overlaps did RealPage disclose?

1Independent directors before 2021

analysisAlfred R. Berkeley, III, a director from December 2003 to the 2021 merger, chaired the audit committee from January 2004 to February 2012 and was lead independent director from February 2011 to February 2012. RealPage's filings describe Berkeley as president of NASDAQ from 1996 to 2000 and vice chairman of the NASDAQ Stock Market from 2000 to 2003; chairman of Pipeline Financial Group, Inc., parent of the block-trading broker Pipeline Trading Systems LLC, from 2003 to 2011 and its chief executive until 2010; vice chairman of Gentag, Inc. from 2011; chairman of the investment adviser Princeton Capital Management, Inc. from 2012; and a director of Kintera, Fortegra Financial, ACI Worldwide and Edgar Online. RealPage's amended 2020 annual report disclosed that on October 24, 2011 Berkeley entered into a consent decree with the Securities and Exchange Commission relating to Berkeley's role at Pipeline Trading Systems, LLC, the broker owned by Pipeline Financial Group, which Berkeley then chaired; the matter was resolved by that consent decree. The filing does not describe the SEC's allegations or the decree's terms, and the matter concerns that broker, not RealPage. 1

analysisRichard M. Berkeley, the brother of Alfred Berkeley, was a director from December 2005, chaired the nominating and governance committee from February 2010 and was a member of the Baltimore private-equity firm Camden Partners Holdings, LLC from October 2002; EDGAR shows Forms 3 and 4 filed under RealPage's file number from 2010 to 2012. Peter Gyenes, a director from January 2010 to the merger and compensation committee chairman, was chairman and chief executive of Ascential Software Corporation until IBM acquired it in 2005, non-executive chairman of the board of Sophos Group plc from 2006 to 2020 (chairman from July 2015), a director of Netezza and a director of Pegasystems; on February 4, 2025 Syncro, a software platform for managed IT service providers, appointed Gyenes chairman of its board. Charles F. Kane, a director from June 2012 to the merger and audit committee chairman from February 2013, was chief financial officer of Aspen Technology and of RSA Security, earlier president and chief executive of Corechange and chief financial officer of Informix Software, and is a director and strategic adviser of One Laptop Per Child; Kane joined the board of Progress Software Corporation on November 9, 2006, together with a special committee investigating Progress's historical stock-option practices, remained a director in 2021, and also served on the boards of Applix, Netezza and Borland. 2 3 1 4 5 6 7

analysisJeffrey T. Leeds, a director from December 1999 to the merger and nominating and governance committee chairman from February 2012, co-founded Leeds Equity Partners in 1993 and is its president; on March 25, 2020 Leeds signed the Form D of Leeds Equity Partners VII, L.P., for an offering with a parallel fund targeting $1 billion. Jason A. Wright, a director from December 2003 to the merger and lead independent director from February 2012, is a partner of Apax Partners, which Wright joined in 2000 after General Electric Capital and Andersen Consulting, and was a director of Duckcreek Technologies in 2021. Dana S. Jones joined the board in October 2019; Jones was chief executive of Sparta Systems, a life-sciences quality-management software company, from 2018 to 2021, chief executive of Active Network in 2016 and 2017 and chief marketing officer and senior vice president of products at Sabre Airline Solutions from 2012 to 2017, and sits on the board of Agilysys, Inc.; a Form 4 filed by Jones as an Agilysys director for a May 22, 2026 transaction gives an address in care of RealPage's Richardson headquarters. 1 8 9

2Board overlaps with RealPage customers

analysisScott S. Ingraham, a director from February 2012 to the merger, co-founded and led the apartment real estate investment trust Oasis Residential from 1992 until it merged into Camden Property Trust in 1998, co-founded Rent.com and led it until eBay bought it in 2005, is a co-founder and principal of Zuma Capital, sits on Camden Property Trust's Board of Trust Managers and was a director of Kilroy Realty. While Ingraham was a RealPage director, RealPage's 2021 amended annual report described Camden as "one of our larger customers"; a share-trading aggregator compiling Ingraham's Form 4 filings records a purchase of 10,000 RealPage shares on February 22, 2012 and a sale of 7,463 Camden shares on December 2, 2021. These are documented positions: no retained record alleges that Ingraham acted for Camden in RealPage matters or that the overlap affected RealPage's pricing products. Separately, when RealPage bought Chirp Systems in 2020 it disclosed that the parent company of one of Chirp's significant selling shareholders was a RealPage customer and that a member of that customer's board was also a RealPage director, without naming either. 1 2 3 4

3Later posts of former executives

analysisWebPT announced on November 2, 2021 that it had appointed Ashley Glover as chief executive officer; a director-data profile describes Glover as joining WebPT as chief executive and board member that month after serving as president of RealPage. Gainsight announced on February 17, 2022 that Brian Shelton, formerly RealPage's chief financial officer, had become its chief financial officer, and Vendasta announced on January 17, 2023 that Shelton was joining it in the same role; Shelton had held finance roles at St. Jude Medical from 2004 to 2014. Funnel Leasing announced on November 12, 2025 that Michael Britti had joined its board, crediting Britti with guiding more than $2 billion of acquisitions at RealPage, including Buildium, ClickPay, On-Site and LRO, and describing Britti as an adviser to RET Ventures. Kurt E. Twining reported a July 2006 transaction on Form 4 as senior vice president of human resources of Freescale Semiconductor, and a share-trading aggregator records Twining's last reported RealPage transaction on October 1, 2020, as chief people officer. 1 2 3 4 5 6
