Carillion plc: from demerger to compulsory liquidation

Carillion's directors in the Companies House register

Companies House lists 32 officer entries for Carillion plc (company number 03782379), 25 of them marked as resigned; the seven directorships still shown as active, those of Keith Cochrane, Andrew Dougal, Philip Green, Alison Horner, Alan Lovell, Baroness Morgan and Justin Read, have no recorded termination although the winding up of the company commenced on 15 January 2018. The directors' own officer records show seats on the boards of other Carillion companies, such as Carillion Construction Limited and Carillion (AMBS) Limited, some recorded as ending only on or after the liquidation date, and directorships of outside companies including Weir, Taylor Wimpey, SEGRO, Bunzl and United Utilities, held before, during or after their Carillion plc terms. Several of these people have a second Companies House record with matching registry details, and the special managers Edward Macnamara and Michael Jervis appear in the register only as members of PricewaterhouseCoopers LLP.

1The officer list: open appointments and company secretaries

figureCarillion plc officer entries and the other boards on the officers' records One row for each of the 32 entries on the Companies House officer list of Carillion plc, in order of appointment, with the other directorships and secretaryships that the officers' Companies House records show as described on this page. 'During the entry' means that the other appointment overlapped the Carillion plc entry; for the seven entries with no recorded termination it means up to 15 January 2018, when the winding up of Carillion plc commenced. A dash means that none of the records cited here shows such an appointment; the table does not list every appointment on each record.

analysisCompanies House lists 32 officer entries for Carillion plc, company number 03782379, and marks 25 of them as resigned. The other seven are directorships shown as active with no termination date: those of Keith Robertson Cochrane, Andrew James Harrower Dougal, Philip Nevill Green, Alison Jane Horner, Alan Charles Lovell, Baroness Sally Morgan and Justin Richard Read. The same register records Carillion plc as in compulsory liquidation, with the winding up commencing on 15 January 2018, yet the officer list records no termination for any of these seven appointments. Emma Mercer does not appear in the list. 1 2

analysisThe seven open entries date from 2011 to 2017. Philip Green was appointed a director on 1 June 2011 and Andrew Dougal on 3 October 2011, Alison Horner on 1 December 2013 and Keith Cochrane on 2 July 2015. Three more followed in the second half of 2017: Baroness Morgan of Huyton on 1 July, Alan Lovell on 1 November and Justin Read on 1 December 2017. For each of them the officer list shows the appointment as active, and for Philip Green and Baroness Morgan the officer record behind the Carillion plc entry lists this single appointment. 1 3 4 5 6 7 8 9

analysisThe list also contains a second director entry under the name Philip Nevill Green, recorded as appointed and resigned on the same day, 1 June 2011, the date of the active Green appointment. Each of the two entries rests on its own officer record, and each of those records lists only its one Carillion plc appointment. 1 10 3

analysisTwo company secretaries appear on the list. Dirk Olaf Fitzhugh held the post from 28 May 1999 to 1 December 2001, and Richard Francis Tapp from 1 December 2001 to 25 June 2018, a resignation dated after the winding up of Carillion plc commenced on 15 January 2018. A second officer record under Fitzhugh's name, with the same correspondence details as his Carillion plc entry, lists three appointments, among them company secretary of Carillion Nominees Limited from 21 July 1999 to 1 December 2001, the day his Carillion plc secretaryship ended. 1 2 11

analysisRichard Tapp's own officer record lists 119 appointments. It shows him as company secretary of Carillion Nominees Limited from 1 December 2001 to 18 December 2018 and as director and company secretary of Carillion Group Limited from 1 December 2001 with no end date recorded; both companies are shown as dissolved. It still shows him as an active director of Marchwiel Properties Limited and active company secretary of Carillion AM Developments Limited, both appointments dated 12 February 2008, in two companies the register records as in liquidation. A directorship of The Centre for Tomorrow's Company from 25 February 2017 likewise has no resignation date, and that company is shown as dissolved. 12

analysisFor two of these directors, the register dates directorships of other companies bearing the Carillion name from 1996, before their Carillion plc entries of 28 May 1999.
