the questionWhat has Deel alleged against Rippling, and what became of those claims?
1The Delaware suit
analysisOn 24 April 2025 Deel, Inc. sued People Center, Inc. d/b/a Rippling and unnamed Doe defendants in the Delaware Superior Court (C.A. No. N25C-04-239 DJB), a case the docket classes as defamation. Skadden represented Deel and Quinn Emanuel represented Rippling; on 15 May 2025 Judge Danielle J. Brennan granted, with amendments, Deel's motion to name Doe defendants. The complaint, amended in June 2025, accuses Rippling of defamation, trade libel, interference with contractual relations, conspiracy and false advertising, and the business news outlet reported that it also alleged violations of the Deceptive Trade Practices Act and the use of an impostor customer account. Rippling's spokesperson Bobby Whithorne said the complaint contained "bogus claims". 1 2 3

- qualification
- These are Deel's allegations in its complaint; the case was dismissed voluntarily without any ruling on them.
- response
- Rippling's spokesperson Bobby Whithorne said Deel's complaint contained "bogus claims".
- outcome
- On 25 March 2026 the docket recorded "CASE SETTLED" and Deel filed a notice of voluntary dismissal without prejudice, which Judge Danielle J. Brennan so ordered on 26 March 2026; no settlement terms are disclosed and there was no ruling on the merits.
analysisDeel alleges that Rippling's competitive-intelligence manager, Brett Alexander Johnson, spent six months impersonating a legitimate Deel customer to gain access to its systems and copy its documents. It alleges that since late 2022 Rippling has run a campaign against it with the help of Thomas Grady, described as a Rippling investor and lawyer who falsely claimed that Deel was "under Congressional investigation", and that Grady wrote to Florida regulators on 2 August 2023 calling its business unlicensed and unlawful. According to the complaint, the regulators declined in July 2024 to reopen an investigation, saying they "didn't see anything actionable"; their correspondence is not retained. Deel also cites lobbying filings showing that Akin Gump Strauss Hauer & Feld lobbied for Rippling on employee-misclassification issues from April 2023 for about $80,000; those disclosures are not retained either. These are Deel's allegations in its complaint, and the case was dismissed voluntarily without any ruling on them. 4

- qualification
- These are Deel's allegations in its complaint; the case was dismissed voluntarily without any ruling on them. The same allegations, raised as counterclaims in California, were sent to arbitration in September 2026.
analysisA technology news outlet reported in April 2025 that the complaint also accuses Rippling of payroll-tax fraud, violations of international sanctions and misrepresentation to customers and investors, says whistleblowers told Irish authorities about Rippling payments linked to Russia, Belarus, Iran and Syria, and alleges that Rippling placed an insider inside Deel. Rippling called the complaint's claims "bogus". All of these are Deel's allegations, and the case ended without any ruling on them. 5 3

2Disqualification motion and dismissal
analysisOn 23 July 2025 Deel moved to disqualify Rippling's law firm, Quinn Emanuel Urquhart & Sullivan, with declarations from Alex and Philippe Bouaziz, Deel lawyer Spiros Komis and its Delaware counsel. Deel argued that it had consulted Quinn Emanuel partner Robert Schwartz in September 2023 about litigation against Rippling and another company; Rippling said the consultation concerned only the other company. After a hearing on 24 October 2025 and an in-camera review of an email, Judge Brennan denied the motion on 5 February 2026, finding that the email supported Rippling's account and that the firm's representation was not a clear conflict because Schwartz had been screened off. 1 2
analysisRippling moved to dismiss or stay the Delaware case on 19 February 2026. On 25 March 2026 the docket recorded "CASE SETTLED" and Deel filed a notice of voluntary dismissal without prejudice, which Judge Brennan so ordered the next day. The docket does not disclose any settlement terms, and no court ruled on the merits of Deel's claims. The same impostor allegation, raised as a counterclaim in California, was sent to arbitration in September 2026. 1 3 4

3Counterclaims in California
analysisIn Rippling's California case Deel filed counterclaims against Rippling, its chief executive Parker Conrad and Keith O'Brien. It alleges that Johnson used an account for a fictitious company, Quandary Insights, LLC, from May 2024 to access Deel's platform and download at least 57 proprietary documents; that the competitor Globalization Partners accessed Deel's systems through false accounts from January 2023 to June 2025 in coordination with Rippling; that Rippling coerced O'Brien into a false affidavit through two cooperation agreements; that Rippling arranged for the domain deal.com to redirect to its own website; and that Rippling's advertising misrepresented Deel's products. These are Deel's allegations, which Rippling disputes. 1

- qualification
- These are Deel's allegations; Rippling disputes them and the court has not ruled on their truth.
- response
- Rippling and Conrad moved to compel arbitration of the counterclaims concerning Johnson and to dismiss the others; opposing Deel's motion to strike O'Brien's affidavit, Rippling affirmed that O'Brien was not invoking his Fifth Amendment rights in response to discovery.
- outcome
- On 25 September 2026 the court compelled arbitration of the counterclaims about Johnson's access to Deel's platform, staying the computer-fraud counterclaims and Deel's RICO counterclaims in full, dismissed the domain-name counterclaims with leave to amend, and let some of the false-advertising claims proceed while dismissing others.
analysisIn Deel's account, as the court summarised it, O'Brien applied repeatedly for jobs at Deel from 2022, told Alex Bouaziz in 2024 that he had founded Global Payroll Geeks and over several months sent him unsolicited information about Rippling, most of which Deel says Bouaziz ignored. Deel says Rippling then pressured O'Brien, during a period of mental and financial stress, into two cooperation agreements that gave him paid legal representation, indemnification and an ex-gratia payment and exposed him to a €150,000 judgment if he breached them, and that in March 2025 he sent repeated messages to Deel officials, most prominently the lawyer Asif Malik. Rippling and O'Brien dispute this account. 1
analysisThe counterclaims also allege that Conrad founded Rippling after leaving Zenefits amid a regulatory investigation and used it partly as a vehicle for revenge against those who backed his removal, including Deel, because one of the main Zenefits investors behind that removal is now one of Deel's largest investors. Deel's Delaware complaint names that investor as Andreessen Horowitz, holder of a 20% share in Deel. In a Sequoia Capital podcast Conrad himself described Rippling as "born out of kind of this, like, revenge fantasy" and, asked whether he had taken revenge on his antagonists from Zenefits, answered: "I don't think so." 1 2 3

4The September 2026 rulings
analysisRippling and Conrad moved to compel arbitration of the counterclaims about Johnson and to dismiss the others. On 25 September 2026 Judge Breyer granted the arbitration motion, staying the computer-fraud counterclaims and Deel's RICO counterclaims in full; dismissed the domain-name counterclaims with leave to amend; and let some of Deel's false-advertising claims proceed while dismissing others. He also refused Deel's request to strike O'Brien's affidavit, bar his testimony and revisit the February ruling, which Deel had based on O'Brien's invocation of the Fifth Amendment in answer to its interrogatories; O'Brien's counsel and Rippling had said he would not stand on that objection. A status conference was set for 13 November 2026. 1
analysisIn a footnote to the same order the court said it was concerned that Deel had admitted being contacted around April 2025 with an offer to buy the deal.com domain only after repeatedly telling the court that no one had contacted it about the domain, and reminded the parties and their counsel to refrain from intentional misrepresentations. 1
