the questionWho founded and controls Deel, and what has been said about how it is governed?
1Founding
analysisThe business news outlet reported in October 2025 that Alex Bouaziz, Deel's chief executive, and Shuo Wang, its chief revenue officer, cofounded Deel in 2019 after meeting as students at the Massachusetts Institute of Technology, and its July 2026 profile of Wang says the same. Deel's own court complaint states that it was selected in 2019 for the Y Combinator accelerator in San Francisco. Before Deel, according to the business news outlet, Wang cofounded the air-purifier maker Aeris and was its chief technology officer; iRobot bought Aeris in 2021 for around $100 million. 1 2 3
analysisA financial-data profile lists Ofer Simon as founder and chief technology officer of Deel in 2019, with the founder position ending on 1 May 2019, and as founder of the construction-technology company Trusstor Technologies since April 2019; his Deel role is not recorded in a company filing. A start-up database describes SciDex, an unfunded blockchain company in Winterthur, Switzerland, as founded in 2018 by Constantin Overlack, Wang and Simon; it gives no registry number and does not list Alex Bouaziz. 4 5

2Who owns Deel
analysisDeel's shareholder register is not public. The business news outlet estimates that Alex Bouaziz and Shuo Wang each hold about 12% of the company. In a disclosure statement filed in Rippling's California suit on 28 March 2025, Deel, Inc. said it has no parent corporation and that no publicly held corporation owns 10% or more of its stock; the statement does not identify private holders such as funds or individuals. 1 2
analysisRippling's amended complaint describes Andreessen Horowitz as Deel's largest investor, and Parker Conrad has said the same in a podcast; Deel's own Delaware complaint says Andreessen Horowitz owns a 20% share. Both statements were made in litigation, and no filing in the retained record discloses the holding. The family's own investment arm came first: a business news outlet quoted Philippe Bouaziz as the founder of Sarona Partners, Deel's first investor, and in a July 2026 interview a news outlet described Sarona Partners as an investment group he founded with his son and one of Deel's earliest investors. 3 4 5 6 7

3The Bouaziz family and governance
analysisA business news outlet, summarising an April 2025 investigation by a technology news outlet, reported that Philippe Bouaziz served as Deel's chairman and chief financial officer while his son was chief executive, that other relatives held operations, finance and customer-management roles, and that Philippe took many important operational, financial and personnel decisions; a business news outlet repeated the description of a family-run model in October 2025. This is press reporting based on unnamed sources, and the relatives are not named here. Asked in July 2026 whether Deel is a family company, Alex Bouaziz said "not really": seven or eight of its roughly 7,000 employees are relatives, and the only one working directly with him is his father, now chief strategy officer. 1 2 3 4

- qualification
- This is press reporting based on unnamed sources; it is not a company disclosure. The relatives concerned are not named here.
- response
- Asked in July 2026 whether Deel is a family company, Alex Bouaziz said "not really": seven or eight of its roughly 7,000 employees are relatives, and the only one working directly with him is his father.
- outcome
- Later in 2025 Deel appointed a new president and chief financial officer, a general counsel, a chief compliance officer and a chief risk officer, and Philippe Bouaziz moved from chief financial officer to executive chairman and chief strategy officer; the record does not say whether these changes responded to the governance criticism.
analysisAccording to the same business news outlet account, Meritech Capital partner Alex Clayton called Deel's corporate governance a recipe for disaster, while General Catalyst's chief executive Hemant Taneja, whose firm had recently invested, said the family dynamic did not trouble him; the report also said Philippe Bouaziz had offered Deel shares to potential buyers at investor conferences. These are opinions and reported conduct, not findings. Later in 2025 Deel appointed a new president and chief financial officer, a general counsel, a chief compliance officer and a chief risk officer, and Philippe Bouaziz moved to executive chairman and chief strategy officer; the record does not say whether these changes responded to the criticism. 5 1 2 3 4

4Rippling's allegations about governance
analysisRippling's amended complaint describes Philippe Bouaziz as Deel's board chair, chief financial officer and whistleblowing contact who until recently also called himself its general counsel, and alleges that he and his son benefit financially from Deel through Sarona Ventures' investment and, in his case, through Bouaziz & Partners' consulting relationship with Deel. It says Deel's public whistleblowing policy told staff to report concerns to his Deel email address or to Bouaziz & Partners, listed as a contact until May 2025, and cites an April 2025 report by a technology news outlet that he had boasted of having "spies at other companies", alleging that Deel's board did not investigate. These are Rippling's allegations; no court has ruled on them, and the court's September 2026 order summarises the complaint as describing him as chief financial officer, chairman and "purported whistleblowing contact". In a Sequoia Capital podcast Conrad, chief executive of Deel's litigation opponent, said that Andreessen Horowitz had made clear it would keep backing Deel's founders and that Deel's board did not seem likely to hold them accountable. 1 2 3
