the questionWhat do the records establish about Deel’s structure and the major disputes?
1What this research adds
2Start with the legal companies
analysisThe Delaware parent, formerly named Lifeslice, is identifiable through its registration and LEI. Dated securities filings name directors and particular offerings, while later reporting describes a large financing at an estimated private-market valuation. None of those records supplies a complete current beneficial-ownership table. The ownership and UK-company chapters explain why a director, a person with significant influence and a shareholder are different categories.
documentedDeel, Inc. is a Delaware corporation formed on 3 July 2017, registered as number 6465099 and identified by LEI 549300IFGBDZQE2NZG16. Its retained Form D names Lifeslice, Inc. as a previous name. 1 2 3
- qualification
- The operating business is commonly described as founded in 2019. That does not alter the earlier incorporation date of the legal entity. A BIC in an identifier record is not a banking licence.
documentedThe December 2024 Form D identifies Alexandre Bouaziz, Philippe Bouaziz, Shuo Wang, Anish Acharya, Francis deSouza, Todd Ford and Franck Cohen as directors. Alexandre and Philippe are also marked executive officers and promoters; Shuo is marked executive officer. 3
- qualification
- This is a dated issuer filing, not an independently verified present-day board list or complete shareholder register.
attributedOctober 2025 reporting describes a $300 million financing involving Ribbit Capital, Coatue and Andreessen Horowitz at a $17.3 billion valuation. It estimates that Alex Bouaziz and Shuo Wang each held about 12%. 4
- qualification
- The founder percentages are media estimates, not a filed cap table. The quoted $170–200 million profit figure was a 2025 forecast, not audited realised profit. Coatue’s investment in both rivals does not make it a party to their litigation.
analysisLocal subsidiaries and related entities have their own records. Estonia identifies a corporate shareholder and separately records senior-management control; Norway supplies registered offices and a dated shareholder table. The UK and Belgian payment companies retain distinct identifiers through their name changes, and Deel Wallet identifies separate regulated service and bank providers. The network preserves those differences rather than treating every use of the brand as one legal person.
attributedA retained Norwegian shareholder directory attributes all 30,000 DEEL NORWAY AS shares to Deel Inc. at 31 December 2025. 6
- qualification
- The directory derives from the shareholder register; mirrors of that same origin are not independent corroborating sources.
attributedDeel’s Wallet guidance says Deel is not a bank. It identifies Mezu (NA), Inc., trading as Alviere, as the licensed money-transmission and service provider, and Community Federal Savings Bank as the bank associated with the described pass-through deposit insurance. 8
- qualification
- The guidance concerns eligible US users and its stated product conditions. The insurance description is not a guarantee against every loss or protection of every Deel balance worldwide.
3The court record contains claims in both directions
analysisRippling alleges corporate espionage involving a former employee and Deel executives. Deel denies that account and accuses its competitor of improper access and manipulation of the witness. The September 2026 federal order did not end the dispute: it directed part of the countercase to arbitration, stayed related claims and reached mixed pleading outcomes on domain and advertising issues. Each procedural result has a narrower meaning than a trial verdict. 9
attributedPeople Center, Inc., trading as Rippling, alleges in the Northern District of California that Deel, Alex Bouaziz, Philippe Bouaziz and Dan Westgarth participated in corporate espionage using former Rippling employee Keith O’Brien. The allegations concern confidential material, directions to obtain it and payments. 9
- qualification
- These are allegations recited as background in a procedural order. They are not a finding that the alleged scheme occurred.
- response
- Deel disputes the account. Its counterclaims say O’Brien supplied unsolicited information while exploring a consulting relationship, and allege that Rippling used pressure and financial benefits to obtain false testimony.
- outcome
- The September 2026 order recalls that most Rippling claims, including its RICO claim, survived a February 2026 pleading challenge. Plausible pleading is not a verdict.
attributedDeel’s counterclaims allege that Rippling used Brett Johnson and a Quandary Insights account to obtain its documents, and coordinated with Globalization Partners. Deel also challenges O’Brien’s cooperation arrangements, which included legal-cost support, indemnification and a potential €150,000 consequence for breach. 9
- qualification
- The order recounts each side’s pleading. It does not determine that the alleged infiltration, coercion or bribery occurred.
- outcome
- Claims concerning Johnson’s platform use were sent to arbitration, and both Deel RICO counterclaims were stayed in their entirety pending that process.
documentedThe September 2026 order compelled arbitration of counterclaims concerning Johnson’s access to Deel’s services under the platform’s terms. It stayed the CFAA and CDAFA counterclaims and both RICO counterclaims in their entirety, including the dispute over whether Deel adequately pleaded a claim against Parker Conrad. 9
- qualification
- A stay and referral to arbitration are not dismissal or a ruling that either side’s factual version is correct.
documentedThe September order allowed parts of Deel’s false-advertising counterclaim to proceed, including specified product-feature comparisons, while dismissing other assertions as inadequately pleaded, vague or outside commercial advertising. 9
- qualification
- Survival means the pleaded facts met the applicable threshold. It is not a judicial determination that the surviving advertisements were false.
analysisTwo separate closures also matter. Deel voluntarily dismissed its Delaware action without prejudice in March 2026. The Florida receiver’s complaint against Deel and payment affiliates had already been dismissed in August 2025 for standing and RICO pleading defects. Those outcomes accompany the allegations, while neither is presented as resolving every regulatory question or the continuing California litigation. 10 11
documentedThe retained Delaware docket for N25C-04-239 records a notice of voluntary dismissal without prejudice on 25 March 2026 and a court order approving it on 26 March. The case is marked closed. 10
- qualification
- The docket also contains a “case settled” label, but the operative entry specifies voluntary dismissal without prejudice. No settlement terms or merits judgment are established here, and this separate closure does not end the California case.
documentedJudge Jose Martinez dismissed the Damian complaint on 18 August 2025 and closed the case. The order found no adequately alleged concrete injury for Article III or RICO standing and no distinct RICO enterprise beyond the alleged unified corporate structure. 11
- qualification
- The dismissal is a material outcome in Deel’s favour. The court did not need to decide every defence, and the standing ruling does not independently establish compliance with every payment-licensing rule.
4Governance overlaps and employment decisions require their own context
analysisThe Sarona records disclose investment and professional overlaps, including a former portfolio business acquired by Deel, but do not supply the terms needed to establish an unfair transaction. Omnipresent’s acquisition reporting is supported by a UK control change and later board appointments. The employment decisions, meanwhile, involve specific employers and mixed or preliminary outcomes. These are separate strands, joined by documented roles rather than by an assumption that all participants share responsibility.
attributedThe same portfolio page describes Hofy as a realised holding acquired by Deel. 12
- qualification
- This establishes a disclosed portfolio and buyer overlap. It does not supply the seller vehicle, price, approval procedure or evidence of an unfair related-party transaction.
attributedA retained financial transaction report states that Deel acquired Omnipresent Group in October 2025, without giving a price. 13
- qualification
- Its October 8 publication header and October 9 completion wording conflict at day level; this account uses the month. The register independently supports a control change but does not supply the transaction consideration.
documentedIn Tommi Wong v Deel Ireland EOR Limited, the Workplace Relations Commission awarded €51,004.20 on 30 June 2026: €1,500 for Sunday pay, €2,000 for weekly rest, €31,114.20 for family-status discrimination, €14,360.40 for penalisation connected to parent’s leave, and €2,029.60 for pension deductions. 14
- qualification
- The respondent is the named Irish employing company, not automatically Deel Inc. The sum combines five distinct awards and is not a finding that all complaints succeeded.
- response
- The company denied the claimant’s account and defended its management actions through legal submissions, without calling direct witnesses.
- outcome
- Protected-disclosure complaints failed for lack of a qualifying disclosure; the ordinary unfair-dismissal complaint lacked jurisdiction because of short service. Other complaints were withdrawn or not well founded.
documentedThe UK Employment Tribunal’s November 2024 preliminary hearing in S Burns v Gitpod and others addressed disability status and case management. LETS DEEL LTD was the named employer of record for Gitpod. 15
- qualification
- The decision is not a finding that the respondents committed discrimination. Medical details beyond the procedural issue are unnecessary to this account.
