Deel ownership and board: what the filings reveal and leave open

They establish the parent’s legal identity, dated directors and particular funding disclosures. They do not provide a complete current cap table, and a founder’s estimated stake is different from a registry finding.

the questionDo the retained records identify the owners and controllers of Deel?

1The legal entity predates the operating brand

analysisDeel, Inc. is registered in Delaware under number 6465099, with a July 3, 2017 formation date. Its retained securities filing identifies Lifeslice, Inc. as a previous name, while later business accounts describe Deel as founded in 2019. These statements answer different questions: the first identifies the corporation, and the second describes the operating business. The LEI ties the corporate name to the same registration number; it does not establish a banking licence or certify the company’s conduct. 1 2 3

documentedDeel, Inc. is a Delaware corporation formed on 3 July 2017, registered as number 6465099 and identified by LEI 549300IFGBDZQE2NZG16. Its retained Form D names Lifeslice, Inc. as a previous name. 1 2 3

qualification
The operating business is commonly described as founded in 2019. That does not alter the earlier incorporation date of the legal entity. A BIC in an identifier record is not a banking licence.

analysisDeel’s March 2025 corporate disclosure says it has no parent corporation and no publicly held corporate shareholder with a stake of 10% or more. That narrow disclosure is useful, but it leaves private shareholders and any smaller positions unresolved. It should not be presented as a full beneficial-ownership register. 4

documentedIn its 28 March 2025 federal corporate disclosure, Deel stated that it had no parent corporation and no publicly held corporation owning 10% or more of its stock. 4

qualification
That disclosure does not identify all private shareholders or ultimate beneficial owners.

2Board snapshots are dated evidence

analysisThe December 2024 Form D names Alex Bouaziz, Philippe Bouaziz, Shuo Wang, Anish Acharya, Francis deSouza, Todd Ford and Franck Cohen as directors. The founder and executive designations are separately marked in the filing. The earlier February 2023 filing also named Yasmin Razavi and Ali Rowghani. An absence in a later list is evidence of a changed snapshot, but does not supply an exact departure date or the reasons for departure. 3 5

documentedThe December 2024 Form D identifies Alexandre Bouaziz, Philippe Bouaziz, Shuo Wang, Anish Acharya, Francis deSouza, Todd Ford and Franck Cohen as directors. Alexandre and Philippe are also marked executive officers and promoters; Shuo is marked executive officer. 3

qualification
This is a dated issuer filing, not an independently verified present-day board list or complete shareholder register.

documentedThe February 2023 Form D lists Yasmin Razavi and Ali Rowghani as directors, alongside other people appearing in later filings. 5

qualification
Their absence from the retained December 2024 list does not establish an exact resignation date.

analysisThe offering described in the December 2024 notice amounts to approximately $1.529 million of equity sold. That figure is neither a valuation nor the company’s lifetime funding. A separate October 2025 financing report described $300 million at a $17.3 billion valuation, involving Ribbit Capital, Coatue and Andreessen Horowitz. The same report estimated founder stakes of about 12% each and described a profit forecast. Those estimates and projections retain their attribution; they are not filed ownership percentages or audited results. 3 6

documentedThe same filing reports $1,529,237 offered and sold in equity securities. 3

qualification
A Form D offering amount is not the company’s valuation, total funding or allocation of individual ownership.

attributedOctober 2025 reporting describes a $300 million financing involving Ribbit Capital, Coatue and Andreessen Horowitz at a $17.3 billion valuation. It estimates that Alex Bouaziz and Shuo Wang each held about 12%. 6

qualification
The founder percentages are media estimates, not a filed cap table. The quoted $170–200 million profit figure was a 2025 forecast, not audited realised profit. Coatue’s investment in both rivals does not make it a party to their litigation.

3Later executive roles differ from old pleadings

analysisA November 2025 account records Joe Kauffman becoming CFO and president. Deel’s later biography describes Philippe Bouaziz as executive chairman and chief strategy officer, formerly CFO. This matters when reading litigation documents that still describe him using his earlier title: the old title helps identify his alleged role at that time, but should not override the later personnel account. The retained evidence establishes neither an automatic transfer of legal responsibility nor the reason for every management change. 7 8

attributedNovember 2025 reporting records Joe Kauffman’s appointment as CFO and president, replacing Philippe Bouaziz, and additions of a general counsel, board-reporting compliance chief and risk chief. 7

qualification
The personnel changes do not by themselves establish why any individual left or responsibility for the alleged conduct.

attributedDeel’s retained leadership biography describes Philippe Bouaziz as executive chairman and chief strategy officer, formerly CFO. It also identifies him as founder and continuing chair of Prodware and chair of Sarona Partners. 8

qualification
Historical court pleadings calling him CFO describe an earlier period; the current company biography distinguishes his later role.

4Early capital and the co-founder’s operating role

analysisThe later high valuation followed several earlier financing rounds. September 2020 reporting names Spark Capital as leader of a $30 million Series B, Andreessen Horowitz as a participant, Y Combinator as an earlier investor and Sarona Partners as the first investor. Yasmin Razavi’s Spark role helps explain the investor and board overlap. These dated accounts establish involvement, not the present economic percentage held by any fund or individual. 9

attributedSeptember 2020 reporting identifies Spark Capital as leader of a $30 million Series B with Andreessen Horowitz participating, and Y Combinator among earlier investors. It describes Sarona Partners as Deel’s first investor and Yasmin Razavi as a Spark Capital general partner. 9

qualification
These are historical financing and professional relationships; the report does not disclose current fund-level percentages or identify every legal investment vehicle.

analysisShuo Wang’s role extends beyond appearing in a securities filing: a retained biography identifies her as co-founder and chief revenue officer. It also describes her earlier work as co-founder and CTO of Aeris. This professional history is retained as a dated business role, without adding personal wealth, migration details or unsupported links through every subsequent Aeris owner. 10

attributedA retained July 2026 biography describes Shuo Wang as Deel co-founder and chief revenue officer and as former co-founder and CTO of air-purifier business Aeris. 10

qualification
The Aeris business label is preserved without automatically merging it with a similarly named legal-entity record or importing the entire later buyer network.
