Deel in the UK: share notices, control rights and the employing company

The registers identify specific control categories and dates. LETS DEEL LTD’s former corporate PSC notice ceased, while Alex Bouaziz’s influence entry remains; the documents do not by themselves establish a share sale.

the questionHow do the UK records distinguish ownership, significant control and directorships?

1A ceased notice is not a complete transaction history

analysisLETS DEEL LTD is company 11894259. Its retained PSC page shows Alex Bouaziz exercising significant influence or control, while Deel Inc.’s former notice of at least 75% ownership ceased on February 27, 2026. The entry is important precisely because it does not explain everything. It does not name a buyer, state a sale price or supply a replacement share register. The individual influence category likewise gives no share percentage. 1 2

documentedThe retained UK control register for LETS DEEL LTD, number 11894259, lists Alex Bouaziz as an active person with significant influence or control. Deel Inc.’s former entry for at least 75% of shares runs from 18 August 2020 to its cessation on 27 February 2026. 1 2

qualification
The individual influence entry gives no equity percentage. Cessation of a corporate PSC notice alone does not establish a share sale, its buyer or the complete current ownership structure.

analysisThe separate DEEL SOFTWARE SOLUTIONS (UK) LTD, number 15878154, records Alex’s right to appoint or remove directors from August 2024. That is a different control category. Neither entry should be turned into a claim that Alex personally owns all the shares merely because he is the person named in the control register. 3

documentedDEEL SOFTWARE SOLUTIONS (UK) LTD, number 15878154, records Alex Bouaziz as having the right to appoint or remove directors from 5 August 2024. 3

qualification
This control category does not state his shareholding percentage.

2Offices and accounts answer separate questions

analysisThe officer list dates Alex’s current LETS DEEL appointment to October 10, 2019 and Philippe’s to June 1, 2022. It preserves Alex’s earlier separate tenure and Gabriella Barnard’s intervening directorship. Board office is an identifiable legal role, distinct from the share thresholds on the PSC page. 4

analysisThe 2024 accounts report roughly £22.27 million cash, £20.45 million of short-term creditors and £2.08 million due later. They separately report £100,207 in net assets and an average 2,758 employees, and name Deel Inc. as ultimate controlling party at that reporting date. The selected cash and creditor figures are not a complete balance sheet. These are unaudited local-company accounts, not consolidated global financial statements. The directors’ going-concern assessment and the later control notice should both retain their dates. 5

documentedLETS DEEL LTD’s unaudited 2024 accounts report £22,274,251 cash, £20,449,303 creditors due within one year, £2,078,268 due later and £100,207 net assets, with an average of 2,758 employees. The note names Deel Inc. as ultimate controlling party. 5

qualification
These are this UK entity’s sterling accounts under the small-entities framework, not consolidated global revenue or a present-day ownership certificate. The directors adopted the going-concern basis; an audit exemption is not an audit opinion.

3The strike-off process was discontinued

analysisA March 4, 2025 compulsory strike-off notice was followed by an accounts filing on March 10 and a discontinuance on March 11. The later entry materially changes the interpretation of the earlier notice. The retained filing history supports a discontinued process, not a statement that the UK employing company was dissolved. 2

documentedLETS DEEL LTD’s filing history records a compulsory strike-off notice on 4 March 2025, accounts filed on 10 March and discontinuance of the strike-off action on 11 March. 2

qualification
The discontinued process must not be described as the company having been dissolved.

4A documented move between the rivals’ payment companies

analysisOne officer record links Asif Malik’s former directorship of Rippling Payments UK to his later appointment at the company now called Deel Payments UK, and also lists Palisade Advisory. The common register record supports the officer match without publishing personal birth or address details. Rippling’s pleading identifies its named Deel lawyer with the same February 2025 Atlantic Money appointment. That adds context to the litigation identity, but a professional transition is not evidence of the alleged misconduct. 6 7

documentedOne Companies House officer record links Asif Malik’s directorships at Rippling Payments UK Limited from 30 May 2023 to 28 March 2024, Deel Payments UK Ltd from 10 February 2025 and Palisade Advisory Limited from 5 March 2025. 6 7

qualification
The shared officer record supports the cross-company identity for these offices. Rippling’s complaint separately identifies its named Deel lawyer with the February 2025 Atlantic Money appointment; that pleaded identification is attributed, not treated as an independent finding of misconduct.
