Luminar Technologies: founder control, debt and Chapter 11 liquidation

Jun Hong Heng and Crescent Cove: roles and transactions with Luminar

Jun Hong Heng, the founder of the Crescent Cove investment firms, was a Luminar director from June 2021 until he resigned on May 14, 2025, the day Luminar disclosed an Audit Committee inquiry; the company said he did not leave over any disagreement. Crescent Cove funds and other entities linked to him held Luminar shares acquired before he joined the board, and Luminar invested in COVA, the blank-check company he led, and agreed a strategic investment with ECARX, which merged with COVA. Luminar's liquidation plan preserved the estate's possible claims against him and other former insiders without any finding of liability, and in January 2026 a Crescent Cove lender sued Austin Russell as a trustee.

1Career and the Crescent Cove firms

analysisLuminar's 2022 proxy statement describes Jun Hong Heng as founder and chief investment officer of Crescent Cove Advisors, LP since August 2018 and founder of Crescent Cove Capital Management LLC, its chief investment officer since February 2016. From February 2021 he was chairman and chief executive officer of COVA Acquisition Corp., a blank-check company; earlier he was a principal of Myriad Asset Management (August 2011 – January 2015) and a vice president of Argyle Street Management (June 2008 – June 2011). COVA's merger prospectus states that Heng controlled COVA's sponsor, COVA Acquisition Sponsor LLC, a Cayman Islands company, as the sole member of its manager, CC Acquisition Sponsor Manager, LLC, a Delaware company. 1 2 3 4

analysisCrescent Cove Acquisition Corp., a blank-check company whose chairman, chief executive officer and chief financial officer was Heng, stated in its registration statement filed with the SEC on January 20, 2021 that Austin Russell, Luminar's founder, president and chief executive officer, served as its senior adviser. The registration statement gives the company's incorporation in the Cayman Islands on December 11, 2020 and its planned Nasdaq symbol "COVA"; the audited statements of COVA Acquisition Corp., also led by Heng, run from the same inception date, but no retained record states that one company took the other's name. The same document describes Crescent Cove as "one of Luminar's earliest and largest investors" and as "an early equity and debt investor in Luminar and its largest debt investor" when Luminar's December 2020 merger with Gores Metropoulos closed. It calls that merger one of Crescent Cove's most notable exits, says Crescent Cove took part in Luminar's equity financing before the merger, and says Heng "continues to work closely" with Russell to support Luminar's growth. This is Crescent Cove's own description of its record in an offering document of its blank-check company; Luminar's filings do not give the date or size of Crescent Cove's investments before the merger, but they show Crescent Cove funds among the holders of the shares attributed to Heng in 2022. When the merger was announced on September 15, 2020, Gores Metropoulos named "Crescent Cove" among the investors leading the direct investment of at least $170 million into Luminar made when the merger agreement was signed. The announcement gives "Crescent Cove" and "Volvo Cars Tech Fund" without their legal names; they correspond to Crescent Cove Advisors, LP and Volvo Car Technology Fund AB. 5 4 6

2Board seat, resignation and the bankruptcy

analysisHeng joined Luminar's board on June 9, 2021, together with Shaun Maguire, the day Scott A. McGregor and Benjamin J. Kortlang left it, according to the 2022 proxy statement, in which he is listed with Maguire as a member of the Audit Committee chaired by Matthew J. Simoncini. 1

analysisHeng tendered his resignation from the board on May 14, 2025, effective immediately, following the Audit Committee inquiry referred to in the Form 8-K that Luminar had filed earlier that day. In the 8-K reporting the resignation, Luminar said his decision was not due to any disagreement with the company on its operations, policies or practices; the filing does not state the subject of the inquiry or any finding about Heng. Luminar's amended statement of financial affairs in its Chapter 11 case lists a board payment of $26,888.74 to Heng on September 15, 2025, four months after his resignation, as his total insider payment in the year before the petition; the schedule does not say which period of board service the payment covered. 2 3

analysisThe plan supplement filed in the Chapter 11 case on March 16, 2026 (Docket No. 523) preserved the debtors' claims against insiders on the Non-Released Parties Schedule and named Austin Russell, Thomas Fennimore, Alan Prescott and Jun Hong Heng. The listed grounds include breach of fiduciary duty, corporate waste, fraud, wilful misconduct, gross negligence and the payment of unlawful dividends or other distributions, including claims arising from the facts behind any internal investigation by the debtors; under the confirmation order, retained causes of action vest in the liquidating trust. The schedule preserves the right to sue and does not state that any claim is valid: no suit by the debtors or the liquidating trust against these individuals appears in the retained records, and none of them has been found liable. 4 5

3Shareholdings through Crescent Cove funds and affiliated entities

analysisIn its 2022 proxy statement Luminar counted 3,557,637 Class A shares, 1.4% of the class, as beneficially owned by Heng. The holders were three Crescent Cove funds (Crescent Cove Capital II, LP, Crescent Cove Opportunity Fund LP and Crescent Cove Opportunity Foreign Intermediary, LLC), together with a personal retirement account, the Heng Zhao JT Revocable Trust, of which Heng is a co-trustee, and Press Room LLC, an entity he manages. Because he was managing member of the funds' general partners and investment managers, Heng could be deemed to have voting and dispositive power over the funds' shares. 1

analysisA Luminar resale prospectus dated February 3, 2022 registered up to 4,288,074 Class A shares (1.19%) held by or issuable to Heng and entities affiliated with him, which it says were acquired in connection with investments made before he joined the board: 1,599,427 shares held by Press Room LLC, 463,902 by the Heng Zhao JT Revocable Trust, 853,995 by Crescent Cove Capital II, LP, 675,435 by Crescent Cove Opportunity Fund, LP, 262,705 by Crescent Cove Opportunity Foreign Intermediary, LLC and 41,412 by Crescent Cove Luminar SPV, LLC, together with 18,559 shares held by Heng directly and up to 130,175 earn-out shares due to affiliated entities under the 2020 merger agreement. On December 23, 2024 Heng sold 72,842 Luminar Class A shares that he held indirectly, leaving him with no indirect holding, according to the Form 4 entry on the SEC's ownership page for Luminar. 2 3

4COVA and ECARX

analysisLuminar put $15.0 million into COVA Acquisition Corp. in February 2021, when Heng was the blank-check company's chairman, chief executive officer and a principal shareholder; he joined Luminar's board that June. Luminar disclosed the investment as a related-party transaction and said its terms were no less favourable than those other third-party investors received. It sold $2.9 million of the stake during 2021, holding $12.1 million at December 31, 2021, and disposed of the remainder in the second quarter of 2022. 1 2

analysisIn May 2022 ECARX Holdings Inc., which was to merge with COVA, signed a strategic investment agreement under which Luminar would either pay US$15.0 million in cash or issue Luminar shares of equal value, and a strategic collaboration agreement with Luminar, LLC on deploying Luminar's lidar in China through ECARX's ties to Geely Holding. In a comment letter of July 22, 2022 on ECARX's draft registration statement for the COVA merger, the SEC's Division of Corporation Finance noted that Luminar, one of the strategic investors, might provide its $15 million investment in cash or in its own shares, and asked for the basis for presenting it as cash; the letter is addressed to Heng with the title of chief executive officer of ECARX Holdings, while the merger prospectus describes him as COVA's chief executive officer. On December 20, 2022, the day COVA merged with ECARX, Luminar issued 2,030,374 Class A shares to ECARX in a private placement in connection with its investment in ECARX Class A ordinary shares. Luminar's 2025 annual report, in the note describing the COVA stake as sold in 2022, gives "the balance of this investment" as $2.6 million at December 31, 2025 without saying which holding the figure refers to. 3 4 2 5

analysisCOVA's November 2022 merger prospectus stated that Heng, COVA's chief executive officer, chief financial officer and chairman, would join ECARX's board when the merger was completed, while remaining a Luminar director; Luminar's annual report for 2025 states that he continues to be a director of the merged company. In February 2024 Luminar signed two non-recourse loan and securities pledge agreements with The St. James Bank & Trust Company Ltd., each at 8.0% a year: a loan of up to $5.0 million secured by ECARX securities and a loan of up to $45.0 million secured by Luminar securities. At the December 15, 2025 petition date nothing was outstanding under either facility and no securities were held in the pledge accounts, and the debtors still held shares of ECARX, which they said they might sell during the case. 3 2 6

5The Crescent Cove lender's 2026 suit against Russell as trustee

analysisCrescent Cove Opportunity Lending, LLC is a Delaware limited liability company; in a credit agreement dated May 12, 2025 with another borrower, filed with the SEC, it acted as a lender and as administrative agent, and Heng signed for it as managing member. On January 23, 2026 it sued Austin K. Russell in the Los Angeles County Superior Court (case 26SMCV00415), naming him as trustee of the Austin K. Russell 2019 Trust dated November 30, 2020 and as successor trustee of the Avocado Trust dated June 10, 2021, together with South Dakota Trust Company LLC as trustee of the Avocado Trust. The case is classified as an "other real property" matter. The complaint itself was not retained, so the basis and amount of the claim are not known from the retained records, and no answer or other public response by Russell or the trusts was found in them. The case was pending at the evidence cutoff and no ruling on the merits is recorded; the court's calendar lists a post-mediation status conference on December 15, 2026 and a hearing on a motion for summary judgment on February 5, 2027. 1 2 3
