Luminar Technologies: founder control, debt and Chapter 11 liquidation

Related-person transactions and insider payments at Luminar

Luminar disclosed the employment of founder Austin Russell's father and of a brother of its former chief legal officer, investments in blank-check companies connected with three of its directors, and, before the 2020 merger, housing, office and advisory arrangements with parties tied to insiders. In its Chapter 11 case it listed $17.4 million of payments and transfers benefiting insiders in the year before the December 2025 filing, more than half of it to non-debtor subsidiaries, including retention bonuses paid to four executives eleven days before the petition. The debtors state that listing a person is not an admission that the person is an insider.

the questionWhich related-person transactions and insider payments did Luminar disclose?

1Relatives of executives on the payroll

analysisMichael Russell, the father of founder Austin Russell, worked for Luminar as an adviser from 2020 to December 2023 and from January 1, 2024 as Head of Corporate Real Estate and Facilities, a post the 2025 annual report also calls Chief (Facilities). Luminar disclosed the employment as a related-person transaction: an annual salary of $225,000 in 2024 and in 2025, and in 2024 an equity award of $1,500,000 in company stock vesting over four years at the rate of 25% of the total award shares. The amended statement of financial affairs filed in the Chapter 11 case lists him as a "relative of an insider" who received $251,453.59 in the year before the December 15, 2025 filing, made up of salary of $8,653.85 every two weeks, paid through December 14, 2025, together with benefits, expense reimbursements and restricted stock compensation. 1 2 3

analysisThe 2025 proxy statement disclosed as a related-person transaction the employment of a brother of Alan Prescott, Luminar's Chief Legal Officer and Secretary until December 2024. The brother worked for the company as Head of Data and Partnerships (Insurance) from August 7, 2023 to January 3, 2025, at an annualised salary of $225,000 in each of 2023 and 2024. 1

2Investments in directors' blank-check companies

analysisIn February 2021 Luminar invested $15.0 million in COVA Acquisition Corp., a blank-check company of which Jun Hong Heng was chairman, chief executive officer and a principal shareholder; Heng joined Luminar's board in June 2021. Luminar reported the investment as a related-party transaction and stated that its terms were no less favourable than those given to other third-party investors. It sold $2.9 million of the stake in 2021, leaving $12.1 million at December 31, 2021, and sold the rest in the second quarter of 2022. In August 2021 Luminar invested $1.4 million in a special purpose acquisition company of which its director Matthew J. Simoncini was a director, and it sold that investment in full during 2021; the 2022 proxy statement, which does not name the SPAC, says the terms were no less favourable to Luminar than to other third-party investors. In June 2022 Luminar bought, in open-market purchases, securities of a special purpose acquisition company of which its director Alec Gores was chairman, chief executive and a principal shareholder; that SPAC merged with Polestar Automotive Holding UK PLC on June 24, 2022, and the 2025 annual report describes the balance of the investment at December 31, 2024 and 2025 as not material. 1 2

3Before the merger: housing, office space and advisory services

analysisThe 2020 merger registration statement disclosed three arrangements with related parties. In August 2018 the private Luminar company (Legacy Luminar) entered into an agreement for real estate advisory services with an entity whose managing principal was the company's senior advisor and a relative of its chief executive, Austin Russell; the company paid that entity $43,000 in the six months to June 30, 2020 and nothing in the same period of 2019, and the filing names neither the relative nor the entity. Legacy Luminar rented about 4,910 square feet of corporate housing in Orlando from Astralis Group, LLC, a management advisory company controlled by Scott Faris, then Luminar's Chief Business Officer, under a three-month rolling lease dated May 1, 2017 that ended in February 2019; rent expense was $50,897 in 2017, $107,922 in 2018 and $11,395 in 2019, and Astralis was also paid consulting fees of $476,513 in 2017 and $247,691 in 2018, with none in 2019. Black Forest Engineering (BFE), a Luminar subsidiary, had since February 2017 leased about 8,000 square feet of office space in Colorado Springs, Colorado from BFE Leasing LLC, which the filing describes as a related party without saying to whom, under a five-year lease; rent expense was $95,000 in 2018 and $99,000 in 2019, and future minimum lease payments were $226,000 at December 31, 2019. 1

4Founder pay and payments to insiders before the Chapter 11 filing

analysisAustin Russell himself received no compensation for his roles as President, Chief Executive Officer and chair, according to the 2025 annual report. The report gives $497,253 for him in 2024, the incremental cost to the company of personal security measures treated as perquisites, and for 2025, after his resignation as chief executive while he stayed a director, $186,575 in restricted stock units granted for his director service and $91,594 in director fees. 1

analysisThe amended statement of financial affairs of Luminar Technologies, Inc., filed on March 11, 2026 and signed by its Chief Restructuring Officer, lists $17,373,525.81 of payments and other transfers that benefited insiders in the year before the December 15, 2025 Chapter 11 filing. Adding up the schedule's per-recipient totals, $9,014,311.12 were transfers to six non-debtor subsidiaries (Luminar GmbH, Luminar Limited, Luminar Sweden AB, Luminar Technologies (Shanghai), Luminar Technology Services (India) and Luminartech Mexico), and $8,359,214.69 went to 19 individuals (directors, officers, former officers and one relative of an insider) as salary, bonuses, benefits, expense reimbursements, board payments and restricted stock compensation. The debtors state that listing a person is not an admission that the person is an insider, and that expense amounts are gross corporate-card debits before refunds or credits. The largest totals for individuals are those of former Chief Financial Officer Tom Fennimore ($1,917,365.26), Chief Business Officer Marc Losiewicz ($1,242,660.69), Chief Executive Officer Paul Ricci ($1,221,790.87), Austin Russell ($749,315.14, all listed as expense reimbursements), a former Chief Accounting Officer ($738,053.66), Chief Legal Officer Alexander Fishkin ($682,563.99) and Chief Financial Officer Thomas Beaudoin ($433,946.17). On December 4, 2025, eleven days before the filing, the company paid retention bonuses of $850,000 to Ricci, $400,000 to Beaudoin, $360,000 to Fishkin and $310,000 to Losiewicz. 2 3

analysisAustin Russell's entries in the schedule, dated from December 15, 2024 to May 14, 2025, with his relationship to the debtor given as "Former Chief Executive Officer / Current Director", are all labelled expense reimbursement and total $749,315.14; entries after his May 14, 2025 resignation as chief executive are listed at $0.00, and the schedule does not describe what the card expenses were for. The debtors' global notes say these expense amounts are gross debits charged to corporate expense cards, presented without netting later refunds or credits, and put the approximate refunds or credits in the year before the filing at $204,000 for Russell, $40,900 for Marc Losiewicz, $950 for Tom Fennimore and $650 for Michael Russell. The same schedule lists a board payment of $26,888.74 to Jun Hong Heng on September 15, 2025, four months after his resignation, as his total insider payment in the year before the petition, without saying which period of board service the payment covered. The statement of financial affairs of the co-debtor Luminar, LLC answers "None" to the question on payments or transfers of property that benefited insiders in the year before the filing; the same global notes on corporate-card refunds and credits are attached to it. 2 3 4

5Chris Charlton and the Luminar Automotive Council

analysisOn April 16, 2025 Luminar announced the formation of the Luminar Automotive Council, a team of executive advisers to help inform its growth strategy, chaired by Chris Charlton, chairman and founder of The Charlton Group, a sales liaison for manufacturers that supply automotive groups. His firm's website lists Charlton as an investor in and advisory board member of several companies, including Luminar, and a 2021 business-magazine profile described him as an equity investor in Luminar Technologies and co-chairman, with former Daimler chief executive Dieter Zetsche, of its Automotive Advisory Board. Both descriptions come from Charlton's own firm and a profile of him rather than a Luminar filing, and no Luminar filing in the record states the size of any shareholding. 1 2 3

analysisLuminar Technologies, Inc.'s schedule of executory contracts and unexpired leases (Schedule G, filed January 9, 2026 in Case No. 25-90807) lists agreements with three Charlton parties: Christopher T. Charlton personally (commercial business agreements, amendment letters and third amendments), Charlton Holdings, LLC (an advisory agreement, commercial business agreements, amendment letters and second and third amendments) and CT Charlton & Associates, Inc. (commercial business agreements and second and third amendments). It gives one business address in St Clair Shores, Michigan for both companies and, in the remaining-term field, the dates August 21, 2023 for the advisory agreement, February 24, 2024 for the amendment letters and February 25, 2027 for the second amendments; it does not state the contracts' value. 4
