the questionWho owns and runs Ablecom and Compuware?

1Ablecom's shareholders in Supermicro's filings

analysisSupermicro's 2007 registration statement for its initial public offering showed how closely Ablecom was held by Supermicro's founders. At September 30, 2006 Charles Liang and Chiu-Chu (Sara) Liu Liang jointly owned about 30.7% of Ablecom's common stock and Yih-Shyan (Wally) Liaw and his wife about 5.2%, and Charles Liang, Sara Liu, Wally Liaw, Steve Liang and their relatives together owned over 80% of Ablecom. Charles Liang served as an Ablecom director during Supermicro's fiscal 2006 but no longer did so. Steve Liang, Ablecom's chief executive and Charles Liang's brother, had been a member of Supermicro's board until December 31, 2005 and beneficially owned about 4.5% of Supermicro's common stock before the offering. 1

analysisLater filings show a smaller but steady founders' stake. Charles Liang and Sara Liu together owned about 10.5% of Ablecom at each date reported from June 30, 2016 to June 30, 2026. Steve Liang and other Liang family members, including other brothers of Charles Liang, owned about 36.0% at June 30, 2016 and 2017; Steve Liang and his family members owned about 28.8% throughout fiscal 2018 and 2019 and at June 30, 2022 and 2023, about 35.0% at June 30, 2024 and 2025 and about 35.5% at June 30, 2026. Bill Liang sat on Ablecom's board and owned about 1.8% of it at June 30, 2025. The annual report for fiscal 2017 adds that Supermicro does not and never did own any Ablecom stock. 2 3 4 5 6 7 8 9

analysisRelatives of Wally Liaw, a Supermicro director until January 2018, hold another large block. “Certain family members” of Liaw owned about 11.7% of Ablecom according to Supermicro's filings for fiscal 2017 to 2019, when Liaw was Senior Vice President of International Sales and a director until January 2018, and “a sibling” of Liaw owned about 11.7% of Ablecom and 8.7% of Compuware according to the filings for fiscal 2024 to 2026. The filings name neither the sibling nor the family members, and no record reviewed identifies them. The annual report for fiscal 2026 adds that Liaw was no longer an employee or director of Supermicro at June 30, 2026. 9 7 8 2 3 4

analysisSupermicro's filings describe Steve Liang as Ablecom's chief executive and largest shareholder; the annual report for fiscal 2024 states that he owned no Supermicro shares at June 30, 2022, 2023 or 2024. Whether Ablecom or Steve Liang held a small Supermicro stake in 2017 is left unresolved by the filings themselves. The annual report for fiscal 2017 says in its risk factors and related-party note that Ablecom owned about 0.4% of Supermicro's common stock at June 30, 2017, but in its related-transactions section that Steve Liang did; the amended quarterly report for the quarter ended March 31, 2017 also says Ablecom held about 0.4% at that date. The 2020 proxy statement and the annual report for fiscal 2019 attribute the 0.4% to Steve Liang and state that he owned no shares from June 30, 2018, and each annual report reviewed from fiscal 2020 to fiscal 2026 states that he owned none at the three most recent year-ends. None of the later filings reviewed corrects or explains the fiscal 2017 report's statements that Ablecom held the 0.4%. 8 7 2 3 4 10 11 9
