the questionWho controls Supermicro, and how has the founders' stake changed since 2006?
1The founders and their posts
analysisCharles Liang founded Supermicro in September 1993 and has been its President, Chief Executive Officer and Chairman of the Board since then, according to the company's March 2026 proxy statement. From July 1991 to August 1993 he was President and Chief Design Engineer of Micro Center Computer Inc., a motherboard design and manufacturing company. Liang holds the chairman and chief executive roles together; Supermicro's board and Governance Committee say this is appropriate because the board is relatively small and because he founded the company and has extensive industry experience, and the board has a lead independent director. In its fiscal 2024 annual report Supermicro stated that it had no succession plan for replacing Liang if that became necessary. 1 2
analysisSara Liu, who is married to Charles Liang, co-founded Supermicro in September 1993 and serves as its Co-Founder, Senior Vice President and a director. Liu was Treasurer from the company's inception to May 2019, Chief Administrative Officer from October 1993 to May 2019 and Senior Vice President of Operations from May 2014 to February 2018; from 1985 to 1993 Liu held accounting and operational positions at several companies, including Micro Center Computer. SEC insider records list both founders as reporting owners in the capacities of director, 10 percent owner and officer: Charles Liang as President and CEO, with Supermicro the only issuer for which he files ownership reports, and Sara Liu, under the name Liu Liang Chiu-Chu Sara, as Senior VP and Treasurer. 1 3 4
analysisA Taiwanese business magazine reported in February 2024 that when Charles Liang started Supermicro about 30 years earlier and lacked capital, his elder sister and younger brothers put in their savings or borrowed money to support him and so became original shareholders. That is a press account only: no filing reviewed lists Supermicro's founding shareholders, although the 2007 registration statement does state that Steve Liang, a brother of Charles Liang, beneficially owned about 4.5% of the shares before the initial public offering. 5 6
