1Registration and earlier names

analysisWirecard AG is a German Aktiengesellschaft registered with the Munich local court under HRB 169227 since 6 August 2007. Its 2019 bond prospectus traces it to a company incorporated in Berlin on 6 May 1999 and registered at the Charlottenburg local court under HRB 88060 B, which moved its seat after a shareholders' resolution of 14 June 2007. The register gives its earlier names as InfoGenie Europe AG and Wire Card AG and its earlier seats as Berlin and Grasbrunn, and a subsidiary's register entry confirms that InfoGenie Europe AG (HRB 88060 B) was renamed Wirecard AG. The register also records the mergers into the company of InfoGenie Deutschland GmbH and InfoGenie ComService GmbH of Berlin and, under merger agreements of 29 June 2005, of net sales GmbH and InfoGenie Global GmbH of Grasbrunn. 1 2 3 4 5

2Identifiers and addresses

analysisThe 2019 bond prospectus gives Wirecard AG's Legal Entity Identifier as 529900A8LX4KL0YUTH71, which a registry aggregator repeats together with the European unique identifier DED2601V.HRB169227 and the earlier register numbers HRB 88060 B (Charlottenburg) and HRB 131672 (Munich). The same prospectus gives the identifiers of the five subsidiaries that guaranteed the bond: Wirecard Technologies GmbH 529900Z54V2EA48D2Y27, Wirecard Sales International Holding GmbH 529900VH0MQZASU8AR79, Wirecard Payment Solutions Holdings Limited of Dublin 529900BWETZJRMZMRV03, CardSystems Middle East FZ-LLC 529900QITH4S89RB2V17 and Wirecard Processing FZ-LLC 529900NB6TN7EHS4MA55. 1 2

3Agreements with subsidiaries

analysisThe invitation to the annual general meeting of 26 June 2012 asked shareholders to approve control and profit-transfer agreements concluded on 10 May 2012 with Wire Card Beteiligungs GmbH and Trustpay International GmbH, which were to be renamed Wirecard Acquiring & Issuing GmbH and Wirecard Sales International GmbH. Markus Braun, Burkhard Ley and Jan Marsalek signed for Wirecard AG's management board; Braun also signed for the management of Wire Card Beteiligungs GmbH and Marsalek for that of Trustpay International GmbH. In its 2018 single-entity accounts Wirecard AG states that, for corporate-law reasons, it issued a letter of comfort covering all liabilities of Wirecard Payment Solutions Holdings Ltd. of Dublin and did not expect to be called upon under it; the amounts are not legible in the retained text of the accounts. Under an internal cash-management agreement described in the 2019 prospectus, Wirecard AG supplied subsidiaries with funds for their operations and collected their unused surpluses. 1 2 3
