Wirecard AG: the missing EUR 1.9 billion and its aftermath

Wirecard's insolvency and the sale of the group

Wirecard AG applied for insolvency on 25 June 2020, and proceedings opened on 25 August 2020 with Dr. Michael Jaffé as administrator of the parent and six German subsidiaries. He sold the European technology platform to Santander and the businesses in North America, Brazil, Romania, Turkey and Asia, preserving about 2,700 jobs by mid-2021. Claims of about EUR 15.4 billion, including about EUR 8.5 billion from some 50,000 shareholders, face an estate of about EUR 650 million, and in 2025 the Federal Court of Justice ruled that shareholders cannot share in the estate as ordinary creditors.

3Creditors' and shareholders' claims

analysisAccording to the Federal Court of Justice, about 50,000 Wirecard AG shareholders filed damage claims of about EUR 8.5 billion arising from their share purchases, and claims in total amount to about EUR 15.4 billion, including EUR 500 million of bondholders' claims, against an estate of about EUR 650 million. On 13 November 2025 the court (IX ZR 127/24) ruled that shareholders of an insolvent stock corporation cannot share in the distribution of the estate as ordinary insolvency creditors with their capital-market damage claims, setting aside a Munich higher regional court judgment of September 2024 to that extent and restoring the Munich I regional court's dismissal of November 2022. 1 2
