the questionHow much public support reached Northvolt, and what happened to the Heide project?
1Three instruments, different cash consequences
analysisNorthvolt’s German expansion involved a parent-level convertible loan as well as contemplated grants. KfW’s €600 million instrument was signed in October 2023 and disbursed in two stages: €200 million that December and €400 million the following February. Northvolt’s bankruptcy declaration describes an equity injection into Germany TopCo for the Heide factory project. That structure matters: the parent borrower and the German project company were separate entities. 1 2
documentedSchleswig-Holstein’s audit report records €600 million paid by KfW to Northvolt AB: €200 million in December 2023 and €400 million in February 2024. The state’s €300 million guarantee contribution was paid to the federal government on 7 April 2025. 2
- qualification
- The guarantee reimbursement is not an additional €300 million payment to Northvolt.
analysisThe state audit’s funding table separately lists €700 million of TCTF support and €155.4 million of IPCEI support, with no disbursements under either. IPCEI support was revoked and absorbed into TCTF. The €300 million Schleswig-Holstein later paid to the federal government under its guarantee was a public-sector settlement of exposure, not another payment to Northvolt. Adding these headline figures as cash grants would misstate both the recipient and the amount. 2
documentedThe same audit table distinguishes the €700 million TCTF grant and €155.4 million IPCEI grant from the convertible financing. It records no payments under either grant and explains that the IPCEI support was revoked and folded into the TCTF support. 2
- qualification
- Grant approvals, a loan disbursement and the state’s guarantee cost must not be added as if all were cash grants received by the company.
2The disagreement over financial risk
analysisThe state audit concluded that officials accepted an incomplete information base despite identified uncertainties. Its criticism focused on an optimistic operating plan, financing assumptions and a successful flotation. The frequently cited 86% repayment figure was conditional on those assumptions; the audit said the model lacked adverse stress tests and did not remove the substantial uncertainty surrounding a young manufacturer. The state government also defended its decision in the audit process: it said economic efficiency did not mean eliminating all risk and invoked the established modelling method and industrial and employment benefits. The auditor maintained that the underlying assumptions and unresolved information gaps remained inadequate. 2 3
attributedThe state audit criticised reliance on an incomplete information base and optimistic assumptions about financing, productivity, margins, capacity use and a successful stock-market flotation. It considered the process inconsistent with the statutory economic-efficiency requirement. 2 3
- qualification
- The audit addresses the government’s financing decision. Its criticism is not a criminal finding against Northvolt or every investor.
- response
- In March 2026 the federal government defended the procedure and risk assessment. The state government separately argued that economic efficiency did not require zero risk, that the Monte Carlo method was established and that industrial and employment benefits belonged in its judgment. The state auditor maintained its criticism of the underlying assumptions and information gaps.
documentedThe federal government said PwC’s 20,000-scenario model produced 14% of cases without full repayment. It acknowledged that operating cash flow could not repay the instrument without refinancing, but considered capital-market refinancing plausible if the business plan was achieved. The state audit emphasised that the corresponding 86% repayment figure depended on optimistic conditions and lacked downside stress tests. 2 3
- qualification
- This was a conditional model, not an unconditional probability that the loan would be repaid. The March answer also says the federal audit report was already available online, superseding the question’s premise that it remained unpublished.
analysisThe federal government’s response described a 20,000-scenario model in which 14% of simulations failed to return the full amount. It acknowledged that repayment from operating cash alone was not possible and that refinancing was necessary, but considered capital-market refinancing plausible if the plan was achieved. It defended the procedure as proper and the risk as acceptable. These are competing assessments of the funding decision, rather than a court ruling that a company or its directors committed an offence. 2 3
3The proposed disposal remained a separate transaction
analysisLyten’s July 2026 memorandum involved KfW, Northvolt Drei Project and its shareholder LG Batterie. The state government described the proposal as legally nonbinding and said definitive agreements still had to be negotiated. Schleswig-Holstein and the federal government expected to benefit through KfW from eventual liquidation proceeds, but the state expressly said it was not a party to the MoU or the future purchase agreements. 4 5
documentedOn 1 July 2026 Lyten announced an exclusive memorandum of understanding with KfW, Northvolt Drei Project and its shareholder LG Batterie to progress acquisition of the Heide assets. The Schleswig-Holstein government described the intended asset purchase as legally nonbinding at that stage and said binding contracts were still to be negotiated. 4 5
- qualification
- The state government expressly said it was not a party to the MoU or later purchase contracts, although it and the federal government would share economic proceeds through KfW. This differs from simply treating the state as the seller.
analysisBy 1 October, a reported Lyten statement still described work on the final purchase contract and unresolved legal and commercial details. The planned third-quarter completion had slipped. The completed Swedish asset purchase therefore cannot be used as evidence that the Heide assets had also changed hands. 6 7
attributedA 1 October 2026 reported update quoted Lyten saying negotiations and the final purchase contract were advanced but additional time was needed for remaining legal and commercial details. The intended third-quarter completion had therefore slipped. 6
- qualification
- No completed German acquisition is established in that update.
documentedLyten announced in February 2026 that it had completed the acquisition of Northvolt Ett, Ett Expansion and Labs assets. Its announcement described 16 GWh of existing manufacturing capacity, more than 160 hectares of land and nearly $5 billion in asset value. 7
- qualification
- The release has a February 26 header and February 27 dateline. The $5 billion is stated asset value, not the purchase price. Asset names do not establish that the bankrupt sellers and new Lyten companies are the same legal entities.
4The German company and the recovery route
analysisThe state audit identifies Northvolt Drei Project as the company previously named Northvolt Germany GmbH, distinct from the TopCo and HoldCo layers. The committee record confirms Christoph von Wilcken replacing Christofer Haux as sole managing director of those two holding companies in August 2025. A restructuring adviser’s management appointment does not make him the owner. 2 8
documentedThe state audit identifies Northvolt Drei Project GmbH as the German project company formerly named Northvolt Germany GmbH, renamed in January 2024. It describes an obligation to use the convertible proceeds for the Heide factory and release them subject to KfW approval. 2
- qualification
- This company is distinct from Northvolt Germany TopCo GmbH and Northvolt Drei HoldCo GmbH.
documentedThe October 15, 2025 parliamentary committee record quotes the minister confirming that Christoph von Wilcken had become sole managing director of Germany TopCo and Drei HoldCo from August 3, 2025, replacing Christofer Haux. The minister said the government understood appointing a lawyer experienced in restructuring. 8
- qualification
- The dated answer then lacked current detail about the TopCo restructuring. It does not supply the outcome of every later proceeding or identify von Wilcken as owner.
analysisIn May 2026 the state minister said the Drei restructuring plan had been finally confirmed by Hamburg courts and defended solvent liquidation as a route to recovering funds from the designated account while avoiding potential litigation over security rights. That account concerns a particular German legal process. It neither reverses the Swedish bankruptcies nor proves that the later proposed Lyten sale was completed. 9
documentedIn May 2026 the Schleswig-Holstein minister said the Northvolt Drei restructuring plan and its measures had been finally confirmed by Hamburg courts, citing the December 18, 2025 regional-court decision 326 T 62/25. He described KfW as majority creditor and defended a solvent liquidation funded by KfW from the designated account as avoiding uncertainty and possible prolonged litigation about security rights in a hypothetical insolvency. 9
- qualification
- This is the minister’s explanation of the court-confirmed restructuring and chosen recovery route; it is not a declaration that all group companies were solvent or that a Lyten sale had closed.
5Registers, equipment claims and funds returned
analysisThe Bundestag lobby register identifies Steinbacher and Hoffmann as managing directors, gives a 2024 lobbying-spend band and discloses a smaller battery-skills training grant. The retained entry warns it has not been updated. These disclosures describe specific functions and spending; they do not establish wrongdoing, and the training support is distinct from the factory grants that were not disbursed. 10
documentedNorthvolt Drei’s Bundestag lobby-register entry, last changed 13 January 2026, names Nicolas Steinbacher and Thomas Hoffmann as managing directors and reports €40,001–50,000 of lobbying expenditure for 2024. It also discloses a €20,001–30,000 federal grant for a battery-workforce qualification centre. 10
- qualification
- The register itself marks the entry as not updated. The smaller training grant is distinct from the undisbursed factory grants; lobbying registration is not evidence of misconduct.
analysisIn July 2026 the state confirmed an approved equipment purchase for the planned Heide factory. It distinguished Drei’s own prospective contract claims against the Swedish companies from the governments’ and KfW’s positions: those bodies had no machinery contract giving them a direct claim. The question’s reported price and leaseback terms were not confirmed in the answer, which cited confidentiality. 11
documentedA July 2026 government answer confirms that Northvolt Drei bought equipment for use once the planned Heide factory was completed with approval from the federal government and KfW. It says Drei’s management would file its direct claims against Northvolt AB or Labs, while the governments and KfW had no machinery contract giving them a direct claim. 11
- qualification
- The question cited a reported €51 million price and leaseback, but the answer did not verify those details and invoked confidentiality. They are not presented here as established transaction terms.
analysisThe German adviser’s April 2026 statement described a solvent-liquidation route and €222 million in unused funds to return to KfW, of which €153 million had been paid and €69 million was still expected. Its account said provision for project-company creditors had been secured. These are different measures from full recovery of the original public financing, and the future tranche should not be treated as already paid merely because its target date later passed. 12
attributedIn April 2026 the German companies’ restructuring adviser said the StaRUG process had enabled a solvent liquidation and provision for all project-company creditors, with €222 million of unused funds to return to KfW: €153 million already repaid and €69 million expected by summer. 12
- qualification
- This is the adviser’s dated account. The remaining payment and an investor transfer were still prospective in that statement; it does not establish full recovery of the original €600 million by the public guarantors.
